WHEREAS, the first Orange County Fair occurred in 1890 and has since thrived as a
"Celebration of Orange County's Communities, Interests and Heritage" as is stated in the
Orange County Fair and Event Carta misam statement; and
WHCREAS, as a result of the Stme of California's budget deficit of over $26 billion, the
Largest in the state's history, Governor Arnold SchwwzeaegW proposed the sale of
surplus or uodautilized assets for the purpose of helping to close the budget deficit; and
WHEREAS, on July 2g, 2009 the Orange County Board of Supermors passed
Resolution N 09.110, is support ofGavemor Schwarmenegres proposal to sell the
Orange County Fairgrounds, only if the sale provided that the Fairgrounds would be soid
to a local government agency or local not- for -profit corporation to perpetuate its use as a
6tirgroum 14 event center, and equestrian facility; and
WHCREr1S9 on October 7, 2009, the California Deportment of Oeneral Services released
a Request for proposals for the side of the Orange County Fairl rotmds; and
WEMRZAB, the Request for proposals does not require the buyer to be a local
government agency or local not- for -profit, nor does it require the buyer to perpetuate the
utili mum of the property as a fairgrounds, even center, and equestrian fiwility; and
VAMUMB, the Orange Canty Fairgrounds is the only asset of its kind the State is
actually proposing to aft and relinquish control ova; and
WHEREAS, the Orange Canty FaftWouds are wholly contained within the corporate
limits of the City of Costa Mesa; the City of Costa Mesa's General Flan designates the
property as "Fairgrounds "; the City of Costa Mesa has zoned the property
and
WHEREAS, the Costa Mesa City Council has authorized preparation of a Specific Plan
for the Fairgrounds property and subsequently directed staff to prepare a ballot initiative
for the June 2010 ballot for vota approval of a land use restriction to "Fairgrounds "; and
WHCRE.AS, the Orange County Board of Supervisors believes dot it is the best interests
of the public that the Oovenor immediately cancel the sale of Fairgrounds property;
NOW, THCREFORE, BE Tf RESOLVED THAT 1280 ORANGE COUNTY
BOARD OF SUPERVISORS does hereby request that Governor Schw w aoeglp
immediately cancel the ask of the Orange Canty Fairgrounds; and
FURTHER BE TT RESOLVED, THAT THE ORANGE COUNTY HOARD 01
SUPUVISORS, does bmeby respectfully call upon all other cities m Orange County to
join with the County of Orange and the City of Costa Mess in formally requesting of the
Governor that the proposed sale of the Orange Canty Fairgrounds be cancelled

• The State will not be able to
address its budget problems
through the sale of valuable
assets such as the Orange
County Fairgrounds. The
expected revenue from the
sale is not in the State's FY
2009 -2010 budget
• The Public paid hard earned
tax dollars for purchase and
development of the Orange
County Fairgrounds — they
should not have to pay a

precludes acquisition by local public agencies —
seemingly by desiqn.

The RFP issued by the
State for sale of the
property is clearly
designed for private
redevelopment of the site
and elimination of the
Orange County
Fairgrounds —just the
opposite of what the City,
and Orange County
residents demand

• The sale jeopardizes hundreds
if not thousands of jobs at a
time when California's
unemployment level is already
at 12 %. It displaces vendors,
small businesses, State
employees, equestrian trainers
and suppliers.
• Unlike other State owned
properties, the Orange County
Fairgrounds actually generates
a small profit and does not rely
on tax dollars for its operation
— selling an asset that is
profitable makes no financial
sense.
Arguments Against Costa Mesa
• The State is in the midst
of one of the worst real
estate markets in history.
Even if the property were
to be put up for sale, the
State could not find a
worse time to do so.
• There are far too many
unanswered questions
regarding the future of the
32nd Agricultural District
and the fate of the
Orange County Fair to
proceed with the sale
Arguments Against Costa Mesa
• With the exception of
actions by the Costa Mesa
City Council, the County
Board of Supervisors, and
the Town Hall meeting
convened by Assemblyman
Jose Solorio and
Assemblyman Van Tran,
everything relating to the
sale of the Orange County
Fairgrounds has been done
largely out of public view.
The process has lacked the
transparency that the public
demands.

Against Costa Mesa Arguments
• Continuing forward with the
sale will undoubtedly result in
costly litigation for the State,
the City, and possibly other
public and private parties.
There simply is no reason for
the State to invite litigation by
proceeding.
• The proposed sale of the
property has already
engendered claims and
allegations regarding the newly
constituted Orange County
Fair & Event Center
Foundation requiring review by
the Attorney General's Office

• The RFP requires a Profit
Participation Agreement
so that the State shares
in the proceeds from the
private redevelopment of
the property yet the State
contributes nothing to
those individuals,
businesses, and vendors
it displaces by the sale.
The State profits at the
expense of those who
have made the Orange
County Fairgrounds
profitable for decades.

Costa Mesa
• The RFP issued by the State stated that
both the Purchase & Sales Agreement
as well as the State Profit Participation
Agreement would be made available
within 30 days of October 7, 2009 - that
has not happened. This underscores
the hurried and incomplete nature of
this effort.
