FEBRUARY 6,2002("Assignee"),all right,title and interest under that unrecorded Lease("Lease")as
disclosed by a Memorandum of Lease dated May 20, 1992 and recorded June 1, 1992 as Instrument No.
92-364895,by and between the COUNTY OF ORANGE,as"Lessor",and Richard C.Elliott and
Beverly S.Elliott,Trustees of the Elliott Family Trust and the Tenant interest in the Lease having been
transferred to Assignor by mesne conveyances covering
that real property in the City of Newport Beach,hereinafter referred to as the
"Premises," shown on Exhibit A,attached hereto and by reference made a part hereof,
and described as those filled tidelands lying between the extension of the sidelines of
Lot 23 of Tract 802 from the adjudicated mean high tide line to the United States
bulkhead line,excepting therefrom those lands lying below the existing mean high tide
line. Use of submerged"water covered"tidelands area is not provided for,
(hereinafter"Assignment").
Assignor represents and warrants that Assignor has not failed to disclose to Lessor any information,
which,if known by Lessor,might provide grounds for Lessor to reasonably withhold its consent to the
Assignment.

ACCEPTANCE OF ASSIGNMENT OF LEASE
The undersigned Assignee, does jointly and severally hereby accept said Assignment as of the Effective
Date of the Assignment of Lease and hereby assumes and agrees with and for the benefit of Lessor under
the Lease described in said Assignment,to keep,perform, and be bound by all of the terms, covenants and
conditions contained in said Lease on the part of the Tenant therein to be kept and performed,to all
intents and purposes as though the undersigned Assignee was the original Tenant thereunder.
The undersigned Assignee further covenants and agrees that Assignee has examined the Premises and that
no representation or warranties have been made by Lessor or by any person or agent acting for Lessor in
connection with the Premises. Assignee accepts the Premises "AS IS". Assignee shall indemnify and
hold Lessor free and harmless from liability for any loss and from all costs, expenses and other charges
arising from or in connection with any defect upon or in connection with the Premises,whether caused by
an act or omission of Lessor or arising from any cause whatsoever.
The terms "Assignee," "Effective Date," "Assignment," "Lease,"and"Lessor"used herein shall have the
same meanings as set forth in the Assignment of Lease.
