INDEMNITY AND HOLD HARMLESS AGREEMENT

(hereinafter "lndemnitor"), in consideration of a minor use permit (PA2020-332) for
issuance of permits prior to the expiration of the 14-day appeal period. A stop work
order will be issued if an appeal is filed.
lndemnitor agrees to the following terms and conditions:
To the fullest extent permitted by law, lndemnitor shall indemnify and hold harmless the
City of Newport Beach ("City"), its City Council, boards and commissions, officers,
agents, volunteers and employees from and against any and all loss, damages, liability,
claims, suits, costs and expenses, whatsoever, including reasonable attorneys' fees,
regardless of the merit or outcome of any such claim or suit arising from or in any
manner connected to the services, work, or activities conducted or performed by
lndemnitor in connection with this Agreement.
lndemnitor shall indemnify and hold harmless the City, its City Council, boards and
commissions, officers, agents, volunteers and employees from and against any and all
claims and losses whatsoever, including reasonable attorneys' fees, accruing or
resulting to any and all persons, firms or corporations furnishing or supplying work,
services, materials, equipment or supplies in connection with the services, work, or
activities conducted or performed by lndemnitor pursuant to this Agreement.
