TITLE: Approve Amendment No. 1 to On -Call Professional Services
Agreement with Caroline Jack for Emergency Medical Services
Nurse Educator Services
ABSTRACT:
Staff is requesting approval of an amendment to the on-call agreement for nurse educator
services. The amendment will extend the term for a total of four years and three months,
and increase the total compensation by $120,000, for a not -to -exceed amount of
$240,000.
RECOMMENDATIONS:
a) Determine this action is exempt from the California Environmental Quality Act (CEQA)
pursuant to Sections 15060(c)(2) and 15060(c)(3) of the CEQA Guidelines because
this action will not result in a physical change to the environment, directly or indirectly;
and
b) Approve Amendment No. 1 to the On -Call Professional Services Agreement with
Caroline Jack for Emergency Medical Services Nurse Educator Services for a
not -to -exceed amount of $240,000 and extending the term limit to December 31, 2022.
FUNDING REQUIREMENTS:
The adopted budget includes sufficient funding for this service. It will be expensed to the
services contract account in the Fire Department, EMS Division, 01040404-811017.
DISCUSSION:
The Fire Department's robust Emergency Medical Services (EMS) Division has used the
contracted services of a nurse educator for more than six years to support the
department's continuing education program. The contracted nurse educator works
closely with the EMS Division Chief to develop, coordinate, conduct, and evaluate
EMS -related education, programs, curriculum, and materials for the department's
paramedics and emergency medical technicians.

Following a request for proposals solicitation in 2018, an on-call professional services
agreement for nurse educator services was awarded to Caroline Jack. The agreement's
existing termination date is September 30, 2021 with a total compensation of $120,000.
In the past, the department has contracted with two nurse educators to perform the
necessary duties. Since October 2018, Ms. Jack has been filling the role independently.
Without having another nurse educator under contract, Ms. Jack's services have
expended the agreement's spending authority earlier than originally planned.
Additionally, since January 2020, the COVID-19 pandemic has significantly impacted the
department and created additional and unexpected work for Ms. Jack. She has been
heavily relied on to prepare educational materials and train department personnel on
countless COVID-related enhanced safety protocols and procedures. She has been
instrumental in the process for the department becoming a licensed laboratory to perform
in-house COVID testing of City staff and securing state approval, along with identifying
the numerous items needed for the department to open community point of dispensing
(POD) vaccination clinics. Ms. Jack's COVID-related hours have been tracked within the
City's financial system and are included in the City's request for federal reimbursement.
Amending the agreement allows the department to continue using Ms. Jack's services
during this critical time period. It is anticipated that the spend rate will decrease slightly
as changes related to COVID taper off.
The proposed amendment will extend the agreement's term for a total of four years and
three months, through December 2022, and increase the spending authority by $120,000
for a total compensation not to exceed $240,000.
ENVIRONMENTAL REVIEW:
Staff recommends the City Council find this action is not subject to the California
Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not
result in a direct or reasonably foreseeable indirect physical change in the environment)
and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA
Guidelines, California Code of Regulations, Title 14, Chapter 3, because it has no
potential for resulting in physical change to the environment, directly or indirectly.
NOTICING:
The agenda item has been noticed according to the Brown Act (72 hours in advance of
the meeting at which the City Council considers the item).

AMENDMENT NO. ONE TO
ON-CALL PROFESSIONAL SERVICES AGREEMENT
WITH CAROLINE JACK FOR
EMERGENCY MEDICAL SERVICES (EMS) NURSE EDUCATOR SERVICES
THIS AMENDMENT NO. ONE TO ON-CALL PROFESSIONAL SERVICES
AGREEMENT ("Amendment No. One") is made and entered into as of this 23rd day of
February, 2021 ("Effective Date"), by and between the CITY OF NEWPORT BEACH, a
California municipal corporation and charter city ("City"), and CAROLINE JACK, a sole
proprietor ("Consultant"), whose address is 1932 Orosco Circle, Placentia, California
92870, and is made with reference to the following:
RECITALS
A. On October 1, 2018, City and Consultant entered into a Professional Services
Agreement ("Agreement") for as -needed Emergency Medical Services ("EMS")
related education and training services ("Project").
B. The parties desire to enter into this Amendment No. One to extend the term of the
Agreement to December 31, 2022 and to increase the total compensation.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties
as follows:
1. TERM
Section 1 of the Agreement is amended in its entirety and replaced with the
following: "The term of this Agreement shall commence on the Effective Date, and shall
terminate on December 31, 2022, unless terminated earlier as set forth herein."
2. COMPENSATION TO CONSULTANT
Section 4.1 of the Agreement is amended in its entirety and replaced with the
following: "City shall pay Consultant for the Services on a time and expense not -to -
exceed basis in accordance with the provisions of this Section and the Schedule of Billing
Rates attached hereto as Exhibit B and incorporated herein by reference. Consultant's
compensation for all Work performed in accordance with this Agreement, including all
reimbursable items and subconsultant fees, shall not exceed Two Hundred Forty
Thousand Dollars and 001100 ($240,000.00), without prior written authorization from
City. No billing rate changes shall be made during the term of this Agreement without the
prior written approval of City."
The total amended compensation reflects Consultant's additional compensation
for additional Services to be performed in accordance with this Amendment No. One,
including all reimbursable items and subconsultant fees, in an amount not to exceed One
Hundred Twenty Thousand Dollars and 001100 ($120,000.00).

3. INTEGRATED CONTRACT
Except as expressly modified herein, all other provisions, terms, and covenants
set forth in the Agreement shall remain unchanged and shall be in full force and effect.
