TITLE: Ford Road Pump Station Rehabilitation — Approval of Amendment
No. 1 to Walden & Associates Professional Services Agreement
(Contract No. 7731-1)
ABSTRACT:
Staff requests approval of Amendment No. 1 to the Professional Services Agreement with
Walden & Associates to prepare engineering plans, specifications, and estimate for a
wastewater pump station rehabilitation at the westerly end of Ford Road. The proposed
amendment increases the not -to -exceed amount by $69,477 for a total not -to -exceed
amount of $174,922.
RECOMMENDATION:
a) Determine this action is exempt from the California Environmental Quality Act (CEQA)
pursuant to Sections 15060(c)(2) and 15060(c)(3) of the CEQA Guidelines because
this action will not result in a physical change to the environment, directly or indirectly;
and
b) Approve Amendment No. 1 to the Professional Services Agreement with Walden &
Associates of Irvine California, for the Ford Road Pump Station Rehabilitation project
to add $69,477 to the current contract for a total not -to -exceed amount of $174,922;
and authorize the Mayor and City Clerk to execute the agreement.
DISCUSSION:
Ford Road Pump Station was constructed in 1975 and serves the Harbor View Knolls
Community Association. The station is located at 2799'/2 Ford Road, east of Hillside Drive.
The City's 2009 Sewer Master Plan Report identified two issues with the existing station
that require attention. The first concerns the wet well-being undersized and showing signs
of wear. The second identifies the force main as oversized. Lastly, the report recommends
adding a standby generator at this location. This project will address the wet well capacity
and generator recommendations; the force main will be resized in a future project in
concert with the street rehabilitation efforts.

To address the Master Plan concerns, City of Newport Beach (City) staff explored
abandoning this station altogether and diverting flows to the Irvine Ranch Water District
(IRWD). This option provided the City annual maintenance savings, and eliminated
standby generator needs since the new alignment would be gravity fed. This approach
was used in the past to abandon two stations on Jamboree Road and Bison Avenue at a
reasonable buy -in cost from IRWD of approximately $600,000. IRWD staff was originally
very supportive of this approach and City staff proceeded with the design of the gravity
connection. However, after further review by IRWD, its staff provided a buy -in that proved
cost prohibitive at an estimated $2.4 million, not including construction of the new gravity
connection system.
As a result, City staff is returning to the recommended Sewer Master Plan Report
improvements of upgrading the wet well storage and installing a standby generator. The
preliminary probable cost for construction of this project is $750,000.
This proposed Amendment No. 1 with Walden & Associates will authorize additional
design efforts for the structural wet well and electrical improvements to add a standby
generator, which will require two additional sub -consultants.
FISCAL IMPACT:
The adopted FY 2021-22 Budget includes funding needed for this agreement. It will be
expensed to the Ford Road Pump Station project (Project No. 21 SO4, Account No. 71201-
980000, Public Works Department).
ENVIRONMENTAL REVIEW:
Staff recommends the City Council find this (design) action is not subject to the California
Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not
result in a direct or reasonably foreseeable indirect physical change in the environment)
and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA
Guidelines, California Code of Regulations, Title 14, Chapter 3, because it has no
potential for resulting in physical change to the environment, directly or indirectly. The
construction of the project will require a separate CEQA finding.
NOTICING:
The agenda item has been noticed according to the Brown Act (72 hours in advance of
the meeting at which the City Council considers the item).

PROFESSIONAL SERVICES AGREEMENT
WITH SOCAL WALDEN, INC. DBA WALDEN & ASSOCIATES FOR
FORD ROAD WASTEWATER PUMP STATION IMPROVEMENT PROJECT
ENGINEERING SERVICES
THIS AMENDMENT NO. ONE TO PROFESSIONAL SERVICES AGREEMENT
("Amendment No. One") is made and entered into as of this 16th day of November,
2021 ("Effective Date"), by and between the CITY OF NEWPORT BEACH, a California
municipal corporation and charter city ("City"), and SOCAL WALDEN, INC. DBA
WALDEN & ASSOCIATES, a California corporation ("Consultant"), whose address is
2552 White Road, Suite B, Irvine, California 92614, and is made with reference to the
following:
RECITALS
A. On January 7, 2020, City and Consultant entered into a Professional Services
Agreement ("Agreement') to engage Consultant to provide complete engineering
design services for the Ford Road wastewater pump station abandonment and
Eastbluff sewage pumping station demolition projects ("Project').
B. The parties desire to enter into this Amendment No. One to update the title of the
Project, to redefine the Project, to reflect additional Services not included in the
Agreement, to extend the term of the Agreement to June 30, 2024 and to
increase the total compensation.
NOW, THEREFORE, it is mutually agreed by and between the undersigned
parties as follows:
1. TITLE
The Title of the Agreement is amended in its entirety and replaced with the
following:
"FORD ROAD WASTEWATER PUMP STATION
IMPROVEMENT PROJECT ENGINEERING SERVICES."
2. PROJECT
The definition of "Project' is amended in its entirety and is replaced with the
following:
"Ford Road wastewater pump station improvement project."

3. TERM
Section 1 of the Agreement is amended in its entirety and replaced with the
following:
"The term of this Agreement shall commence on the
Effective Date, and shall terminate on June 30, 2024, unless
terminated earlier as set forth herein."
4. SERVICES TO BE PERFORMED
Exhibit A to the Agreement shall be supplemented to include the Scope of
Services, attached hereto as Exhibit A and incorporated herein by reference. Exhibit A
to the Agreement and Exhibit A to this Amendment No. One shall collectively be known
as "Exhibit A." The City may elect to delete certain Services within the Scope of
Services at its sole discretion.
5. COMPENSATION TO CONSULTANT
Exhibit B to the Agreement shall be supplemented to include the Schedule of
Billing Rates, attached hereto as Exhibit B and incorporated herein by reference
("Services" or "Work"). Exhibit B to the Agreement and Exhibit B to this Amendment No.
One shall collectively be known as "Exhibit B."
Section 4.1 of the Agreement is amended in its entirety and replaced with the
following: "City shall pay Consultant for the Services on a time and expense not -to -
exceed basis in accordance with the provisions of this Section and the Schedule of
Billing Rates attached hereto as Exhibit B and incorporated herein by reference.
Consultant's compensation for all Work performed in accordance with this Agreement,
including all reimbursable items and subconsultant fees, shall not exceed One Hundred
Seventy Four Thousand Nine Hundred Twenty Two Dollars and 001100
($174,922.00), without prior written authorization from City. No billing rate changes
shall be made during the term of this Agreement without the prior written approval of
City."
The total amended compensation reflects Consultant's additional compensation
for additional Services to be performed in accordance with this Amendment No. One,
including all reimbursable items and subconsultant fees, in an amount not to exceed
Sixty Nine Thousand Four Hundred Seventy Seven Dollars and 001100
($69,477.00).
6. INTEGRATED CONTRACT
Except as expressly modified herein, all other provisions, terms, and covenants
set forth in the Agreement shall remain unchanged and shall be in full force and effect.

EXHIBIT A
SCOPE OF SERVICES
FORD ROAD WASTEWATER PUMP STATION IMPROVEMENT PROJECT
This Amendment No. One consists of additional work to provide plans, specifications
and an estimate ("PS&E") to remove and replace the existing wet well and
appurtenances and add a standby generator and its appurtenances within the general
location of the existing complex.
The original scope of work consisted of installing a gravity sewer main and abandon the
station. However, during the submittal process the City decided to keep the station in
operation and improve the wet well and add a generator per the City's 2009 Sewer
Master Plan.
Task 12: Conceptual Plan — New Wet Well
Under this task, Consultant and its subconsultant will provide conceptual plans as
directed by the City to review, before proceeding to final PS&E.
Task 13: Design Plans — New Wet Well and Appurtenances
Under this task, Consultant and its subconsultants will provide PS&E as directed by the
City for the removal and placement of the wet well and appurtenances and add a
standby generator and its appurtenances. This task will include all necessary civil,
mechanical and electrical plans, notes and details for construction purposes. This task
will also include additional topo pick-up, preparation of the legal description and sketch
for the proposed standby generator, project specific technical specifications and
engineer's opinion of probable construction costs.
Task 14 — Project Management and Coordination
Under this task, Consultant will provide project management and coordination with the
City and subconsultant as required to finalize the plans.
