Agenda Item No. 9
TO: HONORABLE MAYOR AND MEMBERS OF THE CITY COUNCIL
FROM: Jon Lewis, Chief of Police - 949-644-3701, jlewis@nbpd.org

TITLE: Purchase, Installation and Maintenance Agreement with Axon
Enterprise, Inc. for Body -Worn Cameras, In -Car Video Systems and
Tasers
ABSTRACT:
The Police Department requests City Council approval of a 10-year agreement
(Agreement) to purchase and implement department -wide body -worn cameras,
integrated in -car video systems, Tasers, and related equipment and services at a cost of
$3,430,214. The recommended vendor, Axon Enterprise, Inc., was selected after a
thorough review of the marketplace and will be purchased using a cooperative agreement
through Sourcewell. The agreement provides significant discounts and includes future
technology upgrades at current pricing.
RECOMMENDATION:
a) Determine this action is exempt from the California Environmental Quality Act (CEQA)
pursuant to Sections 15060(c)(2) and 15060(c)(3) of the CEQA Guidelines because
this action will not result in a physical change to the environment, directly or indirectly;
b) Waive the Request for Proposals requirement of Council Policy F-14 and approve
selection of Axon Enterprise products and services through a Sourcewell cooperative
competitive procurement process; and
c) Approve a Purchase, Installation and Maintenance Agreement with Axon Enterprise,
Inc. of Scottsdale, Arizona, for body -worn cameras, in -car video systems, Tasers and
related hardware, software and services for a not -to -exceed cost of $3,430,214 over
ten years, and authorize the Mayor and City Clerk to execute the Agreement.
DISCUSSION:
Background
The Police Department currently uses an in -car video (ICV) system that records audio
and video of activities in front of the police vehicle and in the arrestee compartment (back
seat) and a small number of body -worn cameras (BWC) assigned to the Peninsula
Enforcement Team and the Homeless Liaison Officer.

This system is at the end of its five-year service life and is programmed for replacement
in the current fiscal year. In addition, the Police Department's current inventory of Taser
conducted energy weapons are out of warranty and are past end -of -life (no longer
supported by the manufacturer). The Police Department received approval and funding
in the FY 2022-23 budget to implement a department -wide BWC program, replace the
existing ICV system and purchase new Tasers.
Upon a thorough review of the body -worn camera marketplace focused on technology,
efficiency, support and ongoing costs, staff determined the existing in -car video vendor
lacked several key features critical to Police Department operations. Staff determined that
Axon provided the best available body -worn camera and integrated in -car video program.
Axon was also the most cost effective due to discounts from purchasing BWC/ICV and
Tasers together, and the incentives offered for a 10-year agreement. Staff conducted a
lengthy needs analysis and negotiated a competitive deal for the City of Newport Beach
(City).
Cooperative Procurement Process
The Finance Department's purchasing and contracts administrator reviewed the
Sourcewell competitive Request for Proposals (RFP) process for BWC/ICV systems
conducted in 2020 and determined that it meets the City's standards for RFP processes.
Sourcewell is a Minnesota -based, local government organization that conducts
cooperative procurement processes on behalf of its nationwide member agencies. These
processes allow agencies to forgo lengthy RFP processes, saving significant staff time
and leveraging multi -agency purchasing power to reduce costs.
In addition to reduced pricing, City Council approval of the Sourcewell procurement will
save three months of time and resources to conduct the RFP process and will enable the
Police Department to meet an October 31, 2022, contract execution deadline to receive
a significant discount from the vendor. As a result of the negotiations conducted by the
Police Department, Axon agreed to provide, at no cost to the City, four integrated
interview room recording systems, including hardware, software, installation and
unlimited storage if the contract deadline is met. The value of the interview room systems
over the life of the agreement is $148,185.
Approval of the Sourcewell procurement will enable the Police Department to quickly
purchase the only BWC/IVC system available with an established digital evidence
management system fully integrated with the Orange County District Attorney's (DA's)
Office. This interface is critical to managing the staff time needed to process video and
other digital evidence and provides the DA's Office with timely access to that evidence.
Axon BWC/ICV System
The Police Department currently only has four body -worn cameras. If the Council
approves the agreement, the body -worn camera program will be expanded department -
wide. BWC/ICV systems are an important tool for law enforcement agencies to encourage
excellent service, ensure accuracy and accountability, and protect the City from liability.

While there are numerous benefits to implementing BWCs, the most notable features
unique to Axon are listed below.
• Full, seamless integration with an easy -to -use application for tablets and
smartphones and web access from PCs, laptops and in -car computers that allows
employees to manage their BWC, ICV and Taser devices and evidence recordings
with a single sign -on.
• In -car computer integration that no longer requires a separate viewing/control unit.
This frees up space in the police vehicle, on police motorcycles, and removes
obstacles in a driver's view plane.
• Established electronic interface with the DA's Office, allowing digital transfer of
evidence files, including third -party files such as 9-1-1 recordings. Eliminates
hundreds of DVDs per month that must be burned and hand -delivered to the DA's
Office and costly related systems.
• Evidence photo/video/audio can be taken using the Axon Capture app and
managed from any registered device. This allows elimination of existing digital
cameras, audio recorders and storage servers. The system is designed so that
digital files are transitory, are not stored permanently on a phone or tablet, cannot
be manipulated outside the system safeguards, and an audit trail is recorded for
every file.
Taser 7
The Taser is a critical tool that allows officers a less -than -lethal option for taking subjects
into custody and reducing officer or arrestee injuries. The Taser 7 is the newest conducted
electricity weapon from Axon and provides important improvements over the Police
Department's existing Tasers, which are obsolete. Key features include:
• Two aiming lasers, allowing officers to see both points of probe impact, improving
accuracy and effectiveness.
• Both short-range and long-range cartridges can be loaded in the Taser.
• Switching between short-range and long-range cartridges can be done without
lowering the Taser or an officer taking their eyes off the subject. The aiming lasers
adjust automatically.
• Management of the Taser and related logs through the same app as the BWC/ICV.
• Rechargeable batteries with improved battery life.
The agreement includes a full warranty, training suits, training cartridges and unlimited
duty cartridges. It also includes full replacement of the Tasers and docks at 60 months.
FISCAL IMPACT:
The adopted budget includes sufficient funding for this purchase. It will be expensed to
the Rental Equipment account in the PD Equipment Fund, 75304-811004. In the
FY 2022-23 budget adoption process, the City Council approved $455,000 for body -worn
cameras, in -car video systems and Tasers.

This amount was based on a quote from the existing in -car video vendor and from Axon
for Tasers. It included $305,000 in annual payment costs and $150,000 in first -year
start-up costs for hardware, de -installation of old hardware, and installation of new
hardware. Although the annual payment is higher than budgeted, start-up costs for the
agreement are considerably lower than expected, avoiding the need for additional funding
in the current fiscal year. Adjustments to the ISF (Fund 753 - PD Equipment Fund)
contribution to account for the higher annual payment will be addressed in future budget
formulation processes. Table 1 compares the adopted budget to the 10-year costs for the
Agreement.

The difference between the allocated budget of $3,200,000 over 10 years, and the
agreement costs of $3,430,214 over 10 years, amounts to $23,021 per year. For the
additional $23,021 per year, the Police Department will receive:
• 50 additional BWCs, for a total of 150 — one for every sworn officer, plus spares.
• Hardware refreshes (full replacement with new, up-to-date versions) of BWCs and
docking stations at 30, 60 and 90 months of the agreement.
• Full replacement of the ICV systems and Tasers at 60 months.
• Unlimited third -party data storage (for legacy ICV recordings, building CCTV
recordings, evidence photo or video files and any other digital files).
• Four complete interview room recording systems, including unlimited data storage.
The City Council approved one additional Police Community Services Officer (CSO) FTE
in the current budget to address the significant increase in video evidence expected with
implementation of the department -wide BWC system.
ENVIRONMENTAL REVIEW:
Staff recommends the City Council find this action is not subject to the California
Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not
result in a direct or reasonably foreseeable indirect physical change in the environment)
and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA
Guidelines, California Code of Regulations, Title 14, Chapter 3, because it has no
potential for resulting in physical change to the environment, directly or indirectly.

20.2 Authority. Each party represents as follows: (a) that it has full power and
authority to execute, deliver and perform its obligations under this Agreement; (b) that there
are no actions, proceedings or investigations, pending or, to the best of each party's
knowledge, threatened against such party which may in any manner whatsoever materially
affect the enforceability of this Agreement or the rights, duties and obligations of the parties
hereunder; and (c) that the execution, delivery and performance of this Agreement will not
constitute a breach or default under any agreement, law or court order under which such

party is a party or may be bound or affected by or which may affect the rights, duties and
obligations hereunder.
20.3 No Other Representations. Each party acknowledges and agrees that it is
relying on no representation of the other party except as expressly set forth herein.
21. CONFIDENTIAL INFORMATION.
21.1 Confidential Information. In the performance of this Agreement or in
contemplation thereof, the parties and their respective employees and agents may have

disclose it to others, nor authorize its employees, agents or anyone else to copy or disclose

21.3 Right to Injunctive Relief. Because of the unique nature of the Confidential
Information, the parties agree that each party may suffer irreparable harm in the event that
the other party fails to comply with any of its obligations under this Section, and that
monetary damages may be inadequate to compensate either party for such breach.
Accordingly, the parties agree that either party will, in addition to any other remedies
available to it at law or in equity, be entitled to seek injunctive relief to enforce the terms of
this Section.

3. Coverage Requirements.
A. Workers' Compensation Insurance. Contractor shall maintain Workers'

at least as broad as provided by Insurance Services Office form CG 00 01, in
an amount not less than one million dollars ($1,000,000) per occurrence, two
million dollars ($2,000,000) general aggregate. The policy shall cover liability
arising from premises, operations, products -completed operations, personal

4. Other Insurance Requirements. The policies are to contain, or be endorsed to contain,
the following provisions:
A. Waiver of Subrogation. All insurance coverage maintained or procured
pursuant to this Agreement shall be endorsed to waive subrogation against
City, its elected or appointed officers, agents, officials, employees and
volunteers or shall specifically allow Contractor or others providing insurance
evidence in compliance with these requirements to waive their right of recovery
prior to a loss. Contractor hereby waives its own right of recovery against City,
and shall require similar written express waivers from each of its
subconsultants.
B. Additional Insured Status. All liability policies including general liability, excess
liability, pollution liability, and automobile liability, if required, shall provide or be
endorsed to provide that City and its officers, officials, employees, and agents

5. Additional Agreements Between the Parties. The parties hereby agree to the
following:
A. Evidence of Insurance. Contractor shall provide certificates of insurance to City
as evidence of the insurance coverage required herein, along with a waiver of
subrogation endorsement for workers' compensation and other endorsements
as specified herein for each coverage. Insurance certificates and endorsement

receipt of written notice of such cancellation or reduction of coverage, file with
the City evidence of insurance showing that the required insurance has been
reinstated or has been provided through another insurance company or

AXON ENTERPRISE, INC. Page B-2 9-62
required by giving Contractor sixty (60) calendar days advance written notice
of such change. If such change results in substantial additional cost to
Contractor, City and Contractor may renegotiate Contractor's compensation.
C. Right to Review Subcontracts. Contractor agrees that upon request, all
agreements with subcontractors or others with whom Contractor enters into
contracts with on behalf of City will be submitted to City for review. Failure of
City to request copies of such agreements will not impose any liability on City,
or its employees.
D. Enforcement of Agreement Provisions. Contractor acknowledges and agrees
that any actual or alleged failure on the part of City to inform Contractor of non-
compliance with any requirement imposes no additional obligations on City nor
does it waive any rights hereunder.
E. Requirements not Limiting. Requirements of specific coverage features or
limits contained in this Section are not intended as a limitation on coverage,
limits or other requirements, or a waiver of any coverage normally provided by
any insurance. Specific reference to a given coverage feature is for purposes
of clarification only as it pertains to a given issue and is not intended by any
party or insured to be all inclusive, or to the exclusion of other coverage, or a
waiver of any type.
F. Self -insured Retentions. Any self -insured retentions must be declared to and
approved by City. Self-insurance will not be considered to comply with these
requirements unless approved by City.
G. City Remedies for Non -Compliance If Contractor or any subcontractor
fails to provide and maintain insurance as required herein, then City shall have
the right but not the obligation, to purchase such insurance, to terminate this
Agreement, or to suspend Contractor's right to proceed until proper evidence
of insurance is provided. Any amounts paid by City shall, at City's sole option,
be deducted from amounts payable to Contractor or reimbursed by Contractor
upon demand.
H. Timely Notice of Claims. Contractor shall give City prompt and timely notice of
claims made or suits instituted that arise out of or result from Contractor's
performance under this Agreement, and that involve or may involve coverage
under any of the required liability policies. City assumes no obligation or liability
by such notice, but has the right (but not the duty) to monitor the handling of
any such claim or claims if they are likely to involve City.
Contractor's Insurance. Contractor shall also procure and maintain, at its own
cost and expense, any additional kinds of insurance, which in its own
judgment may be necessary for its proper protection and prosecution of the
work.

Axon Customer Experience Improvement Program Appendix
Axon Customer Experience Improvement Program (ACEIP). The ACEIP is designed to accelerate Axon's
development of technology, such as building and supporting automated features, to ultimately increase safety
within communities and drive efficiency in public safety. To this end, subject to the limitations on Axon as
described below, Axon, where allowed by law, may make limited use of Agency Content from all of its customers,
to provide, develop, improve, and support current and future Axon products (collectively, "ACEIP Purposes").
However, at all times, Axon will comply with its obligations pursuant to the Axon Cloud Services Terms of Use
Appendix to maintain a comprehensive data security program (including compliance with the CJIS Security Policy
for Criminal Justice Information), privacy program, and data governance policy, including high industry standards
of de -identifying Personal Data, to enforce its security and privacy obligations for the ACEIP. ACEIP has 2 tiers
of participation, Tier 1 and Tier 2. By default, Agency will be a participant in ACEIP Tier 1. If Agency does not
want to participate in ACEIP Tier 1, Agency can revoke its consent at any time. If Agency wants to participate in
Tier 2, as detailed below, Agency can check the ACEIP Tier 2 box below. If Agency does not want to participate
in ACEIP Tier 2, Agency should leave box unchecked. At any time, Agency may revoke its consent to ACEIP Tier
1, Tier 2, or both Tiers.
2. ACEIP Tier 1.
2.1. When Axon uses Agency Content for the ACEIP Purposes, Axon will extract from Agency Content and
may store separately copies of certain segments or elements of the Agency Content (collectively,
"ACEIP Content"). When extracting ACEIP Content, Axon will use commercially reasonable efforts to
aggregate, transform or de -identify Agency Content so that the extracted ACEIP Content is no longer
reasonably capable of being associated with, or could reasonably be linked directly or indirectly to a
particular individual ("Privacy Preserving Tech nique(s)"). For illustrative purposes, some examples
are described in footnote 11. For clarity, ACEIP Content will still be linked indirectly, with an attribution,
to the Agency from which it was extracted. This attribution will be stored separately from the data
itself, but is necessary for and will be solely used to enable Axon to identify and delete all ACEIP
Content upon Agency request. Once de -identified, ACEIP Content may then be further modified,
analyzed, and used to create derivative works. At any time, Agency may revoke the consent granted
herein to Axon to access and use Agency Content for ACEIP Purposes. Within 30 days of receiving
the Agency's request, Axon will no longer access or use Agency Content for ACEIP Purposes and will
delete any and all ACEIP Content. Axon will also delete any derivative works which may reasonably
be capable of being associated with, or could reasonably be linked directly or indirectly to Agency. In
addition, if Axon uses Agency Content for the ACEIP Purposes, upon request, Axon will make
available to Agency a list of the specific type of Agency Content being used to generate ACEIP
Content, the purpose of such use, and the retention, privacy preserving extraction technique, and
relevant data protection practices applicable to the Agency Content or ACEIP Content ("Use Case").
From time to time, Axon may develop and deploy new Use Cases. At least 30 days prior to authorizing
the deployment of any new Use Case, Axon will provide Agency notice (by updating the list of Use
Case at https://www.axon.com/aceip and providing Agency with a mechanism to obtain notice of that
update or another commercially reasonable method to Agency designated contact) ("New Use
Case").
2.2. Expiration of ACEIP Tier 1. Agency consent granted herein, will expire upon termination of the
Agreement. In accordance with section 1.1.1, within 30 days of receiving the Agency's request, Axon
will no longer access or use Agency Content for ACEIP Purposes and will delete ACEIP Content. Axon
will also delete any derivative works which may reasonably be capable of being associated with, or
' For example; (a) when extracting specific text to improve automated transcription capabilities, text that could be used to directly
identify a particular individual would not be extracted, and extracted text would be disassociated from identifying metadata of any
speakers, and the extracted text would be split into individual words and aggregated with other data sources (including publicly
available data) to remove any reasonable ability to link any specific text directly or indirectly back to a particular individual; (b) when
extracting license plate data to improve Automated License Plate Recognition (ALPR) capabilities, individual license plate
characters would be extracted and disassociated from each other so a complete plate could not be reconstituted, and all association
to other elements of the source video, such as the vehicle, location, time, and the surrounding environment would also be removed;
(c) when extracting audio of potential acoustic events (such as glass breaking or gun shots), very short segments (<1 second) of
audio that only contains the likely acoustic events would be extracted and all human utterances would be removed.

ACEIP Tier 2. In addition to ACEIP Tier 1, if Agency wants to help further improve Axon's services, Agency
may choose to participate in Tier 2 of the ACEIP. ACEIP Tier 2 grants Axon certain additional rights to use
Agency Content, in addition to those set forth in Tier 1 above, without the guaranteed deployment of a

accomplished with aggregated, transformed or de -identified data.
