Subject: Utilization of SJHTC Fee Credits - Standard Pacific of Orange County
This letter is to formally request that Standard Pacific be allowed to utilize San Joaquin Hills
Transportation Corridor fee credits in the amount of $7,473 for 3 units to be built on Tract 15243,
Lots 1-3 at Newport North.
Based on executed San Joaquin Hills Transportation Corridor Amended and Restated Combined Fee
Credit and Reimbursement Agreement between the Transportation Corridor Agency (TCA) and The
Irvine Company, the TCA has granted The Irvine Company $21,608,269 available fee credits in
exchange for dedication of Company land to the TCA for construction of the San Joaquin Hills
Transportation Corridor. The Irvine Company has transferred $5,000,000 of the available fee credits
to Irvine Community Development Company, a wholly owned subsidiary of The Irvine Company. The
fee credits which are the subject of this letter are being transferred by Irvine Community Development
Company. After application to the fee credits requested per this letter, a total of $10,810,299 in fee
credits will remain with The Irvine Company and $3,055,478 will remain with Irvine Community
Development Company.
Attached are 1 original and 1 copy of an executed agreement for transfer of interest in fee credits.

TRANSFER OF INTEREST IN FEE CREDITS
This Agreement for Transfer of Interest in Fee Credits is made this loth day of November,
1997 by Irvine Community Development Company ("Developer") to Standard Pacific of Orange County
("Developer's Transferee") with respect to the following facts:
RECITALS
1. The Irvine Company ("TIC") and the San Joaquin Hills Transportation Corridor Agency
entered into a certain Fee Credit and Reimbursement Agreement on the 13th day of June, 1991 (the "Fee
Credit Agreement").
2. The Fee Credit Agreement allows for transfer of TIC's Available Fee Credits (as defined
therein) to a successor -in -interest subject to certain terms and conditions.
3. TIC has transferred a portion of TIC's available Fee Credits to Developer.
4. Developer's Transferee is the successor -in -interest to the real property within the boundaries of
the Area of Benefit (as that term is defined in the Fee Credit Agreement), which real property is more
particularly described as Tract 15243, Lots 1-3 in the County of Orange, California.
5. Developer desires to transfer a portion of Developer's Available Fee Credits to Developer's
Transferee.
6. Developer's transfer hereunder in no way limits or otherwise affects TIC's obligations under
the Fee Credit Agreement which obligations are in no way assumed or transferred to Developer's Transferee.
NOW, THEREFORE, in consideration of the above, the parties hereto agree as follows:
AGREEMENT
Developer hereby transfers to Developer's Transferee Seven Thousand, Four Hundred Seventy
Three Dollars ($7,473) of Developer's Available Fee Credits for use on development within the above
described real property, which Available Fee Credits may be applied by Transferee against "Development
Fees" (as defined in the Fee Credit Agreement) in accordance with the terms and conditions set forth in the Fee
Credit Agreement.
IN WITNESS WHEREOF, the parties have executed the Agreement as of the day and year
first above written.

Transportation Corridor. The Irvine Company has transferred $5,000,000 of the available fee credits
to Irvine Community Development Company, a wholly owned subsidiary of The Irvine Company. The
fee credits which are the subject of this letter are being transferred by Irvine Community Development
Company. After application to the fee credits requested per this letter, a total of $10,810,299 in fee
credits will remain with The Irvine Company and $3,055,673 will remain with Irvine Community
Development Company.

This letter is to formally request that Irvine Apartment Communities be allowed to utilize San Joaquin Hills
Transportation Corridor fee credits in the amount of $346,920 for 245 units to be built on Tract 15178 in
the City of Newport Beach.
Based on executed San Joaquin Hills Transportation Corridor Fee Credit and Reimbursement
Agreements between the Transportation Corridor Agency (TCA) and The Irvine Company, the TCA has
granted The Irvine Company $17,376,219 in available fee credits in exchange for dedication of Company
land to the TCA for construction of the Foothill/Eastern Transportation Corridor. After application to the
fee credits requested per this letter, a total of $12,221,266 in fee credits will remain as summarized below.

CORRIDOR AGENCY APPROVING AN ANNUAL ADJUSTMENT
IN THE AREA OF BENEFIT FEES AND MAKING CERTAIN
FINDINGS RELATING TO ANNUAL ADJUSTMENT OF
THE AREA OF BENEFIT FEES
On motion of Director Richardson , the following Resolution was
adopted:
WHEREAS, the member public agencies (the "Members") of the San Joaquin
Hills Transportation Corridor Agency (the "Agency") have been authorized, pursuant to
section 66484.3 of the Government Code of the State of California (the "Act") to require
by ordinance the payment of a fee (the "Development Fee") as a condition of approval of
a final map or as a condition of issuing a building permit, for the purpose of deferring the
actual estimated cost of constructing bridges over waterways, railways, freeways and
canyons or constructing major thoroughfares; and
WHEREAS, pursuant to the Major Thoroughfare and Bridge Fee Program for San
Joaquin Hills Transportation Corridor and Foothill/Eastem Transportation Corridors (the
"Fee Program"), attached as Exhibit A to the First Amended and Restated Joint Exercise
of Powers Agreement Creating the San Joaquin Hills Transportation Corridor Agency,
dated October 21, 1988 (the "JPA" ), and the ordinances and resolutions necessary to
implement the Fee Program by Members, the Development Fee has been levied; and
WHEREAS, pursuant to Section XII of the Fee Program, the Development Fees
are automatically adjusted annually in accordance with Government Code Section
66484.3 to reflect increases in construction costs; and
WHEREAS, this Board desires to increase the Development Fee to reflect
increases in construction costs, as reflected in the bond financing documents for the San
Joaquin Hills Transportation Corridor ("Bond Financing Documents"); and
NOW, THEREFORE, be it resolved, determined and ordered by the Board of
Directors of the San Joaquin Hills Transportation Corridor Agency as follows:

Section 1. The increase of the Development Fee and the adjustment in the credit
rate for right-of-way credit and supplemental credits in accordance with the schedule
attached hereto as Exhibit A, and in conformity with the Bond Financing Documents
dated March 4, 1993, is hereby approved and ordered. The schedule of fees with regard
to the San Joaquin Hills Transportation Corridor Agency on Page 21 of the Fee Program
and the credit rate for right-of-way credits and supplemental credits on pages 26 of the
Fee Program are hereby revised in accordance with Exhibit A hereto.
Section 2. The purpose of the increase in the Development Fees is to reflect cost
increases in connection with the construction of bridges over waterways, railways,
freeways and canyons or constructing major thoroughfares in Orange County, as more
fully described in the Fee Program.
Section . The Development Fees are to be used pursuant to the provisions of the
Fee Program as revised on January 1991.
Section . The Agency hereby determines that there is a fair and reasonable
relationship between the use of the Development Fees and the type of development
projects on which the Development Fees are imposed. This determination is based on the
findings and determinations in the Fee Program and the findings and determinations in
Resolution No. S91-01 adopted by the Board of Directors on January 10, 1991. The
findings and determinations in Resolution No. S91-01 are incorporated herein by
reference.
Section . The Agency hereby determines that there is a fair and reasonable
relationship between the need for the public facilities to be constructed with the proceeds
of the Development Fees and the type of development project on which the Development
Fees are imposed. This determination is based on the findings and determinations
contained in the Fee Program and the findings and determinations in Resolution No. S91-
01.
Section . The Agency hereby determines that there is a fair and reasonable
relationship between the amount of Development Fees and the total estimated cost of the
San Joaquin Hills Transportation Corridor. This determination is based upon the findings
and determinations of the Fee Program and the findings and determinations in Resolution
No. S91-01.

TRANSFER OF INTEREST IN FEE CREDITS
This Agreement is made and entered into this 10th day of December 1996 by and between The Irvine
Company, a Michigan corporation ("Developer"), and Standard Pacific of Orange County ("Developer's Transferee")
with respect to the following facts:
RECITALS
1. Developer and the San Joaquin Hills Transportation Corridor Agency entered into a certain
Amended and Restated Combined Fee Credit and Reimbursement Agreement effective as of the 21st day of
November, 1996 (the "Fee Credit Agreement").
2. The Fee Credit Agreement allows for transfer of Developer's Remaining Fee Credits (as
defined therein) to a successor -in -interest subject to certain terms and conditions.
3. Developer's Transferee is the successor -in -interest to the real property within the boundaries
of the Area of Benefit (as that term is defined in the Fee Credit Agreement), which real property is more particularly
described as Lots 24-35 in Tract 15243 in the City of Newport Beach, County of Orange, California.
4. Developer desires to transfer a portion of Developer's Remaining Fee Credits to Developer's
Transferee.
5. The Fee Credit Agreement requires Developer's Transferee to acknowledge and accept the
terms and obligations contained in the Fee Credit Agreement.

CORRIDOR AGENCY APPROVING AN ANNUAL ADJUSTMENT
IN THE AREA OF BENEFIT FEES AND MAKING CERTAIN
FINDINGS RELATING TO ANNUAL ADJUSTMENT OF
THE AREA OF BENEFIT FEES
On motion of Director Richardson , the following Resolution was
adopted:
WHEREAS, the member public agencies (the "Members") of the San Joaquin
Hills Transportation Corridor Agency (the "Agency") have been authorized, pursuant to
section 66484.3 of the Government Code of the State of California (the "Act") to require
by ordinance the payment of a fee (the "Development Fee") as a condition of approval of
a final map or as a condition of issuing a building permit, for the purpose of deferring the
actual estimated cost of constructing bridges over waterways, railways, freeways and
canyons or constructing major thoroughfares; and
WHEREAS, pursuant to the Major Thoroughfare and Bridge Fee Program for San
Joaquin Hills Transportation Corridor and Foothill/Eastern Transportation Corridors (the
"Fee Program"), attached as Exhibit A to the First Amended and Restated Joint Exercise
of Powers Agreement Creating the San Joaquin Hills Transportation Corridor Agency,
dated October 21, 1988 (the "JPA"), and the ordinances and resolutions necessary to
implement the Fee Program by Members, the Development Fee has been levied; and
WHEREAS, pursuant to Section XII of the Fee Program, the Development Fees
are automatically adjusted annually in accordance with Government Code Section
66484.3 to reflect increases in construction costs; and
WHEREAS, this Board desires to increase the Development Fee to reflect
increases in construction costs, as reflected in the bond financing documents for the San
Joaquin Hills Transportation Corridor ("Bond Financing Documents"); and
NOW, THEREFORE, be it resolved, determined and ordered by the Board of
Directors of the San Joaquin Hills Transportation Corridor Agency as follows:

Section 1. The increase of the Development Fee and the adjustment in the credit
rate for right-of-way credit and supplemental credits in accordance with the schedule
attached hereto as Exhibit A, and in conformity with the Bond Financing Documents
dated March 4, 1993, is hereby approved and ordered. The schedule of fees with regard
to the San Joaquin Hills Transportation Corridor Agency on Page 21 of the Fee Program
and the credit rate for right-of-way credits and supplemental credits on pages 26 of the
Fee Program are hereby revised in accordance with Exhibit A hereto.
Section 2. The purpose of the increase in the Development Fees is to reflect cost
increases in connection with the construction of bridges over waterways, railways,
freeways and canyons or constructing major thoroughfares in Orange County, as more
fully described in the Fee Program.
Section 3. The Development Fees are to be used pursuant to the provisions of the
Fee Program as revised on January 1991.
Section 4. The Agency hereby determines that there is a fair and reasonable
relationship between the use of the Development Fees and the type of development
projects on which the Development Fees are imposed. This determination is based' on the
findings and determinations in the Fee Program and the findings and determinations in
Resolution No. S91-01 adopted by the Board of Directors on January 10, 1991. The
findings and determinations in Resolution No. S91-01 are incorporated herein by
reference.
Section 5. The Agency hereby determines that there is a fair and reasonable
relationship between the need for the public facilities to be constructed with the proceeds
of the Development Fees and the type of development project on which the Development
Fees are imposed. This determination is based on the findings and determinations
contained in the Fee Program and the findings and determinations in Resolution No. 591-
01.
Section 6. The Agency hereby determines that there is a fair and reasonable
relationship between the amount of Development Fees and the total estimated cost of the
San Joaquin Hills Transportation Corridor. This determination is based upon the findings
and determinations of the Fee Program and the findings and determinations in Resolution
No. 591-01.

TRANSFER OF INTEREST IN FEE CREDITS
This Agreement is made and entered into this 26th day of June, 1996 by and between
The Irvine Company ("Developer") and Standard Pacific Of Orange County ("Developer's Transferee")
with respect to the following facts:
RECITALS
1. Developer and the San Joaquin Hills Transportation Corridor Agency entered into
a certain Agreement for Grant of Fee Credits on the 10th day of May, 1995 (the "Fee Credit Agreement").
2. The Fee Credit Agreement allows for transfer of Developer's Available Fee
Credits (as defined therein) to a successor -in -interest subject to certain terms and conditions.
3. Developer's Transferee is the successor -in -interest to the real property within the
boundaries of the Area of Benefit (as that term is defined in the Fee Credit Agreement), which real
property is more particularly described as Lots 1-8 & 30-42 of Tract 15011 in the City of Newport Beach,
County of Orange, California.
4. Developer desires to transfer a portion of Developer's Available Fee Credits to
Developer's Transferee.
5. The Fee Credit Agreement requires Developer's Transferee to acknowledge and
accept the terms and obligations contained in the Fee Credit Agreement.
NOW, THEREFORE, in consideration of the above, the parties hereto agree as follows:
AGREEMENT
A. Developer's Transferee acknowledges all terms, conditions and obligations of the
Fee Credit Agreement insofar as such Fee Credit Agreement applies to the Fee Credits transferred
hereunder.
B. Developer hereby transfers to Developer's Transferee Forty -Nine thousand, Six

2. The Fee Credit Agreement allows for transfer of Developer's Available Fee
Credits (as defined therein) to a successor -in -interest subject to certain terms and conditions.
3. Developer's Transferee is the successor -in -interest to the real property within
the boundaries of the Area of Benefit (as that term is defined in the Fee Credit Agreement), which real
property is more particularly described as Tract 14989, in the County of Orange, California.
4. Developer desires to transfer a portion of Developer's Available Fee Credits to
Developer's Transferee.
5. Developer's transfer hereunder in no way limits or otherwise affects Developer's
obligations under the Fee Credit Agreement which obligations are in no way assumed or transferred
to Developer's Transferee.
NOW, THEREFORE, in consideration of the above, the parties hereto agree as follows:
AGREEMENT
Developer hereby transfers to Developer's Transferee Five Hundred Nineteen Thousand
Three Hundred Dollars ($413,700) of Developer's Available Fee Credits for use on development within
the above described real property, which Available Fee Credits may be applied by Transferee against
"Development Fees" (as defined in the Fee Credit Agreement) in accordance with the terms and
conditions set forth in the Fee Credit Agreement.
IN WITNESS WHEREOF, the parties have executed the Agreement as of the day and
year first above written.

TRANSFER OF INTEREST IN FEE CREDITS
This Agreement for Transfer of Interest in Fee Credits is made this 28th day of
November, 1995 by The Irvine Company ("Developer") to Irvine Apartment Communities
("Developer's Transferee") with respect to the following facts:
RECITALS
1. Developer and the San Joaquin Hills Transportation Corridor Agency entered into
a certain Fee Credit and Reimbursement Agreement on the 13th day of June, 1991 (the "Fee Credit
Agreement").
2. The Fee Credit Agreement allows for transfer of Developer's Available Fee
