FOR ENGINEERING SERVICES THIS ON -CALL PROFESSIONAL SERVICES AGREEMENT ("Agreement') is made and entered into as of this 27th day of August, 2024 ("Effective Date"), by and between the CITY OF NEWPORT BEACH, a California municipal corporation and charter city ("City"), and ITERIS, INC., a Delaware corporation ("Consultant'), whose address on file with the Secretary of State is 1250 South Capital Of Texas Hwy Building 1, Suite 330, Austin, Texas 78746, with a local address of 1700 Carnegie Ave., Suite 100, Santa Ana, CA 92705, and is made with reference to the following: RECITALS A. City is a municipal corporation duly organized and validly existing under the laws of the State of California with the power to carry on its business as it is now being conducted under the statutes of the State of California and the Charter of City. B. City desires to engage Consultant to provide on -call, as needed traffic and/or transportation professional engineering services ("Project'). C. Consultant possesses the skill, experience, ability, background, certification and knowledge to provide the professional services described in this Agreement. D. City has solicited and received a proposal from Consultant, has reviewed the previous experience and evaluated the expertise of Consultant, and desires to retain Consultant to render professional services under the terms and conditions set forth in this Agreement. NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as follows: 1. TERM The term of this Agreement shall commence on the Effective Date, and shall terminate on August 27, 2027, unless terminated earlier as set forth herein. 2. SERVICES TO BE PERFORMED 2.1 Consultant shall perform the on -call services described in the Scope of Services attached hereto as Exhibit A and incorporated herein by reference ("Services" or "Work"). Upon written request from the Project Administrator as defined herein, Consultant shall provide a letter proposal for Services requested by the City (hereinafter referred to as the "Letter Proposal"). The Letter Proposal shall include the following: 2.1.1 A detailed description of the Services to be provided; 2.1.2 The position of each person to be assigned to perform the Services, and the name of the individuals to be assigned, if available; and 2.1.3 The estimated number of hours and cost to complete the Services; 2.1.4 The time needed to finish the specific project. 2.2 No Services shall be provided until the Project Administrator has provided written acceptance of the Letter Proposal. Once authorized to proceed, Consultant shall diligently perform the duties in the approved Letter Proposal. 3. TIME OF PERFORMANCE 3.1 Time is of the essence in the performance of Services under this Agreement and Consultant shall perform the Services in accordance with the schedule included in Exhibit A and the Letter Proposal. In the absence of a specific schedule, the Services shall be performed to completion in a diligent and timely manner. The failure by Consultant to strictly adhere to the schedule set forth in Exhibit A and the Letter Proposal, if any, or perform the Services in a diligent and timely manner may result in termination of this Agreement by City. 3.2 Notwithstanding the foregoing, Consultant shall not be responsible for delays due to causes beyond Consultant's reasonable control. However, in the case of any such delay in the Services to be provided for the Project, each party hereby agrees to provide notice within two (2) calendar days of the occurrence causing the delay to the other party so that all delays can be addressed. 3.3 Consultant shall submit all requests for extensions of time for performance in writing to the Project Administrator as defined herein not later than ten (10) calendar days after the start of the condition that purportedly causes a delay. The Project Administrator shall review all such requests and may grant reasonable time extensions for unforeseeable delays that are beyond Consultant's control. 3.4 For all time periods not specifically set forth herein, Consultant shall respond in the most expedient and appropriate manner under the circumstances, by hand -delivery or mail. 4. COMPENSATION TO CONSULTANT 4.1 City shall pay Consultant for the Services on a time and expense not -to - exceed basis in accordance with the provisions of this Section and the Letter Proposal and the Schedule of Billing Rates attached hereto as Exhibit B and incorporated herein by reference. Consultant's compensation for all Work performed in accordance with this Agreement, including all reimbursable items and subconsultant fees, shall not exceed Three Hundred Thousand Dollars and 00/100 ($300,000.00), without prior written authorization from City. No billing rate changes shall be made during the term of this Agreement without the prior written approval of City. Iteris, Inc. Page 2 4.2 Consultant shall submit monthly invoices to City describing the Work performed the preceding month. Consultant's bills shall include the name of the person who performed the Work, a brief description of the Services performed and/or the specific task in the Scope of Services to which it relates, the date the Services were performed, the number of hours spent on all Work billed on an hourly basis, and a description of any reimbursable expenditures. City shall pay Consultant no later than thirty (30) calendar days after approval of the monthly invoice by City staff. 4.3 City shall reimburse Consultant only for those costs or expenses specifically identified in Exhibit B to this Agreement and the Letter Proposal or specifically approved in writing in advance by City. 4.4 Consultant shall not receive any compensation for Extra Work performed without the prior written authorization of City. As used herein, "Extra Work" means any Work that is determined by City to be necessary for the proper completion of the Project, but which is not included within the Scope of Services and which the parties did not reasonably anticipate would be necessary at the execution of this Agreement. Compensation for any authorized Extra Work shall be paid in accordance with the Schedule of Billing Rates as set forth in Exhibit B and the Letter Proposal. 5. PROJECT MANAGER 5.1 Consultant shall designate a Project Manager, who shall coordinate all phases of the Project. This Project Manager shall be available to City at all reasonable times during the Agreement term. Consultant has designated Paul Frislie to be its Project Manager. Consultant shall not remove or reassign the Project Manager or any personnel listed in Exhibit A or assign any new or replacement personnel to the Project without the prior written consent of City. City's approval shall not be unreasonably withheld with respect to the removal or assignment of non -key personnel. 5.2 Consultant, at the sole discretion of City, shall remove from the Project any of its personnel assigned to the performance of Services upon written request of City. Consultant warrants that it will continuously furnish the necessary personnel to complete the Project on a timely basis as contemplated by this Agreement. 5.3 If Consultant is performing inspection services for City, the Project Manager and any other assigned staff shall be equipped with a cellular phone to communicate with City staff. The Project Manager's cellular phone number shall be provided to City. 6. ADMINISTRATION This Agreement will be administered by the Public Works Department. City's Director of Public Works or designee shall be the Project Administrator and shall have the authority to act for City under this Agreement. The Project Administrator shall represent City in all matters pertaining to the Services to be rendered pursuant to this Agreement. Iteris, Inc. Page 3 7. CITY'S RESPONSIBILITIES To assist Consultant in the execution of its responsibilities under this Agreement, City agrees to provide access to and upon request of Consultant, one copy of all existing relevant information on file at City. City will provide all such materials in a timely manner so as not to cause delays in Consultant's Work schedule. 8. STANDARD OF CARE 8.1 All of the Services shall be performed by Consultant or under Consultant's supervision. Consultant represents that it possesses the professional and technical personnel required to perform the Services required by this Agreement, and that it will perform all Services in a manner commensurate with community professional standards and with the ordinary degree of skill and care that would be used by other reasonably competent practitioners of the same discipline under similar circumstances. All Services shall be performed by qualified and experienced personnel who are not employed by City. By delivery of completed Work, Consultant certifies that the Work conforms to the requirements of this Agreement, all applicable federal, state and local laws, and legally recognized professional standards. 8.2 Consultant represents and warrants to City that it has, shall obtain, and shall keep in full force and effect during the term hereof, at its sole cost and expense, all licenses, permits, qualifications, insurance and approvals of whatsoever nature that is legally required of Consultant to practice its profession. Consultant shall maintain a City of Newport Beach business license during the term of this Agreement. 8.3 Consultant shall not be responsible for delay, nor shall Consultant be responsible for damages or be in default or deemed to be in default by reason of strikes, lockouts, accidents, acts of God, or the failure of City to furnish timely information or to approve or disapprove Consultant's Work promptly, or delay or faulty performance by City, contractors, or governmental agencies. 9. HOLD HARMLESS 9.1 To the fullest extent permitted by law, Consultant shall indemnify, defend and hold harmless City, its City Council, boards and commissions, officers, agents, volunteers and employees (collectively, the "Indemnified Parties"), from and against any and all claims (including, without limitation, claims for bodily injury, death or damage to property), demands, obligations, damages, actions, causes of action, suits, losses, judgments, fines, penalties, liabilities, costs and expenses (including, without limitation, attorneys' fees, disbursements and court costs) of every kind and nature whatsoever (individually, a Claim; collectively, "Claims"), and which relate (directly or indirectly) to the negligence, recklessness, or willful misconduct of the Consultant or its principals, officers, agents, employees, vendors, suppliers, subconsultants, subcontractors, anyone employed directly or indirectly by any of them or for whose acts they may be liable, or any or all of them. 9.2 Notwithstanding the foregoing, nothing herein shall be construed to require Consultant to indemnify the Indemnified Parties from any Claim arising from the sole Iteris, Inc. Page 4 negligence, active negligence or willful misconduct of the Indemnified Parties. Nothing in this indemnity shall be construed as authorizing any award of attorneys' fees in any action on or to enforce the terms of this Agreement. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by the Consultant. 10. INDEPENDENT CONTRACTOR It is understood that City retains Consultant on an independent contractor basis and Consultant is not an agent or employee of City. The manner and means of conducting the Work are under the control of Consultant, except to the extent they are limited by statute, rule or regulation and the expressed terms of this Agreement. No civil service status or other right of employment shall accrue to Consultant or its employees. Nothing in this Agreement shall be deemed to constitute approval for Consultant or any of Consultant's employees or agents, to be the agents or employees of City. Consultant shall have the responsibility for and control over the means of performing the Work, provided that Consultant is in compliance with the terms of this Agreement. Anything in this Agreement that may appear to give City the right to direct Consultant as to the details of the performance of the Work or to exercise a measure of control over Consultant shall mean only that Consultant shall follow the desires of City with respect to the results of the Services. 11. COOPERATION Consultant agrees to work closely and cooperate fully with City's designated Project Administrator and any other agencies that may have jurisdiction or interest in the Work to be performed. City agrees to cooperate with the Consultant on the Project. 12. CITY POLICY Consultant shall discuss and review all matters relating to policy and Project direction with City's Project Administrator in advance of all critical decision points in order to ensure the Project proceeds in a manner consistent with City goals and policies. 13. PROGRESS Consultant is responsible for keeping the Project Administrator informed on a regular basis regarding the status and progress of the Project, activities performed and planned, and any meetings that have been scheduled or are desired. 14. INSURANCE Without limiting Consultant's indemnification of City, and prior to commencement of Work, Consultant shall obtain, provide and maintain at its own expense during the term of this Agreement or for other periods as specified in this Agreement, policies of insurance of the type, amounts, terms and conditions described in the Insurance Requirements attached hereto as Exhibit C, and incorporated herein by reference. PROHIBITION AGAINST ASSIGNMENTS AND TRANSFERS Except as specifically authorized under this Agreement, the Services to be provided under this Agreement shall not be assigned, transferred contracted or subcontracted out without the prior written approval of City. Any of the following shall be construed as an assignment: The sale, assignment, transfer or other disposition of any of the issued and outstanding capital stock of Consultant, or of the interest of any general partner or joint venturer or syndicate member or cotenant if Consultant is a partnership or joint -venture or syndicate or co -tenancy, which shall result in changing the control of Consultant. Control means fifty percent (50%) or more of the voting power or twenty-five percent (25%) or more of the assets of the corporation, partnership or joint -venture. 16. SUBCONTRACTING The subcontractors authorized by City, if any, to perform Work on this Project are identified in Exhibit A and the Letter Proposal. Consultant shall be fully responsible to City for all acts and omissions of any subcontractor. Nothing in this Agreement shall create any contractual relationship between City and any subcontractor nor shall it create any obligation on the part of City to pay or to see to the payment of any monies due to any such subcontractor other than as otherwise required by law. City is an intended beneficiary of any Work performed by the subcontractor for purposes of establishing a duty of care between the subcontractor and City. Except as specifically authorized herein, the Services to be provided under this Agreement shall not be otherwise assigned, transferred, contracted or subcontracted out without the prior written approval of City. 17. OWNERSHIP OF DOCUMENTS 17.1 Each and every report, draft, map, record, plan, document and other writing produced, including but not limited to, websites, blogs, social media accounts and applications (hereinafter "Documents"), prepared or caused to be prepared by Consultant, its officers, employees, agents and subcontractors, in the course of implementing this Agreement, shall become the exclusive property of City, and City shall have the sole right to use such materials in its discretion without further compensation to Consultant or any other party. Additionally, all material posted in cyberspace by Consultant, its officers, employees, agents and subcontractors, in the course of implementing this Agreement, shall become the exclusive property of City, and City shall have the sole right to use such materials in its discretion without further compensation to Consultant or any other party. Consultant shall, at Consultant's expense, provide such Documents, including all logins and password information to City upon prior written request. 17.2 Documents, including drawings and specifications, prepared by Consultant pursuant to this Agreement are not intended or represented to be suitable for reuse by City or others on any other project. Any use of completed Documents for other projects and any use of incomplete Documents without specific written authorization from Consultant will be at City's sole risk and without liability to Consultant. Further, any and all liability arising out of changes made to Consultant's deliverables under this Agreement by City or persons other than Consultant is waived against Consultant, and City assumes Iteris, Inc. Page 6 full responsibility for such changes unless City has given Consultant prior notice and has received from Consultant written consent for such changes. 17.3 All written documents shall be transmitted to City in formats compatible with Microsoft Office and/or viewable with Adobe Acrobat. 18. CONFIDENTIALITY All Documents, including drafts, preliminary drawings or plans, notes and communications that result from the Services in this Agreement, shall be kept confidential unless City expressly authorizes in writing the release of information. 19. INTELLECTUAL PROPERTY INDEMNITY Consultant shall defend and indemnify City, its agents, officers, representatives and employees against any and all liability, including costs, for infringement or alleged infringement of any United States' letters patent, trademark, or copyright, including costs, contained in Consultant's Documents provided under this Agreement. 20. RECORDS Consultant shall keep records and invoices in connection with the Services to be performed under this Agreement. Consultant shall maintain complete and accurate records with respect to the costs incurred under this Agreement and any Services, expenditures and disbursements charged to City, for a minimum period of three (3) years, or for any longer period required by law, from the date of final payment to Consultant under this Agreement. All such records and invoices shall be clearly identifiable. Consultant shall allow a representative of City to examine, audit and make transcripts or copies of such records and invoices during regular business hours. Consultant shall allow inspection of all Work, data, Documents, proceedings and activities related to the Agreement for a period of three (3) years from the date of final payment to Consultant under this Agreement. 21. WITHHOLDINGS City may withhold payment to Consultant of any disputed sums until satisfaction of the dispute with respect to such payment. Such withholding shall not be deemed to constitute a failure to pay according to the terms of this Agreement. Consultant shall not discontinue Work as a result of such withholding. Consultant shall have an immediate right to appeal to the City Manager or designee with respect to such disputed sums. Consultant shall be entitled to receive interest on any withheld sums at the rate of return that City earned on its investments during the time period, from the date of withholding of any amounts found to have been improperly withheld. 22. ERRORS AND OMISSIONS In the event of errors or omissions that are due to the negligence or professional inexperience of Consultant which result in expense to City greater than what would have resulted if there were not errors or omissions in the Work accomplished by Consultant, Iteris, Inc. Page 7 the additional design, construction and/or restoration expense shall be borne by Consultant. Nothing in this Section is intended to limit City's rights under the law or any other sections of this Agreement. 23. CITY'S RIGHT TO EMPLOY OTHER CONSULTANTS City reserves the right to employ other Consultants in connection with the Project. 24. CONFLICTS OF INTEREST 24.1 Consultant or its employees may be subject to the provisions of the California Political Reform Act of 1974 (the "Act") and/or Government Code §§ 1090 et seq., which (1) require such persons to disclose any financial interest that may foreseeably be materially affected by the Work performed under this Agreement, and (2) prohibit such persons from making, or participating in making, decisions that will foreseeably financially affect such interest. 24.2 If subject to the Act and/or Government Code §§ 1090 et seq., Consultant shall conform to all requirements therein. Failure to do so constitutes a material breach and is grounds for immediate termination of this Agreement by City. Consultant shall indemnify and hold harmless City for any and all claims for damages resulting from Consultant's violation of this Section. 25. NOTICES 25.1 All notices, demands, requests or approvals, including any change in mailing address, to be given under the terms of this Agreement shall be given in writing, and conclusively shall be deemed served when delivered personally, or on the third business day after the deposit thereof in the United States mail, postage prepaid, first- class mail, addressed as hereinafter provided. 25.2 All notices, demands, requests or approvals from Consultant to City shall be addressed to City at: Attn: Director of Public Works Public Works City of Newport Beach 100 Civic Center Drive Newport Beach, CA 92660 25.3 All notices, demands, requests or approvals from City to Consultant shall be addressed to Consultant at: Attn: Paul Frislie Iteris, Inc. 1700 Carnegie Ave Suite 100 Santa Ana, CA 92705 Iteris, Inc. Page 8 26. CLAIMS Unless a shorter time is specified elsewhere in this Agreement, before making its final request for payment under this Agreement, Consultant shall submit to City, in writing, all claims for compensation under or arising out of this Agreement. Consultant's acceptance of the final payment shall constitute a waiver of all claims for compensation under or arising out of this Agreement except those previously made in writing and identified by Consultant in writing as unsettled at the time of its final request for payment. Consultant and City expressly agree that in addition to any claims filing requirements set forth in the Agreement, Consultant shall be required to file any claim Consultant may have against City in strict conformance with the Government Claims Act (Government Code sections 900 et seq.). 27. TERMINATION 27.1 In the event that either party fails or refuses to perform any of the provisions of this Agreement at the time and in the manner required, that party shall be deemed in default in the performance of this Agreement. If such default is not cured within a period of two (2) calendar days, or if more than two (2) calendar days are reasonably required to cure the default and the defaulting party fails to give adequate assurance of due performance within two (2) calendar days after receipt of written notice of default, specifying the nature of such default and the steps necessary to cure such default, and thereafter diligently take steps to cure the default, the non -defaulting party may terminate the Agreement forthwith by giving to the defaulting party written notice thereof. 27.2 Notwithstanding the above provisions, City shall have the right, at its sole and absolute discretion and without cause, of terminating this Agreement at any time by giving no less than seven (7) calendar days' prior written notice to Consultant. In the event of termination under this Section, City shall pay Consultant for Services satisfactorily performed and costs incurred up to the effective date of termination for which Consultant has not been previously paid. On the effective date of termination, Consultant shall deliver to City all reports, Documents and other information developed or accumulated in the performance of this Agreement, whether in draft or final form. 28. STANDARD PROVISIONS 28.1 Recitals. City and Consultant acknowledge that the above Recitals are true and correct and are hereby incorporated by reference into this Agreement. 28.2 Compliance with all Laws. Consultant shall, at its own cost and expense, comply with all statutes, ordinances, regulations and requirements of all governmental entities, including federal, state, county or municipal, whether now in force or hereinafter enacted. In addition, all Work prepared by Consultant shall conform to applicable City, county, state and federal laws, rules, regulations and permit requirements and be subject to approval of the Project Administrator and City. 28.3 Waiver. A waiver by either party of any breach, of any term, covenant or condition contained herein shall not be deemed to be a waiver of any subsequent breach Iteris, Inc. Page 9 of the same or any other term, covenant or condition contained herein, whether of the same or a different character. 28.4 Integrated Contract. This Agreement represents the full and complete understanding of every kind or nature whatsoever between the parties hereto, and all preliminary negotiations and agreements of whatsoever kind or nature are merged herein. No verbal agreement or implied covenant shall be held to vary the provisions herein. 28.5 Conflicts or Inconsistencies. In the event there are any conflicts or inconsistencies between this Agreement and the Scope of Services or any other attachments attached hereto, the terms of this Agreement shall govern. 28.6 Interpretation. The terms of this Agreement shall be construed in accordance with the meaning of the language used and shall not be construed for or against either party by reason of the authorship of the Agreement or any other rule of construction which might otherwise apply. 28.7 Amendments. This Agreement may be modified or amended only by a written document executed by both Consultant and City and approved as to form by the City Attorney. 28.8 Severability. If any term or portion of this Agreement is held to be invalid, illegal, or otherwise unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall continue in full force and effect. 28.9 Controlling Law and Venue. The laws of the State of California shall govern this Agreement and all matters relating to it and any action brought relating to this Agreement shall be adjudicated in a court of competent jurisdiction in the County of Orange, State of California. 28.10 Equal Opportunity Employment. Consultant represents that it is an equal opportunity employer and it shall not discriminate against any subcontractor, employee or applicant for employment because race, religious creed, color, national origin, ancestry, physical handicap, medical condition, marital status, sex, sexual orientation, age or any other impermissible basis under law. 28.11 No Attorneys' Fees. In the event of any dispute or legal action arising under this Agreement, the prevailing party shall not be entitled to attorneys' fees. 28.12 Counterparts. This Agreement may be executed in two (2) or more counterparts, each of which shall be deemed an original and all of which together shall constitute one (1) and the same instrument. Page A-1 Exhibit A Scope of Services On -Call Traffic & Transportation Professional Engineering Services Consultant shall provide the following professional engineering services on an on -call, as needed basis for the City. Firms specializing in some, but not all of the items below may be considered for those services. • Provide full-sized plans, specifications, and estimates for traffic/transportation engineering projects; • Perform general traffic -related studies; • Review/prepare traffic signal timing/coordination plans; • Prepare conceptual design plans/exhibits; • Provide cost estimating and value engineering services; • Prepare/review transportation impact studies; • Prepare traffic calming (neighborhood) studies; • Review/prepare traffic control plans; • Provide bid support and preparation of record drawings; • Perform traffic signal operation observation, review, and response (excluding physical traffic signal maintenance and repair); • Review City's traffic control devices and policies for State and Federal Compliance; • Attend meetings as requested; • Prepare grant applications; • Prepare presentation materials and/or present to Elected Officials, Public and City Officials; or • Other traffic/transportation engineering -related tasks, as requested by the City • Staff augmentation services at the City of Newport Beach Civic Center for development review and plan checking services. Consultant shall perform the on -call services described in the Scope of Work ("Services" or "Work"). A highlight of these services include: • West Balboa Blvd Fiber Optic Upgrade Project — Iteris provided ITS design services to install fiber optic cable along Balboa Blvd between River Avenue and 32' Street. This project will allow for a direct fiber connection between the signals on the Peninsula and City Facilities back to the Traffic Management Center in City Hall. The project used an existing conduit along the corridor and replaced the existing wireless radio. • Balboa Blvd Traffic Signal Rehabilitation Project - Iteris provided traffic engineering and ITS design services for the Balboa Blvd Rehab Project. The project consisted of modifications to three traffic signals along Balboa Blvd at 22n1 St, 21', and Main St, fiber optic design between Palm St and Main St, a Changeable Message Sign at 29`h Street, and two overhead sign bridge designs. • Balboa Blvd Crosswalk Enhancement Project — Iteris provided traffic engineering design service to upgrade two existing pedestrian beacon signals at 13' St and 10 St. The design consisted of replacing the existing poles with LED signage, corner bulbouts for new mast arm poles, controller cabinet in median with override switch, TECHNICAL PROPOSAL I CITY OF NEWPORT BEACH and conductors in conduit for hardwired service. Newport Center Drive Fiber Optic Upgrades — Iteris provided ITS design services for the installation of fiber optic cable along Newport Center Drive in the Fashion Center Mall area. The fiber optic cable replaced the existing twisted pair cable along with upgrading the existing Ethernet switches. The project upgraded nine traffic signals to fiber optic communication. 281 Street Improvements Project — Iteris provided design, signal timing, and construction management for this project which added pedestrian bulb -outs, a new Fire station, and on -street parking on 281h Street. Iteris provided the traffic engineering which included signal upgrades, street lighting modifications, an RRFB relocation, changeable message sign installation, and improved signal timing. Balboa Peninsula Parking Management Plan — Iteris developed a parking management plan to assist the City with managing season tourism in the Balboa Peninsula. This work included development of recommendations for improvement and several public workshops to solicit community input. Iteris reviewed all existing parking and policies and made prioritized recommendations for improvements which the City is currently implementing. Bayside Drive Improvements — Iteris was responsible for the signal modification design at the intersection of Bayside Drive and Jamboree Road/Marine Avenue which included pedestrian signal modification, street lighting, and loop detection replacement. Iteris also provided construction management and support for this project. Pedestrian Signals & Rectangular Rapid Flashing Beacons (RRFB) — Iteris prepared design documents for two RRFB intersections: East Bluff Drive at the High School Driveway and Via Lido at Via Oporto. The design implemented wireless and solar RRFBs, including solar powered safety lighting. The design included lighting analysis, signage and striping, and ADA curb ramp upgrades. Traffic Flow Optimization Project — Iteris developed citywide optimized signal timing plans at the City's 92 signalized intersections. Work also included coordination with 33 Caltrans-owned intersections. Work also included identification of low to medium cost improvements at some of the City's worst operating intersections, as well as identification of advanced technologies to monitor and managed traffic more efficiently. RFP No. 24-72: On -Call Professional Engineering Services for Traffic/Transportation Engineering Iteris, Inc. 1 11 Traffic System Master Plans, Phases 1-8 Projects — Iteris prepared the City's traffic system master plan which laid out the City's plan for implementing communications improvements, ITS improvements, and general traffic signal equipment improvements citywide. Iteris followed up with the City to deliver designs for all eight phases outlined in the master plan, assisting the City in realizing the goals developed in the master plan. Work also included the development of Citywide traffic signal coordination. Iteris supported the implementation of all design and synchronization work from the City's TMC and also trained City of Newport Beach staff on the management of their new systems and timing. On -Call Engineering and Professional Consulting Services, Category K: Traffic Engineering - City of Corona, CA (2019 - Ongoing) Iteris has been providing on -call engineering services to the City of Corona since 2019. In general, the work performed under this on -call included the preparation of traffic control plans, specifications, and bid documents, traffic studies and analysis, signal timing and optimization, ITS design, signage and striping design, traffic impact studies, and serving as City representative as needed. During this period, Iteris has provided an array of services through multiple task orders under the on -call contracts. A highlight of these services include: • Georgetown and Bedford Signal Installation Project — Iteris provided design, signal timing, and construction support for the project which improved the intersection at Georgetown and Bedford. Iteris was responsible for the design of the new traffic signal, video detection, street lighting, rewiring, flashing yellow arrow operation, new fiber optic communications, and improved signal TECHNICAL PROPOSAL I CITY OF NEWPORT BEACH timing. The work also included upgrading ADA curb ramps, median porkchops, and providing signage and striping updates. Iteris supported both the design and construction phases of this project. Various On -Call Traffic Studies and Transportation Analysis Services - Iteris performed several traffic engineering, modeling and analysis tasks for the City of Corona since the completion of the General Plan Update. These projects consisted of the analysis of various roadways using the City's travel demand model. Specifically, the work included: o Analysis of changes in traffic on Foothill Parkway with different roadway connections to Foothill o Analysis of the impacts on traffic flow of turn restrictions at various locations within the City o Analysis of changes to the ramp configurations at SR91/Promenade Avenue interchange o Analysis of changes to ramp configurations at various interchanges due to the implementation of the Mid -County Corridor o Preparation of model build -out volumes at different locations in the City; these are used for traffic studies for proposed development projects Duncan Gate Traffic Study— Iteris prepared a neighborhood traffic study to evaluate the impacts of a gate removal to interconnect adjacent neighborhoods on Duncan Way. Iteris performed LOS analysis at six intersections to assess the impacts, including considering potential cut -through traffic if the changes are made. Iteris ultimately made recommendations for traffic calming measures to reduce speed and discourage commuter cut -through. Iteris presented the recommendations to the City Council for consideration. Retrofit of Current Dynamic Message Sign (DMS) Technology — Iteris provided ITS design services to retrofit and upgrade the eight (8) existing dynamic message signs at five (5) locations throughout the City. Iteris provided specs for different sign vendors, pole modification details, sign mounting details, and sign installation plans including wiring, communication, and power. Traffic Management Center Video Wall Upgrade — Iteris assisted the City in the design development and installation to upgrade the City's existing TMC video wall. This project provided the city with a complete demolition of existing BARCO cube wall video wall system and recycling of aluminum wall structure — installed 15+ years ago. Replacing it with a new 42 55" LCD video wall replacement. Iteris assisted City staff in closing the existing wall opening for new video wall installation. RFP No. 24-72: On -Call Professional Engineering Services for Traffic/Transportation Engineering Iteris, Inc. 1 12 On -Call Professional Consulting Services - Seal Beach, CA (2019-Ongoing) Iteris has been providing on -call engineering services to the City of Seal Beach since 2019. In general, the work performed under this on -call includes review of traffic control plans and traffic signal improvements. Other services include development of plans, specifications, and estimates for traffic/transportation engineering projects, traffic -related studies, signal timing and coordination, conceptual designs, cost estimating and value engineering, transportation impact studies, traffic control plans, record drawings, traffic signal system monitoring, operations, and maintenance, compliance review, and grant applications. During this period, Iteris provided many services through multiple task orders under the on -call contracts. A highlight of these services include: • Special Event Traffic Control Plan Review - In coordination with special event coordinators, Iteris provided traffic control plan review for a special events in the City. Iteris reviewed additional traffic control plans developed by others for annual events. Local Signal Synchronization Plan — Iteris provided traffic signal recommendations to be included in the Plan which serves as a basis for the City's grant application effort. Improvements were based off our knowledge of the City's infrastructure and the City's goals to improve operations and safety citywide. The LSSP document was used to make the City eligible for future traffic signal synchronization funding. Traffic Signal Recommendations and Design — Iteris has provided traffic signal recommendations and design PS&E for various signal improvements around the City. The projects included new traffic signal cabinets, deployment of battery backup systems (BBS), new traffic signal controllers, and improved detection. The Design also included new ADA pedestrian ramps at locations that were not currently compliant. The traffic signal improvements placed the City in a better position for improved traffic signal maintenance and future communication upgrades. City Traffic Guideline Updates — Iteris assisted the City with the development and update of its various traffic engineering policies and guidelines. As a result of Senate Bill 743, Iteris assisted the City with the update of the City's traffic impact study guidelines to maintain compliance with the new regulations. A new stop sign request guide was also produced for the City in accordance with California Vehicle Code and (CVC) California Manual on Uniform Traffic Control Devices (CAMUTCD). TECHNICAL PROPOSAL I CITY OF NEWPORT BEACH • Stop Sign Policy — Iteris staff developed a stop sign policy for the City of Seal Beach that is consistent with the CAMUTCD, CVC, and City's Municipal code. The policy is used to help field numerous requests for stop signs. • System Integration and Support — Iteris provided system integration services to assist the City with installing GPS clocks at intersections along Westminster Blvd. These improvements allowed the City to keep their traffic signals along Westminster in step with the OCTA Westminster TSSP project. • Fiber Communication upgrades projects — Iteris has coordinated with the City to prioritize traffic signal communication upgrades. Iteris provided fiber installation PS&E for traffic signals along Lampson Avenue and on Ocean Avenue to connect traffic signals and City IT services. • Transportation Conceptual Planning — Iteris provided conceptual drawings for new lane configurations at several locations throughout the City. A concept plan was provided to the City for a new WB right turn only lane at Westminster Boulevard and Seal Beach Boulevard. Iteris also provided signing and striping recommendations for the intersection of 1st Street and Marina Drive. Seal Beach Boulevard Traffic Signal Synchronization Review— Iteris reviewed traffic signal synchronization design plans and timing operations recommendations. The project upgraded traffic signal detection and signal communication equipment. New signal timing parameters were evaluated to ensure they were consistent with CAMUTCD requirements. MacArthur Boulevard Regional Traffic Signal Synchronization Program (RTSSP) Project - Cities of Irvine and Newport Beach, CA (3/2020 - 12/2021; O&M 12/2021 - 2023) This project involved signal synchronization and equipment upgrades along MacArthur Boulevard from Pacific Coast Highway (PCH) and State Route 55 (SR-55) ramps, spanning across the Cities of Irvine and Newport Beach. The project was funded by Measure M2 funds, with the City of Irvine serving as the lead agency. The corridor spans 7.2 miles totaling 22 traffic signals. Iteris' goal of the project is to provide updated clearance parameters for the safety of vehicles, pedestrians, and bicyclists accompanied with new coordinated plans that will provide progression improvement along MacArthur Boulevard corridor without significantly increasing delays on the side streets. Upon approval from POLB and the City of Long Beach, Iteris will provide bid and construction support during the construction of the signal. On -Call Modeling, Traffic Engineering & Transportation Iteris has been retained by both the POLB and Port of Los Angeles (POLA) to conduct a wide range of on -call travel demand modeling, traffic engineering and transportation planning services. The projects range from Port area travel demand model development and implementation, model application for port studies, and large-scale transportation planning and design efforts to local traffic and access studies for Port related developments. The projects supported by Iteris in the Port area include support documents for environmental reports, development of traffic mitigation plans, traffic signal design and operations analysis, and public presentations and community workshops. Iteris was integral in the early development of the first Port area travel demand models and our staff continue to support the Ports in model updates and applications for many projects. Projects recently completed in the Ports include EIR traffic studies for the Gerald Desmond Bridge, the ICTF and SCIG near -dock rail projects, several port terminal projects, signal coordinate and street design. Iteris has also recently developed and implemented a VISSIM computer micro -simulation model for the port area along a critical stretch of Ocean Blvd near the Gerald Desmond Bridge. RFP No. 24-72: On -Call Professional Engineering Services for Traffic/Transportation Engineering Iteris, Inc. 1 16 TECHNICAL PROPOSAL I CITY OF NEWPORT BEACH 7 PROJECT CONTROLS Resource Allocation Plan Iteris has a resource allocation -based project management system that is geared toward assuring that staff are productive, and management is recruiting and training to provide Iteris Project Managers with the appropriate level of staff resources to complete all client commitments. This includes a -monthly assessment by each project manager of the status of each project, in terms of progress against objectives, and a forecast of the resources required to complete the project on -time and within budgetary constraints. Iteris utilizes an Oracle -based Project Management system through which all costs (labor and direct costs) for each project are recorded and tracked and project managers can monitor the status of their projects weekly. As a publicly traded company, Iteris is required to accurately monitor and forecast costs and profits, therefore the accounting system is designed to facilitate such efforts in an accurate and transparent way. The monthly cost -to -complete estimates made by Iteris project managers are used by the management team to balance staff resources and complete projects successfully. Strategies to Expedite Project Process/Delivery From day one on a project, Iteris project team members are encouraged to keep in mind the desired outcome for each project. This is true for a traffic impact analysis or development of a set of design plans; staff need to know what the final product is that we are all working to produce. This allows everyone involved in the project to understand what the project deliverables will look like and to work toward that end, with an eye on ways to expedite delivery of that product. At the outset of each task, Mr. Frislie will put together an outline of what the project or task deliverable will look like. The benefit of this approach to project delivery is that it allows the project team to develop pieces of the final deliverable as the project proceeds, rather than waiting to the end to begin to package work products. Mr. Frislie will also look for opportunities to expedite review and approval of interim products during a project. This also includes documentation and confirmation of important decisions made on a project as work progresses. Meeting minutes are also carefully prepared and reviewed at each meeting to document decisions that have been reached with City staff to keep projects moving forward and to avoid revisiting settled issues. This helps the City j staff to know what they are being asked to look at and alerts them to any known outstanding items, prior to them pausing a review because something may be unresolved missing. Iteris staff are always available to meet with the City during the review process to answer questions or clarify items in the review package. For subsequent review submittals, following an initial review, Iteris is always careful to document previous comments and responses to those comments. This directs the City staff to those specific items within a re -submittal and avoids opening up the entire package to a re -review. RFP No. 24-72: On -Call Professional Engineering Services for Traffic/Transportation Engineering Iteris, Inc. 1 17 TECHNICAL PROPOSAL I CITY OF NEWPORT BEACH INTERNAL CONTROLS TO TRACK AND REPORT COST AND COMPLETION Management Reporting Systems /Tools Iteris' Project Controls process is shown in Figure 2 (previous page). It is a sequential process of formal project start, regular review and estimating of cost to complete, with a fixed review point at 75% complete, then project closure. Management Review Meeting Iteris upper -level management is committed to: • Maintaining a proper environment for the successful execution of the project • Providing Mr. Frislie with adequate resources • Monitoring the effectiveness of Mr. Frislie and the project team For these reasons, internal management review meetings are held monthly for each project. Current status is reviewed against the current project schedule and, most importantly, changes from baselines reported in the previous management review meeting are noted. Quality Assurance/Quality Control (QA/QC) Iteris' ability to implement high -quality deliverables is a direct result of Iteris' adherence to a QA/QC program that ensures accuracy, product usability, and an overall commitment to product excellence and user satisfaction. Mr. Frislie, Iteris' proposed Project Manager (PM), will ensure the team's commitment to these objectives by identifying goals at the outset of the project and monitoring the product implementation and delivery process. The Iteris QA/QC Plan is an all -encompassing plan that covers every aspect of the project production including the evaluation process, project documentation, design plans, graphics, and presentations. The QA/QC process is a major factor in reducing project issues and errors and will assist with identifying conflicts or inconsistencies within project documentation. Figure 3 illustrates Iteris' QA/QC flowchart. In addition to project budget, ample time must be provided in the project schedule to complete reviews, as well as provide sufficient time for comments to be addressed and incorporated into the final delivery to the City. Delivery of top quality and error -free product(s) to the City will be the Iteris Team's number one project goal. All documents produced by Iteris associates and team members, whether for transmittal to a client, prospective client, another consulting firm, or for public distribution, are reviewed by someone with expertise in the relevant area other than the author to ensure that they are comprehensible and well written. It is difficult for the author to always catch obvious mistakes or to realize when something may be confusing to the reader, particularly when writing technical reports geared toward a lay audience. A second opinion is also invaluable in identifying alternative approaches to the analysis. Interdisciplinary review is invaluable on a multidisciplinary project like this one, as it helps to ensure that recommendations are consistent between team members. The project began in March 2023 and is expected to be completed March 2028. iteris PAU L FRISLI E, PE, I MSA PRINCIPAL ENGINEER Plans, Specifications, and Estimates (PS&E) for the 1-10 Corridor Freight and Express Lane Project (Contract 2), San Bernardino County Transportation Authority (SBCTA) — San Bernardino County, CA Mr. Frislie is serving as the Task Lead for the Iteris SBCTA's Interstate 10 Corridor Project comprised of three phases of improvements to benefit the movement of both people and goods on this facility that is important to both San Bernardino County residents and to the local and national economy. The first phase, stretching 10 miles from the Los Angeles County line to 1-15, is currently under construction. The second phase, stretching 11.1 miles from 1-15 to Pepper Avenue in Colton, is in design and the final funding components are being sought to enable construction to begin in 2024. The third and final future phase of 12 miles will be from Pepper Avenue to Ford Street in Redlands. In Phase 2, single toll express lanes (also referred to as managed lanes) will be constructed (where there are currently no HOV lanes). Together, these express/managed lanes will open up a new opportunity to provide travel time incentives to transit, shared -ride vehicles, and zero -emission vehicles. Phase 2 will also construct three strategic eastbound (EB) auxiliary lanes or acceleration lane extensions and one westbound (WB) auxiliary lane to improve truck operations and safety. The 1-10/1-15 interchange is ranked the 10th most critical truck bottleneck in the U.S. by the American Transportation Research Institute, and these improvements will help to relieve congestion in the vicinity of that interchange. This project began in July 2022 and is ongoing until December 2024. Tweedy Boulevard Signal Synchronization Project — City of South Gate, CA Mr. Frislie serves as Project Manager and led the Iteris team to improve the operation, safety and management of the corridor. The project consists of analyzing improvements of Tweedy Boulevard between Atlantic Avenue and Alameda Street, including the design of fiber optic cable for Ethernet communication, five CCTV cameras, traffic signal cabinet and controller upgrades, and upgrades to the traffic signal equipment. The fiber optic communication will be designed to City Hall which will connect to the City's Traffic Management Center located in the Public Works Signal Shop. The signals along the corridor will be timed and synchronized to optimize traffic flow throughout the Moving smarter, together. corridor. The project will also analyze four uncontrolled pedestrian crossings for proposed improvements. Iteris will be on task to provide any necessary support during construction. The project began in January 2019 and was completed December 2023. 1-405 Design -Build Improvement Project, Orange County Transportation Authority (OCTA) — Orange County, CA Mr. Frislie is serving as TIVIS Engineer for Iteris, acting as a subconsultant of a multidisciplinary design and construction team, on this $1.2 billion dollar design -build project in Orange County California. The project will improve 16 miles of 1-405 between SR-73 in Costa Mesa and the 1-605 near the Los Angeles County line. The project includes adding one regular lane in each direction from Euclid St to I- 605, making improvements to freeway entrances, exits and bridges, and will also implement Express Lanes that expands the existing HOV lane from one lane to two lanes in each direction from SR-73 to I- 605. Iteris is responsible for design of the Caltrans ITS field infrastructure, temporary ITS field infrastructure supporting maintenance of traffic during construction, toll system infrastructure and coordination, street lighting, agency traffic signal improvements along the corridor and development of the project Traffic Management Plan (TMP). Mr. Frislie is responsible for the planning, design, and deployment of the TMP. The Design project began in January 2017 and completed December 2019. Construction was completed October 2023. Citywide Traffic Signal Design & Inventory — City of Manhattan Beach, CA Mr. Frislie served as Project Manager to collect an inventory of traffic signal equipment at 32 signalized intersections for the City, checking for its condition, and providing the City with a maintenance plan for next 20 years with priorities for recommended upgrades to its signal infrastructure. Iteris will be creating and uploading the data collected to a GIS- based database detailing each individual piece of signal equipment and its condition for the cty's use in the future. Iteris is producing signal modification design plans for five signalized intersections in the City's Downtown area to upgrade and replace damaged signal equipment including poles, signal heads, and signal cabinets. For the initial preliminary engineering phase, Iteris will perform detailed field investigation of the entire corridor to identify deficiencies and recommended improvements to enhance safety and traffic flow along the corridor. Topographic survey, geotechnical investigation, traffic signal, signing and striping inventory will be conducted as part of the field investigation. Upon City's approval of the Traffic Analysis Report (PDR), Iteris will prepare a conceptual and preliminary design package during the design phase, which includes traffic signal upgrades, signing and striping modifications for the entire corridor. The project began in December 2016 and was completed December 2022. ITS PLANNING & INTEGRATION Buena Park Traffic Signal and ITS Master Plan — City of Buena Park, CA Mr. Frislie serves as Project Manager for the Master Plan which will identify the needs and readiness to integrate with certain technological advancements such as Connected and Autonomous Vehicles (CAV) and detail the future of the City's ITS network with ability to expand as connected vehicles become more commonplace in the market. The Master Plan will also detail a series of projects to deploy solutions that will include expansion of the existing communications network and additional field devices. The master plan and needs assessment will identify Operations and Maintenance (0&M) activities, associated costs and roles and responsibilities for the project elements. The resulting final Traffic Signal and ITS Master Plan will serve as a living document to guide the City to plan, fund, deploy and operate future projects aimed at improving the City's traffic management capabilities for the next 10 years. Oxnard Fiber Master Plan — City of Oxnard, CA Mr. Frislie serves as Iteris Project Manager as part of a multidisciplinary team responsible for the development of a Fiber Master Plan to guide the design, construction, implementation, maintenance, management regulation, operation and funding of the City of Oxnard's fiber optics assets and related technologies. Iteris will assess and inventory the existing broadband assets and infrastructure as they relate to the design and deployment of a citywide fiber optic network; conduct spot checks and develop a comprehensive inventory of the City's infrastructure as a separate layer in the City's ESRI- based GIS database; and obtain similar information from private sector broadband wireline and wireless providers and create a separate GIS layer for each entity. Von Karman Avenue/Tustin Ranch Road Regional Traffic Signal Synchronization (RTSSP) Project — City of Irvine, CA Mr. Frislie serves as QA/QC Lead for this project in which Iteris is assisting the City with multi - jurisdictional improvements of the 7.9-mile stretch of Von Karman Avenue and Tustin Ranch Road in the cities of Irvine and Tustin. The project requires retiming of 30 signalized intersections, which includes the two Caltrans crossings at the 1-5 interchange. Iteris will assist the agencies with the design and construction management of the new signal improvements which include new Video Detection Systems (VDS), controller cabinets, pedestrian heads, first fiber communication to Tustin signals and a new Advanced Traffic Management System (ATMS) to remotely monitor the signals. Iteris also assisted with conversion of new configuration modules to transition existing signals online in their Actra system to their newer Centracs system. The project began in April 2017 and is scheduled to be completed in June 2019. Two years of Operations and Maintenance (0&M) will occur from July 2019 through September 2022. Bayside Drive Intersection Improvement Project — City of Newport Beach, CA Mr. Frislie serves as Iteris Project Manager as part of a multidisciplinary team and responsible for leading the visual inspection and field inventory of traffic signal poles, overhead sigh poles and equipment; iteris, PAUL FRISLIE, PE, IMSA PRINCIPAL ENGINEER and plans for all intersection improvements at 1) Bayside Drive/Jamboree Road -Marine Avenue and Pacific Coast Highway, and 2) Jamboree Road/Pacific Coast Highway and Bayside Drive. Moulton Parkway Traffic Signal Synchronization (TSS) and Operations and Maintenance (O&M) Project — City of Laguna Woods, CA Mr. Frislie served as QA/QC Lead and Construction Manager as part of a multidisciplinary team for the Laguna Woods TSS project which will provide signal synchronization and equipment upgrades along Moulton parkway from Lake Forest Dive and Camino del Avion in collaboration with the Cities of Laguna Hills, Laguna Niguel, and Caltrans. Harbor Boulevard Traffic Signal Synchronization (TSS) Project — Orange County Transportation Authority (OCTA) and City of Santa Ana, CA Mr. Frislie served as QA/QC lead and Construction Manager to provide construction support and perform all necessary integration, implementation, and fine-tuning tasks for the Harbor Blvd TSS project. PROJECT EXPERIENCE TRAFFIC OPERATIONS & SIGNAL SYNCHRONIZATION Implementation and Operations of Siemens SCOOT Adaptive Signal System - City of Diamond Bar, CA Mr. Li served as the Program Manager assisting the City of Diamond Bar for the implementation of the SCOOT Adaptive Traffic Signal System. This project consisted of controller and detector upgrades at 49 signalized intersections along three major corridors: Diamond Bar Boulevard, Grand Avenue and Golden Springs Drive; as well as installation of Siemens TACTICS and SCOOT signal systems at the City's TMC to bring all 49 signals onto the Systems. According to Siemens, this was by far the largest implementation of the SCOOT Adaptive System in the United States. iteris- BERNARD K. This project started in September 2019 and -was completed -in December 2020. - Warner Avenue Regional Traffic Signal Synchronization Projects (RTSSPs) — OCTA, Orange County, CA Mr. Li serves as Project Manager twice (2012 to 2015, and 2022 to present) to provide ITS upgrade design/build and traffic signal synchronization improvements along Warner Avenue, a major east - west arterial, from Pacific Coast Highway to Pullman Avenue. The corridor encompasses a total of 43 signals, covering 13 miles of roadway, crossing the Cities of Huntington Beach, Fountain Valley, and Santa Ana. The first project, which started in 2012, was funded by the Renewed Measure M (aka M2), while the second project, started in 2022 with a value of $4.4 million, was funded by both M2 and Senate Bill 1 (S131). For both projects, numerous ITS equipment upgrade was provided, including fiber-optic communications, Closed -Circuit Television (CCTV), video detection systems (VDS) signal controllers and cabinets. The current project also includes implementation of ClearGuide arterial performance measure (APM) and signal performance measure (SPM). In addition, both projects also include synchronization of all 43 intersections along the corridor with AM, PM, mid -day, off-peak and weekend traffic signal coordination timing plans. The first project began in August 2012 with new coordination timing implemented in June 2013, and resulted in a B/C ratio of 14:1.Operations and Maintenance (0&M) was provided through May 2015. The second project started in January 2022 and is ongoing. Main Street Regional Traffic Signal Synchronization Project (RTSSP), Orange County Transportation Authority (OCTA) — Orange County, CA Mr. Li serves as the Project Manager of a $3.6 million regional traffic signal synchronization project extending through the Cities of Orange, Santa Ana, and Irvine in Orange County, California. The project includes signal coordination and timing improvements, with the aim of improving traffic flow, enhancing public safety, and decreasing stops along 12 miles of the Main Street corridor upgrading Moving smarter, together. 67 intersections. The primary goal of this project is to deploy new ITS equipment and communication infrastructure to support the management of the cities' transportation network, implement optimized coordination timing plans to achieve optimal traffic flow, -and improve safety for all road users, including vehicles, buses, bicycles, and pedestrians. As part of this project, Iteris' SPM was implemented to deliver proactive monitoring of traffic signal operations at all project intersections. The result of our signal synchronization effort has resulted in a benefit/cost (B/C) ratio of 14:1 within the first year. The project began December 2019 and the 0&M phase will be completed in June 2023. San Bernardino Valley Coordinated Traffic Signal System (SBVCTSS) / Development of a Smart County Master Plan, San Bernardino County Transportation Authority (SBCTA) — San Bernardino County, CA Project 1— SBVCTSS (Jan. 2017 to Jan. 2023) Mr. Li served as the Project Manager of a $4 million SBVCTSS project to assist 16 local agencies within the San Bernardino Valley (SBV) to improve traffic progressions along many key regional corridors. The project consists of four main components: First, develop traffic signal coordination master plans for five different sub -regions within the Valley. The Master Plan served as a roadmap for all future signal coordination in the Valley. Second, update signal coordination timings for over 400 traffic signals to reduce travel times, delays, and greenhouse gas emissions. Third, conduct assessments of all the signal synchronization corridors and traffic signals to ensure they are all performing well and as planned on a semi-annual basis. Fourth, provide system support services to assist any SBV agencies in resolving technical issues, e.g. troubleshooting communications and bring signals back online at the agencies' traffic signal systems. As part of the system support task, Bernard and his team is currently designing and implementing technological and ITS improvements along the Haven Avenue corridor within Ontario and Rancho Cucamonga, which includes Iteris' ClearGuide Signal Performance Measure (SPM) and ClearAsset Asset Management System (AMS) software, as well as center -to -center communications between both cities and between the cities and Caltrans. This new project, also managed by Bernard, includes a task order to develop a Smart County Master Plan for San Bernardino County that will provide a roadmap for improving the County's Smart infrastructure to better serve the County's growing technology needs. The Plan will assist the County in using new technologies to improve community member's lives and to achieve technology implementation goals for SBCTA's member agencies. Bristol Street Regional Traffic Signal Synchronization Project (RTSSP), Orange County Transportation Authority (OCTA) — Orange County, CA Mr. Li served as the Project Manager to OCTA to provide traffic signal/ITS equipment upgrade and signal synchronization along the Bristol Street corridor. This project consists of 45 study intersections along a 10-mile stretch in the cities of Santa Ana, Costa Mesa, Newport Beach, and Caltrans. Fiber-optic cables were installed at various segments of the corridor to close the communication gap. Many intersections were also upgraded with new controllers, cabinets, service, emergency vehicle preemptions and Closed -Circuit Television (CCTV). AM, mid -day, PM and weekend coordination timing plans were implemented. Based on the before/after studies results, the project has a Benefit -to -Cost (B/C) ratio of 11:1. The project began in June 2015 and completed in June 2018 . A 2-year Operations and Maintenance (0&M) period completed in June 2020. Newport/Balboa Boulevard Regional Traffic Signal Synchronization Project (RTSSP), Orange County Transportation Authority (OCTA) — Cities of Costa Mesa & Newport Beach, CA Mr. Li served as the Project Manager to OCTA to provide turn -key traffic/ITS improvements and traffic signal synchronization for 33 intersections along Newport/Balboa Boulevard corridor from Bristol Street in Costa Mesa to Main Street in Newport Moving smarter, together. Iteris was responsible for the design, procurement, and construction of all the infrastructure improvements, including Closed - Circuit Television (CCTV) installation, new fiber-optic cables, controller, cabinet and service upgrades, EVP systems, detections, and miscellaneous Ethernet switches. Upon completion of new timing implementation and fine- tuning, Iteris provided Operations and Maintenance (0&M) support through June 2019. 17th Street and Victoria Street Traffic Signal Coordination Project — Cities of Costa Mesa, Newport Beach, & Huntington Beach, CA Mr. Li served as Project Manager to develop and implement traffic signal infrastructure and coordination improvements for the 17th Street Corridor within the City of Costa Mesa and Newport Beach, and the Victoria Street Corridor within the City of Costa Mesa and Huntington Beach. The project involves design and installation of new fiber optic cables along both corridors, controller upgrade, Closed -Circuit Television (CCTV) camera, and additional TMC equipment. The infrastructure improvement would convert the existing communications from serial to Gigabit Ethernet and enable all the intersections to be brought online to the City of Costa Mesa's MIST traffic signal system. Upon completion of construction, Iteris is also going to implement and fine-tune AM, mid -day, PM, and weekend signal coordination timing plans for both corridors, and provide two additional years of Operations and Maintenance (O&M) support. Jamboree Road Regional Traffic Signal Synchronization Project (RTSSP)— Cities of Tustin, Irvine & Newport Beach, CA Mr. U served as Project Manager to provide traffic signal synchronization and equipment upgrade along Jamboree Road from Portola Parkway to MacArthur Boulevard, spanning across the Cities of Tustin, Irvine, Newport Beach, as well as freeway on/off ramps at 1-5 iteris BERNARD K. TRAFFIC ENGINEERING & ROADWAY IMPROVEMENT DESIGN 1-405 Design -Build Improvement Project, Orange County Transportation Authority (OCTA) — Orange County, CA Mr. Li is serving as one of Iteris' QA/QC managers for the $1.2 billion 1-405 design -build project in Orange County California. The project will improve 16 miles of the 1-405 between the SR-73 freeway in Costa Mesa and the 1-605 near the Los Angeles County line. The project includes adding one regular lane in each direction from Euclid Street to 1-605, making improvements to freeway entrances, exits and bridges, and will also implement Express Lanes that expands the existing HOV lane from one lane to two lanes in each direction from SR-73 to 1-605. The project began in November 2019 and was completed in June 2022. 1-10/Da Vall Drive Interchange TEPA, City of Cathedral City — Cathedral City, CA Mr. Kaushik served as Project Manager for preparation of the Traffic Engineering Performance Assessment (TEPA) analysis/report for the I-10/Da Vall Drive Interchange project in Cathedral City. The project includes construction of a new interchange along 1-10 at Da Vall Drive, as well as the extension of Da Vall Drive from its current terminus. The project locations represent the most urbanized and grid - based roadway network in the City. The project will improve 16 miles of the 1-405 between the SR-73 freeway in Costa Mesa and the 1-605 near the Los Angeles County line. The project includes adding one regular lane in each direction from Euclid Street to 1-605, making improvements to freeway entrances, exits and bridges, and will also implement Express Lanes that expands the existing HOV lane from one lane to two lanes in each direction from SR-73 to 1-605. Mr. Devlin is providing review of the TMP and MOT components. The TMP includes detour routes and supporting traffic analysis for partial or complete closures for 17 arterial overcrossings and over 35 freeway ramps. Irvine Business Complex (IBC) Five -Year Traffic Study Update — City of Irvine, CA Mr. Devlin served as Project Manager for a traffic study to update the IBC Traffic Study with updated land uses, traffic counts and highway network improvements. The study analyses over 200 Moving smarter, together. intersections and arterial segments in the City of Irvine and adjacent jurisdictions as well as 60 freeway segments and over 100 freeway ramps. The project involved the collection and quality control of a large program of intersection turning movement and tube counts along with -a-comparison to — historical data and continuity of flow analysis. PeMS data was collected for the freeway mainlines. Traffic model runs from the City of Irvine Traffic Model (ITAM) were analyzed for Existing, Interim and Buildout years with and without the IBC Vision Plan land uses. Intersections and arterials were analyzed using Intersection Capacity Utilization methodology and freeways using Highway Capacity Manual 2010 analysis. Traffic impacts associated with the Vision Plan were identified and a series of potential mitigation measures, and their associated costs identified for further study in a subsequent Nexus and Fee study. Additional analysis involved the testing of alternate roadway configurations and signal warrant analysis. The project began in May 2018 and is ongoing. Mr. Ingoglia also assisted with preparing of the before study. Lake Forest Traffic Engineering Services — City of Lake Forest, CA Mr. Ingoglia is serving as Project Engineer and monitors the operations and communication of all traffic signals within the City of Lake Forest. Additionally, Mr. Ingoglia investigates City Staff and resident concerns about signal timing and makes timing adjustments due to construction activities. SBCTA San Bernardino Valley Coordinated Traffic Signal System Project — San Bernardino County, CA Mr. Ingoglia serves as Project Engineer and is assisting on the semi-annual assessment, created the Synchro network, and performed a basic signal timing analysis of a $3M project to assist 16 local Moving smarter, together. agencies within the San Bernardino Valley area to improve traffic progressions along many key regional corridors. The project consists of four main components: First, develop traffic signal coordination master plans for five different sub- regions within the -Valley. The MasterPlanwill serve as a roadmap for all future signal coordination in the Valley. Second, update signal coordination timings for over 500 traffic signals with a goal of reducing travel times, delays and GHG emissions. Iteris will provide multi -jurisdictional improvements to a 7.2 mile stretch of the corridor from the SR-55 highway ramps to Pacific Coast Highway, spanning the Cities of Irvine and Newport Beach. The project will retime 23 signalized intersections as well as provide traffic signal equipment upgrades. When the project was constructed, he developed as -built plans to submit to the City. This project began in September 2017 and completed in June 2019. Katella Avenue Traffic Signal Synchronization Project, Orange County Transportation Authority (OCTA) — Orange County, CA Mr. Shipley serves as Project Engineer for this Traffic Signal Synchronization project. This project provided infrastructure upgrades and new timing to 73 signals located across 9 different agencies in Orange County, CA. Mr. Shipley was involved in site visits to Moving smarter, together. confirm the existing infrastructure and equipment. He was the design lead for the ITS upgrades in the City of Anaheim. He helped with construction support and generated as-builts from the contractor's notes when the construction phase of the project was finished. This project began in April 2019 and is ongoing. LADOT-Caltrans District 7 On -Call, Task Order 3— Los Angeles County, CA Mr. Shipley serves as Project Engineer on this project to rehabilitate three segments of California State Route 2 in the City of Los Angeles. Iteris was responsible for the electrical and traffic signal design portion of the project, which included installing new accessible pedestrian push button systems and new safety lighting. New curb ramps were designed by HNTB, necessitating the relocation of numerous pedestrian push button systems to remain MUTCD compliant. Also, new pedestrian crosswalk signals were installed, which included six (6) HAWK signals and seven (7) RRFBs. Mr. Shipley helped lead several days of field work to gather information on the existing conditions to aid in the design. He has performed a traffic signal cabinet inventory to document the existing communication equipment. He determined the peak hours of travel, critical lane volumes, critical cycle length, basic timing parameters, and appropriate offsets to maximize bandwidth. He also implemented the timing in the field on controllers running LACO 1R firmware. The project began in October 2017 and completed in January 2018. The project will improve 16 miles of the 1-405 between the SR-73 freeway in Costa Mesa and the 1-605 near the Los Angeles County line. The project includes adding one regular lane in each direction from Euclid Street to 1-605, making improvements to freeway entrances, exits and bridges, and will also implement Express Lanes that expands the existing HOV lane from one lane to two lanes in each direction from SR-73 to I- 605. Iteris is responsible for the design of the Caltrans ITS field infrastructure, temporary ITS field infrastructure supporting maintenance of traffic during construction, toll system infrastructure and coordination, street lighting, agency traffic signal improvements along the corridor and development of the project Traffic Management Plan. Mr. Lavezzari specifically provides engineering services such as signal design, TMS, and tolling design. The Design project began in January 2017 and completed December 2019. Construction will be completed October 2023. TRAFFIC ENGINEERING Euclid Street Corridor Project Regional Traffic Signal Synchronization Program (RTSSP — City of La Habra, CA Mr. Lavezzari serves as Project Engineer on this signal synchronization project for City of La Habra. Project includes the synchronization of sixty-seven (67) traffic signals and sixty-nine (69) offset traffic signals throughout the Cities of La Habra, Fullerton, Anaheim, Garden Grove, Santa Ana, and Fountain Valley along Euclid Street. Iteris is providing communication system analysis for the City of Moving smarter, together. Fullerton and the City of Santa Ana through this project. Iteris will conduct all engineering, construction management, inspection, and administrative tasks necessary to complete the project. After the construction and implementation phase of the project, Iteris will provide operations, and maintenance services for three years. The project began in March 2023 and is expected to be completed March 2028. Regional Traffic Signal Synchronization Program (RTSSP) Project for Tustin Avenue - Rose Drive — City of Orange, CA Mr. Lavezzari serves as Staff Engineer on this project. He is responsible for Existing conditions/equipment inventory. Under the project agreement, Iteris will make infrastructure upgrades, signal coordination and timing improvements, develop signal timing plans for all signalized intersections along the corridor, provide vehicle turning movement counts and perform before -and -after corridor analysis along the Tustin Avenue/Rose Drive corridor from First Street in the City of Tustin to Wabash Avenue in the City of Yorba Linda. The project area comprises 54 signalized intersections spanning six cities —Tustin, Santa Ana, Anaheim, Orange, Placentia, and Yorba Linda — as well as key highway on/off ramps under Caltrans, in Orange County, California. The project started in August 2020 and is ongoing. Construction is slated to start in Summer 2023. Professional Design and Construction Support for the TSS for ATMS — City of Rancho Cucamonga, CA Mr. Lavezzari serves as Staff Engineer on this project, which is currently in the 0&M phase. He is responsible for Existing conditions/equipment inventory. Controller Integration and fiber network upgrades. This project prepared coordination timing plans, design plans of traffic signal modification and interconnect system upgrades. During construction, Iteris provided construction support and integration services. The primary goal of this project was to deploy new intelligent transportation system (ITS) communication infrastructure to support the management of the city's transportation network, implement optimized coordination timing plans to achieve optimal traffic flow, and improve safety for all road users, including vehicles, buses, bicycles, and pedestrians. The project began in August 2019 and is currently in O&M until July of 2024. iteris, DELBERT SMITH-LAVEZZARI ASSOCIATE ENGINEER Traffic and Intelligent Transportation Systems Engineering Services, Main Street Regional Traffic Signal Synchronization Projects (RTSSP), Orange County Transportation Authority (OCTA) — Orange County, CA Mr. Lavezzari serves as Staff Engineer. He is responsible for the Monthly 0&M Report Lead. Under this project agreement, which will provide services that will upgrade traffic signal electronics and communications equipment, and optimize signal timing along Main Street, a major north -south corridor that comprises 67 major signalized intersections. As part of the project, Iteris' Intersection-as-a-Servicel" end -to -end solution offering will deliver proactive monitoring of traffic signal operations at all project intersections. Katella Avenue Traffic Signal Synchronization (TSS) Project — Orange County Transportation Authority (OCTA) — Orange County, CA Mr. Lavezzari served as Staff Engineer for the Katella Avenue corridor in the City of Los Alamitos, Cypress, Stanton, Garden Grove, Anaheim, Orange County of Orange, and Caltrans. This project was a Design - Build project that provided operational improvements across the entire 17 mile corridor. These improvements are multimodal which included Bicycle Detection to provide better operations for cyclists; new fiber optic cable through the project corridor and new ATMS in the City of Los Alamitos. The project also provided new HD Closed -Circuit Television (CCTV) surveillance cameras, all intersections with upgraded ATC traffic controllers and optimized traffic signal timing for the entire project. Without limiting Consultant's indemnification of City, and prior to commencement of Work, Consultant shall obtain, provide and maintain at its own expense during the term of this Contract, policies of insurance of the type and amounts described below and in a form satisfactory to City. Consultant agrees to provide insurance in accordance with requirements set forth here. If Consultant uses existing coverage to comply and that coverage does not meet these requirements, Consultant agrees to amend, supplement or endorse the existing coverage. 2. Acceptable Insurers. All insurance policies shall be issued by an insurance company currently authorized by the Insurance Commissioner to transact business of insurance in the State of California, with an assigned policyholders' Rating of A- (or higher) and Financial Size Category Class VII (or larger) in accordance with the latest edition of Best's Key Rating Guide, unless otherwise approved by the City's Risk Manager. 3. Coverage Requirements. A. Workers' Compensation Insurance. Consultant shall maintain Workers' Compensation Insurance providing statutory benefits and Employer's Liability Insurance with limits of at least one million dollars ($1,000,000) each employee for bodily injury by accident and each employee for bodily injury by disease in accordance with the laws of the State of California. Consultant shall submit to City, along with the certificate of insurance, a Waiver of Subrogation endorsement in favor of City, its City Council, boards and commissions, officers, agents, volunteers and employees. B. General Liability Insurance. Consultant shall maintain commercial general liability insurance, and if necessary excess/umbrella liability insurance, with coverage at least as broad as provided by Insurance Services Office form CG 00 01, in an amount not less than two million dollars ($2,000,000) per occurrence, four million dollars ($4,000,000) general aggregate. The policy shall cover liability arising from premises, operations, personal and advertising injury, and liability assumed under an insured contract (including the tort liability of another assumed in a business contract). C. Automobile Liability Insurance. Consultant shall maintain automobile insurance at least as broad as Insurance Services Office form CA 00 01 covering bodily injury and property damage for all activities of Consultant arising out of or in connection with Work to be performed under this Contract, including coverage for any owned, hired, non - owned or rented vehicles, in an amount not less than one million Iteris, Inc. Page C-1 dollars ($1,000,000) combined single limit for each accident. D. Professional Liability (Errors & Omissions) Insurance. Consultant shall maintain professional liability insurance that covers the Services to be performed in connection with this Agreement, in the minimum amount of two million dollars ($2,000,000) per claim and four million dollars ($4,000,000) in the aggregate. Any policy inception date, continuity date, or retroactive date must be before the Effective Date of this Agreement and Consultant agrees to maintain continuous coverage through a period no less than three years after completion of the Services required by this Agreement. E. Excess/Umbrella Liability Insurance. If any Excess or Umbrella Liability policies are used to meet the limits of liability required by this contract, then said policies shall be "following form" of the underlying policy coverage, terms, conditions, and provisions and shall meet all of the insurance requirements stated in this contract, including, but not limited to, the additional insured and primary & non-contributory insurance requirements stated herein. No insurance policies maintained by the City, whether primary or excess, and which also apply to a loss covered hereunder, shall be called upon to contribute to a loss until the Consultant's primary and excess/umbrella liability policies are exhausted. 4. Other Insurance Requirements. The policies are to contain, or be endorsed to contain, the following provisions: A. Waiver of Subrogation. All insurance coverage maintained or procured pursuant to this Contract shall be endorsed to waive subrogation against City, its City Council, boards and commissions, officers, agents, volunteers and employees, or shall specifically allow Consultant or others providing insurance evidence in compliance with these requirements to waive their right of recovery prior to a loss. Consultant hereby waives its own right of recovery against City, and shall require similar written express waivers and insurance clauses from each of its subcontractors. B. Additional Insured Status. All liability policies including general liability, products and completed operations, excess/umbrella liability, pollution liability, and automobile liability, if required, but not including professional liability, shall provide or be endorsed to provide that City, its City Council, boards and commissions, officers, agents, volunteers and employees shall be included as additional insureds under such policies. C. Primary and Non -Contributory. Consultant's insurance coverage shall be primary insurance and/or the primary source of recovery with respect to the City, its City Council, boards and commissions, officers, Iteris, Inc. Page C-2 agents, volunteers and employees. All liability coverage shall apply on a primary basis and shall not require contribution from any insurance or self-insurance maintained by City. D. Notice of Cancellation. All policies shall provide City with thirty (30) calendar days' notice of cancellation or nonrenewal of coverage (except for nonpayment for which ten (10) calendar days' notice is required) for each required coverage. 5. Additional Agreements Between the Parties. The parties hereby agree to the following: A. Evidence of Insurance. Consultant shall provide certificates of insurance to City as evidence of the insurance coverage required herein, along with a waiver of subrogation endorsement for workers' compensation and other endorsements as specified herein for each coverage. All of the executed documents referenced in this Contract must be returned to City within ten (10) regular City business days after the date on the "Notification of Award". Insurance certificates and endorsements must be approved by City's Risk Manager prior to commencement of performance. Current certification of insurance shall be kept on file with City at all times during the term of this Contract. The certificates and endorsements for each insurance policy shall be signed by a person authorized by that insurer to bind coverage on its behalf. At least fifteen (15) days prior to the expiration of any such policy, evidence of insurance showing that such insurance coverage has been renewed or extended shall be filed with the City. If such coverage is cancelled or reduced, Consultant shall, within ten (10) days after receipt of written notice of such cancellation or reduction of coverage, file with the City evidence of insurance showing that the required insurance has been reinstated or has been provided through another insurance company or companies. City reserves the right to require complete, certified copies of all required insurance policies, at any time. B. City's Right to Revise Requirements. The City reserves the right at any time during the term of the Contract to change the amounts and types of insurance required by giving Consultant ninety (90) calendar days' advance written notice of such change. If such change results in substantial additional cost to Consultant, City and Consultant may renegotiate Consultant's compensation. C. Right to Review Subcontracts. Consultant agrees that upon request, all agreements with subcontractors or others with whom Consultant enters into contracts with on behalf of City will be submitted to City for review. Failure of City to request copies of such agreements will not impose any liability on City, or its employees. Consultant shall require and verify that all subcontractors maintain insurance meeting all the requirements stated herein, and Consultant shall ensure that City is an Iteris, Inc. Page C-3 additional insured on insurance required from subcontractors. For CGL coverage, subcontractors shall provide coverage with a format at least as broad as CG 20 38 04 13. D. Enforcement of Agreement Provisions. Consultant acknowledges and agrees that any actual or alleged failure on the part of City to inform Consultant of non-compliance with any requirement imposes no additional obligations on City nor does it waive any rights hereunder. E. Requirements not Limiting. Requirements of specific coverage features or limits contained in this Section are not intended as a limitation on coverage, limits or other requirements, or a waiver of any coverage normally provided by any insurance. Specific reference to a given coverage feature is for purposes of clarification only as it pertains to a given issue and is not intended by any party or insured to be all inclusive, or to the exclusion of other coverage, or a waiver of any type. If the Consultant maintains higher limits than the minimums shown above, the City requires and shall be entitled to coverage for higher limits maintained by the Consultant. Any available proceeds in excess of specified minimum limits of insurance and coverage shall be available to the City. F. Self -Insured Retentions. Any self -insured retentions must be declared to and approved by City. City reserves the right to require that self - insured retentions be eliminated, lowered, or replaced by a deductible. Self-insurance will not be considered to comply with these requirements unless approved by City. G. City Remedies for Non -Compliance. If Consultant or any subconsultant fails to provide and maintain insurance as required herein, then City shall have the right but not the obligation, to purchase such insurance, to terminate this Agreement, or to suspend Consultant's right to proceed until proper evidence of insurance is provided. Any amounts paid by City shall, at City's sole option, be deducted from amounts payable to Consultant or reimbursed by Consultant upon demand. H. Timely Notice of Claims. Consultant shall give City prompt and timely notice of claims made or suits instituted that arise out of or result from Consultant's performance under this Contract, and that involve or may involve coverage under any of the required liability policies. City assumes no obligation or liability by such notice, but has the right (but not the duty) to monitor the handling of any such claim or claims if they are likely to involve City. Consultant's Insurance. Consultant shall also procure and maintain, at its own cost and expense, any additional kinds of insurance, which in its own judgment may be necessary for its proper protection and prosecution of the Work.
