T ASSIGNMENT AGREEMENT AND AMENDMENT NO. ONE
' BETWEEN THE CITY OF NEWPORT BEACH
V AND NEWPORT SPORTS ACADEMY GLOBAL LLC
THIS ASSIGNMENT AGREEMENT AND AMENDMENT NO. ONE (to be
referenced as "Assignment" or "Amendment No. One") is made and entered into as of
this 14th day of October, 2024 ("Effective Date"), by and between the CITY OF
NEWPORT BEACH, a California municipal corporation and charter city ("City"), Newport
Sports Academy, a California nonprofit corporation ("Assignor'), whose address is 20192
Bayview Ave., Newport Beach, CA 92660, and Newport Sports Academy Global LLC, a
California limited liability company ("Assignee"), whose address is 3366 Spectrum, Irvine,
CA 92618, and is made with reference to the following:
RECITALS
A. On April 20, 2023, City and Assignor entered into an Independent Contractor
Recreation Instructor Agreement ("Agreement"), to provide the classes or
programs in Sports - Volleyball ("Class or "Program").
B. The parties desire to enter into this Assignment to assign the rights under the
Agreement from Assignor to Assignee.
C. In addition, the parties desire to enter into this Amendment No. One to extend the
term of this Agreement.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties
as follows:
1. ASSIGNMENT
As of the Effective Date of this Assignment, Assignor wishes to assign all of the
rights, title, interest, and obligations of the Agreement through this Assignment, and
Assignee accepts all of the rights, title, interest, and obligations of the Agreement in this
Assignment and assumes, agrees and undertakes to perform all obligations of Assignor
pursuant to the Agreement through this Assignment. As of the Effective Date of this
Assignment, any reference to Newport Sports Academy, in the Agreement, shall be
deemed to be a reference to Newport Sports Academy Global LLC.
As of the Effective Date of this Assignment, Assignor shall have no further rights
of any kind whatsoever under the Agreement.
2. TERM
Section 1 of the Agreement is amended in its entirety and replaced with the
following: The term of this Agreement shall commence on the Effective Date, and shall
terminate on December 31, 2027, unless terminated earlier as provided herein.
3. INTEGRATED CONTRACT
Except as expressly modified herein, all other provisions, terms, and covenants
set forth in the Agreement shall remain unchanged and shall be in full force and effect.
