CEBSubscription Agreement
This agreement is between NEWPORT BEACH CITY ATTORNEY, Account #910220, ("The Subscriber")
and The University of California, on behalf of its Continuing Education of the Bar, California ("CEB") The
University of California 745 85th Avenue, Suite F, Oakland, CA 94621 for a subscription to the CEB digital
products listed in the Subscription Description.

Order Form Terms (hereinafter referred to as "Terms").

Subscription Fees will be invoiced upon signing the Order and are due per the Terms above. Pricing for the
Subscription Agreement is due in USD and is in accordance with the Pricing Table. Payment of Annual
Subscription Fees provides the Client with the software license and access for the period corresponding to those
fees.
CEB may, at any time after the Initial Term, and in its sole discretion, but no more than once per year, modify
the Annual Subscription Fee upon providing Client an electronic price quotation. The price quotation will be
provided ninety (90) days before the increase is to take effect. A twelve (12) month period commences on the
anniversary of the Start Date.
In its sole discretion, CEB may prorate and/or co -term Subscription Fees so that all Subscription Fees for all
Software are renewable on the same date, even if the licenses were not ordered on the same date.
The terms and conditions set forth herein will not be valid and will have no meaning if this Order Form is
executed by Client order form signature date unless subsequently signed by CEB.
Subscription Renewal: The Subscription will automatically renew each year at the following Subscription
Prices until the end of the Subscription Term. CEB will send automatic reminders and/or contact the Subscriber
90 - 120 days prior to the Subscription end date to discuss any potential changes to the Subscription or the
Subscription Price, such as organization size, additions, or changes to practice areas, or expiring discounts to

ensure the Subscriber is aware of and agrees to the renewal Subscription Price if the subscriber chooses to
renew at that time.
Payment Terms: Each payment is due according to the Terms above.
Cancellation: The Subscription cannot be canceled during the Subscription Term with any expectation of a
refund, whether full or partial. All subscriptions that are expired or canceled due to insufficient payment options
are subject to collection policies. Outstanding balances for past due will be collected prior to re -activating or
purchasing a new CEB product is approved.
Subscription User Policy: All users authorized to access the Subscription must be formally affiliated with the
Subscriber as detailed in the CEB Terms and Conditions located at https://www.ceb.com/terms-and-conditions.
Confidentiality: During the term and thereafter, neither party shall provide nor disclose to any third party,
unless properly directed or ordered to do so by a public authority or otherwise required to do so by law, any
information or matter that concerns the terms and conditions of this Subscription Agreement or regards any
dealings or negotiations between the parties relating to this agreement.
Terms & Conditions: This Agreement incorporates the CEB Terms and Conditions located at
https://www.ceb.com/terms- and -conditions unless specified otherwise in this agreement or in an attached
Terms & Conditions addendum or noted below in Additional Terms of Use.
