TITLE: Approval of Amendment No. Two to Professional Services
Agreement with Bumper to Bumper, Inc. for Vehicle Washing and
Detailing Services (Contract No. 8877-1)
ABSTRACT:
The City of Newport Beach's agreement for vehicle washing and detailing services with
Bumper to Bumper, Inc. (Bumper to Bumper) expires May 10, 2025. Staff recommends
City Council approval of an amendment extending the agreement term through
May 30, 2027, and increasing the total not -to -exceed (NTE) amount by $260,000, for a
total NTE amount of $580,000.
RECOMMENDATIONS:
a) Determine this action is exempt from the California Environmental Quality Act (CEQA)
pursuant to Sections 15060(c)(2) and 15060(c)(3) of the CEQA Guidelines because
this action will not result in a physical change to the environment, directly or indirectly;
and
b) Approve Amendment No. Two to the Professional Services Agreement with
Bumper to Bumper, Inc. to extend the term through May 30, 2027, and increase the
not -to -exceed amount by $260,000 for a new not -to -exceed amount of $580,000, and
authorize the Mayor and City Clerk to execute the amendment.
DISCUSSION:
The City contracts vehicle washing and occasional detailing services to help ensure its
fleet is clean, well -maintained, and retains a professional appearance.
The current term of the City's professional services agreement for vehicle washing and
detailing services with Bumper to Bumper expires May 10, 2025, and has approximately
$65,000 remaining under its total NTE amount of $320,000. Staff has been satisfied with
Bumper to Bumper's responsiveness and service level over this past contract period.
Based on this and anticipated expenditures, staff is seeking City Council approval of an
amendment to extend the agreement term through May 30, 2027, and increase the total
NTE amount by $260,000, for a total NTE amount of $580,000. All other agreement
provisions and terms will remain unchanged.

The City entered the original agreement with Bumper to Bumper on May 31, 2022,
following a request for proposals process, with an initial term through May 10, 2025, and
a total NTE amount of $165,000. Amendment No. One was entered into on
October 24, 2023, and increased the total NTE amount to $320,000 to support adding
services for Police Department vehicles.
Regular cleaning of City vehicles not only provides aesthetic benefits, but reduces repair
costs from damage that can be caused by dirt, grime and corrosion, and in the case of
uniformed personnel in particular, provides passive safety benefits through the enhanced
command presence that visibly well -maintained equipment provides.
FISCAL IMPACT:
The adopted budget includes sufficient funding for the extended term. Police Department
vehicle services will be funded from Auto Exterior Maintenance account
(01035356-851008), and other departments to the Automative Fuel and Wash account
(851007) in each respective department's budget.
ENVIRONMENTAL REVIEW:
Staff recommends the City Council find this project exempt from the California
Environmental Quality Act (CEQA) pursuant to Section [insert exemption section number
(short description of section)] of the CEQA Guidelines, California Code of Regulations,
Title 14, Chapter 3, because it has no potential to have a significant effect on the
environment.
NOTICING:
The agenda item has been noticed according to the Brown Act (72 hours in advance of
the meeting at which the City Council considers the item).

AMENDMENT NO. TWO TO
PROFESSIONAL SERVICES AGREEMENT
WITH BUMPER TO BUMPER FOR
VEHICLE WASHING & DETAILING SERVICES
THIS AMENDMENT NO. TWO TO PROFESSIONAL SERVICES AGREEMENT
("Amendment No. Two") is made and entered into as of this 29th day of April, 2025
("Effective Date"), by and between the CITY OF NEWPORT BEACH, a California
municipal corporation and charter city ("City"), and BUMPER TO BUMPER, INC., a
California corporation ("Consultant"), whose address is 19396 Spirit Trail Drive, Perris,
CA 92570, and is made with reference to the following:
RECITALS
A. On May 31, 2022, City and Consultant entered into a Professional Services
Agreement ("Agreement") for Vehicle Washing & Detailing Services ("Project").
B. On October 24, 2023, City and Consultant entered into Amendment No. One to
the Agreement ("Amendment No. One") to reflect additional Services not
previously included in the Agreement, and to increase the total compensation.
C. The parties desire to enter into this Amendment No. Two to extend the term of the
Agreement to May 30, 2027, and to increase the total compensation.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties
as follows:
1. TERM
Section 1 of the Agreement is amended in its entirety and replaced with the
following: "The term of this Agreement shall commence on the Effective Date, and shall
terminate on May 30, 2027, unless terminated earlier as set forth herein."
2. COMPENSATION TO CONSULTANT
Section 4.1 of the Agreement is amended in its entirety and replaced with the
following: "City shall pay Consultant for the Services on a time and expense not -to -exceed
basis in accordance with the provisions of this Section and the Schedule of Billing Rates
attached hereto as Exhibit B and incorporated herein by reference. Consultant's
compensation for all Work performed in accordance with this Agreement, including all
reimbursable items and subconsultant fees, shall not exceed Five Hundred Eighty
Thousand Dollars and 00/100 ($580,000.00), without prior written authorization from
City. No billing rate changes shall be made during the term of this Agreement without the
prior written approval of City."
The total amended compensation reflects Consultant's additional compensation
for additional Services to be performed in accordance with this Amendment No. Two,
including all reimbursable items and subconsultant fees, in an amount not to exceed Two
Hundred and Sixty Thousand Dollars and 00/100 ($260,000.00).

3. INTEGRATED CONTRACT
Except as expressly modified herein, all other provisions, terms, and covenants
set forth in the Agreement shall remain unchanged and shall be in full force and effect.
