Staff is requesting City Council approval of an amendment to the existing service agreement with SECSOL, Inc., dba Security Solutions, that would increase the total compensation allowed under the agreement by $100,000. RECOMMENDATIONS: a) Determine this action is exempt from the California Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) and 15060(c)(3) of the CEQA Guidelines because this action will not result in a physical change to the environment, directly or indirectly; and b) Approve Amendment No. One to the Maintenance Services Agreement with SECSOL, Inc., dba Security Solutions, for fire and access monitoring services, to increase the contract amount by $100,000, and authorize the Mayor and City Clerk to execute the Agreement. DISCUSSION: The Utilities Department entered into an agreement with Security Solutions in June 2024, following a prior agreement in January 2019. Both agreements were initiated through competitive request for proposals selection processes. The agreement and scope of work specifically focused on Utilities Headquarters and Big Canyon Reservoir. The agreement provided for a total compensation of $120,000 over a five-year term. Security Solutions has provided fire and security alarm monitoring and maintenance services to the Utilities Department for several years with a satisfactory performance record. Last year, staff from the Utilities Department and the Information Technology Division conducted a security system vulnerability analysis. This resulted in staff, along with the Security Solutions team, completing various hardware and software security upgrades to modernize the systems at critical utility facilities. Due to the scope of and cost associated with the necessary upgrades, the existing agreement's compensation level is no longer 17-1 Amendment to Maintenance Services Agreement with SECSOL, Inc., dba Security Solutions for Fire and Access Monitoring and Maintenance Services July 22, 2025 Page 2 sufficient for the remainder of the term. Staff recommends City Council approval of an increase to the agreement's compensation by $100,000, which would bring the total not -to -exceed compensation amount to $220,000. Four years remain on the term of the agreement. FISCAL IMPACT: The adopted Fiscal Year 2024-25 and Fiscal Year 2025-26 budgets include sufficient funding for this agreement amendment. The contract services are expensed to various program facilities maintenance budgets within the Utilities Department across three funding sources: Water Fund account 7019052-851063, Wastewater Fund account 7119061-851062 and General Fund Storm Drain/Electrical accounts 0109062-851062. ENVIRONMENTAL REVIEW: Staff recommends the City Council find this action is not subject to the California Environmental Quality Act (CEQA) pursuant to Sections 15060(c)(2) (the activity will not result in a direct or reasonably foreseeable indirect physical change in the environment) and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA Guidelines, California Code of Regulations, Title 14, Chapter 3, because it has no potential for resulting in physical change to the environment, directly or indirectly. NOTICING: The agenda item has been noticed according to the Brown Act (72 hours in advance of the meeting at which the City Council considers the item). ATTACHMENT: Attachment A — Amendment One to Maintenance Services Agreement with SECSOL, Inc., dba Security Solutions. 17-2 ATTACHMENT A AMENDMENT NO. ONE TO MAINTENANCEIREPAIR SERVICES AGREEMENT WITH SECSOL, INC., DBA SECURITY SOLUTIONS FOR FIRE AND ACCESS MONITORING AND MAINTENANCE SERVICES THIS AMENDMENT NO. ONE TO MAINTENANCE/REPAIR SERVICES AGREEMENT ("Amendment No. One") is made and entered into as of this 22nd day of July, 2025 ("Effective Date"), by and between the CITY OF NEWPORT BEACH, a California municipal corporation and charter city ("City"), and SECSOL, INC., a California corporation doing business as ("DBA") Security Solutions ("Contractor"), whose address is 10911 Bloomfield Street, Los Alamitos, CA 90720, and is made with reference to the following: RECITALS A. On June 1, 2024, City and Contractor entered into a Maintenance/Repair Services Agreement (Contract No. C-7653-2) ("Agreement") to perform maintenance and/or repair services for City consisting of fire and access monitoring and maintenance services ("Project"). B. The parties desire to enter into this Amendment No. One to increase the total compensation due to a higher volume of work than was originally anticipated. NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as follows: 1. COMPENSATION TO CONTRACTOR Section 4.1 of the Agreement is amended in its entirety and replaced with the following: "City shall pay Contractor for the Services on a time and expense not -to -exceed basis in accordance with the provisions of this Section and the Schedule of Billing Rates attached hereto as Exhibit B and incorporated herein by reference. Except as otherwise provided herein, no rate changes shall be made during the term of this Agreement without the prior written approval of City. Contractor's compensation for all Services performed in accordance with this Agreement, including all reimbursable items, shall not exceed Two Hundred Twenty Thousand Dollars and 00/100 ($220,000.00), without prior written amendment to the Agreement." The total amended compensation reflects Contractor's additional compensation for additional Services to be performed in accordance with this Amendment No. One, including all reimbursable items and subconsultant fees, in an amount not to exceed One Hundred Thousand Dollars and 00/100 ($100,000.00). 2. INTEGRATED CONTRACT Except as expressly modified herein, all other provisions, terms, and covenants set forth in the Agreement shall remain unchanged and shall be in full force and effect.
