WHEREAS, the City of Newport Beach is a member of Sanitation District No. 50 which said district is a part of the Orange County Sanitation Districts, organized for the purpose of constructing, operating and maintaining a "Joint Sewerage System"; and WHEREAS,,on or about the 22nd day of May, 1950. the City Council of Newport Beach adopted Resolution No. 3799, which said resolution approves the sale, by the City of Newport Beach to County Sanitation Districts Numbers Five and Six, of the City of Newport Beach trunk line sewers, all as set out in the Engineer's Report of December 22, 1948, for the sum of Two hundred Five Thousand Seven Hundred Sixteen and no/100 Dollars (0205,716,00); and WHEREAS# certain changes in said Agreement for Sale have been necessitated since the adoption of said resolution, and a now oontracto embodying such changes, has been prepared and submitted to the City Attorney of the City of Newport Beach and has been approved by him= and WHEREAS, a Joint Construction and Operation Agreement between County Sanitation Districts Numbers Five and Six and certain other County Sanitation Districts of Orange County, California, has boon approved and executed, and a Joint Construction and Operation Agree- ment has been approved and executed between said County Sanitation Districts Piumbers Five and Six of Orange County= NOW, THEREFORE, BE IT RESOLVED that Resolution Not 57990 dated the 22nd day Of May, 19509 be and the same is hereby repealed, and IT IS FURTHER MSOLVED that the City of Newport Beach sell said trunk line sewers to County Sanitation Districts 1Rwt- bere Five and Six for a price of Two Hundred Five Thousand Seven Hundred Sixteen and noAOO Dollars ($2058716.00), the purchase price thereof to be paid to the City from the pro. oeeds of the sale of bonds authorized by the election of February 28, 1949, said payment to be made in full within thirty days after said bonds are sold and delivered to the Cchasers and upon delivery to the buyers of deedsp leases* bids of sale, easements and other documents of title sufficient to vest title to all of the facilities mentioned in said Agreement for Sale in the peroentage in- terests therein specified; that said sale be made contingent upon the possession and operation of said trunk line sewers remaining in the City of Newport Beach until any sufficient portion of the "Joint Seworage System" has been completed and In capable of receiving,, treating and disposing of the seaage and effluent of said trunk line sewersi the cost of maintenance and operation thereof to be borne by the City of Newport Beach,, and upon such completion,, the possession and maintenance thereof to be turned over to said Sanitation Districts and the cost and maintenance of such trunk line sewere thereafter to be borne by said County Sanitation Districts Numbers Five and Six# and BE IT FURTHER RESOLVED that the Mayor and the City Clerk of the City of Newport Beach be,, and they are,, hereby authorised to execute such Agreement for Sale on behalf of the City of Newport Beach and to attach the seal of the City of Newport Beach thereto,, and BE IT FURZIER RESOLVED that the Mayor and the City Clerk of the City of Newport Beach be,, and they are hereby author- ized to execute,, on behalf of the City of fewport Beach, any and all deeds,, leases, bills of sale# assigtmments,, easements and other documents of title sufficient to vest title to all of the facilities mentioned in said Agreement for Sale in said County Sanitation Districts limbers Five and Six in the percentage interests specified in said Agree- ment for Sale.
