, pursuant to Notice Inviting Bids for the in-
4 stalling of 2,630 lineal feet of 8 inch cement asbestos water pipe,
5 84 lineal feet of 8 inch welded steel pipe and 3 Class A Fire

Hydrants, heretofore duly given, sealed proposals and bids thereof
7 were duly received and, at the time and place set for such purpose,
e
duly opened, and it a ppearin g that the lowest re gular and responsible
9 bidder is CMS Construction Company, a co- partnership; and
10 WHEREAS, there has been duly presented to the City
11 Council of the Cit y of Newport Ne Beach, a certain a greement dated
12
the /MTh day of A a^1_44, 1955, by and between said CMS Construction
13 Company and the City of Newport Beach, providing for said install -
14 in
E of approximately 26,30 lineal Peet of 8 inch cement asbestos
15 water pipe, 84 lineal feet of 8 inch welded steel pipe and 3 Class A
16
Fire Hydrants;

NOW, THEREFORE, BE IT RESOLVED, that said bid of said
18 CMS Construction Company for said 2,630 lineal feet of 8" cement
18
asbestos water pipe and necessary connections at $2.99 per lineal
20 foot; for said 84 lineal feet of 8" welded steel pipe including
21 necessary 12" steel casing with necessary connections at $12.29
22
per lineal foot; and 3 Class A Fire Hydrants at $347.96 per each,
23
and the same is hereby awarded to CMS Construction Company; and
24
BE IT FURTHER RESOLVED, that the Mayor and City Clerk
25
be and they are hereby authorized and instructed to execute
26
said Agreement in the name of and for and on behalf of the City
27
of Newport Beach, and that the City Clerk furnish a duly executed
26
copy thereof to said C143�6onstruction Company.

THIS AGREEMENT, made and entered into this llfth day Of
1955, by and between the City of Newport Beach, a charter
city of the County of Orange, State of California, hereinafter
referred to as "City ", and CMS Construction Company, a co-- partner-
ship, hereinafter referred to as "Contractor ",
W I T N E S S E T H:
WHEREAS, the Contractor has been awarded a contract by
the City to do all the work required to complete the work of im-
provement mentioned in the attached plans and specifications, and
in strict conformity with the plans, specifications and other
contract documents on file in the office of the City Clerk of the
City of Newport Beach for the doing of said work, a copy of which
plans and specifications is attached hereto, marked Exhibit "A ",
and made a part hereof to the same extent and purpose as if the
same were herein set out word for word.
NOW, THEREFORE, the Contractor, for the considerations
hereinafter mentioned, promises and agrees with the City that he
will do and perform in a good and workmanlike manner, under the
direction and supervision of and to the entire satisfaction of
the City Engineer of the City of Newport Beach, all the work as
particularly set forth in the plans and specifications for said
work, on file as aforesaid, and attached hereto as Exhibit "A",
at the price set forth in its bid on file, as follows, to wit:

6 The specifications fixing the time for the commencement
7 of said work and -for the completion thereof, and the time for the
8 commencement of said work as specified in said specifications and
9 for the completion thereof, are hereby made a part of this contract
10 to the same extent and purpose as if the same were herein specified
11 and set out in full.
12 It is further understood and agreed between said parties
13 that in the event extra work is performed under the written direc-
14 tions of the City Engineer of the City of Newport Beach, by the
15 Contractor for said City, and said work shall not be covered by
16 the specifications and plans, Exhibit "A ", aforesaid, in this agree -
17 ment and other contract documents now on file in the offi.e of the
18 City Clerk of the City of Newport Beach, then and in such an event
19 the extra work to be performed and the prices thereof shall be
20 agreed upon between the Contractor and the City, and shall be paid
21 for in the manner hereinafter specified.
22 It is further understood and agreed between said parties
23 that the Contractor will be paid in the manner and time and in
24 the amounts specified by the specifications attached hereto, and
25 in respect to the provision for payment, said specifications shall
26 fully govern and be made a part of this contract.
27 It is further understood and agreed that the Contractor
26 will furnish all machinery, labor, materials, transportation, tools,
29 and equipment necess ary to complete the work of improvement rovement men -
30 tioned in said annexed specifications, Exhibit "A" aforesaid, and
31 in strict conformity with said plans and specifications, and to
32 the entire satisfaction of the City Engineer of the City of Newport

1 Beach.
2 It is further agreed that the Contractor shall, before
3 commencing said work, deposit with the City Clerk of the City of
4 Newport Beach, a labor and material bond in an amount equal to
5 fifty per cent (50 %) of the contract price, and a faithful per -
6 formance bond in an amount equal to fifty per cent (50%) of the
7 contract price, said bonds to be secured from a surety company
8 satisfactory to the City of Newport Beach.
9 It is further understood and agreed by and between the
loll parties hereto that the Contractor shall not sublet, assign, sell
1111 or transfer this contract or any interest therein to any party
1211 whatsoever, without the prior written consent of the City, nor
13 shall he sub- contract any part of the work to be performed here -
14 under without the prior written consent of the said City.
15 Contractor agrees that he will faithfully perform said
16 contract in accordance with all labor laws, Federal and State,
17 governing chartered cities, and pay the wages provided for in the
18 Notice Inviting Bids, which wage scale has been duly adopted by
19 the City Council of the City of Newport Beach, in the manner pro -
20 vided by law.
21 Time shall be the essence of this contract.
22 It is specifically agreed that the contractor agrees to
23 perform, in accordance with the specifications, each covenant,
24 term and condition thereof, and shall be liable and responsible
25 for all the penalties provided for in said specifications, and
26 shall further conform to all City ordinances of the City of Newport
27 Beach, all State and Federal laws in reference to the hiring of
28 labor or the doing of the work of improvement mentioned in said
29 specifications; that each term, covenant and condition specified
30 in the annexed specifications are made a part and portion of this
31 contract to the same extent and purpose as if the same were herein
32 set out in full, and said Contractor agrees to conform to each

covenant, condition and sp*oification therein set forth, and as a
part of this contract.
IN WITNESS WHEREOF, the City of Newport Beach has hereunt<
caused its corporate name to be signed and its corporate seal to
be affixed by its Mayor and City Clerk thereunto duly authorized
by Resolution No. 4312 of the City Council dated this t4th day of
1955, and the said Contractor, CMS Construction Company,
a co- partnership, has hereunto set their hands the day and year
first above.mentioned.
