Staff has identified several key concerns that may negatively impact the internal solid waste operation in the near future, including the significant reduction of personnel due to past and pending retirements, the age of the current collection fleet and the cost of new alternative fuel trucks. In addition to the operational challenges facing the City - provided collection program, staff and the consulting team of HF &H Consultants have also identified significant one- time and ongoing cost savings that may result from contracting out these services. One time savings include the elimination of the $4.5M equipment replacement fund for refuse trucks and the sale of the existing fleet valued at $1.5M. Ongoing savings include the elimination of the $410K annual payment to the equipment replacement fund and the potential overall cost reduction per dwelling for the collection service. Contracting collection services may also provide the opportunity to enhance current service levels by providing additional services, such as curbside collection of large, bulky items. City Council has directed staff to develop a Request for Proposal (RFP) document to solicit bids for the residential solid waste program so that a cost - service benefit analysis can occur. Review of the Request For Proposal (RFP) Outline For The Residential Solid Waste Program April 23, 2013 Page 2 RECOMMENDATION: Staff recommends that the City Council review the attached Project Plan containing the key elements of the Request for Proposals (RFP) for Residential Solid Waste Services and direct staff to issue the RFP in early May 2013. FUNDING REQUIREMENTS: There are no additional funding requirements for the release of the RFP document. Staff has provided a copy of the Project Plan (Attachment A) which describes the key elements of the draft RFP (Attachment B). These key elements include: Residential Collection Method This section defines the two "paths" for proposals: a Manual Collection system that mirrors the current program that is in place today (manual collection and unlimited containers provided by the resident), and a Two Cart (recycling and trash) Automated system where residents can voluntarily participate in recycling, receive an unlimited number of carts provided by the hauler, and choose from several different sizes of carts. Core Services This section defines the "core" services to be provided in the two paths described above. Core services include such things as required diversion (recycling) levels, processing the mixed waste, bulky item collection, missed container collection, alternative fuel vehicles, the hiring of qualified city employees, and abandoned item collection. Core services are those operational functions in waste collection that are the minimum requirements of a contract, regardless if automated or manual system, in order to maintain the high level of services currently enjoyed by residents. Optional Services Optional services are those extra "might be nice to have" functions that would be an enhancement to current service levels. These functions include leasing the capacity in the City's transfer station, a "concierge" or pull -out service for disabled residents, an enhanced bulky item program for large appliances and an emergency service response plan. The terms include such elements as the length of the agreement or contract, the proposed cost and compensation plan, performance requirements, insurance levels, public education and customer satisfaction surveys, audits and reporting requirements, and collection schedules. ENVIRONMENTAL REVIEW: Staff recommends the City Council find this action is not subject to the California Environmental Quality Act ( "CEQA ") pursuant to Sections 15060(c)(2) (the activity will not result in a direct or reasonable foreseeable indirect physical change in the environment) and 15060(c)(3) (the activity is not a project as defined in Section 15378) of the CEQA Guidelines, California Code of Regulations, Title 14, Chapter 3, because it has no potential for resulting in physical change to the environment, directly or indirectly. Currently, City crews provide manual refuse collection to most of the City's residents, paid for through the General Fund and a small monthly charge to residents forthe incremental cost of recycling. Two areas of the City, Newport Coast and Santa Ana Heights, are currently serviced by private haulers and will not be included as part of this contracting process. See Attachment 2C for the service area map. Descriptions of the service area and current services are provided in Section II of this RFP. Section III describes the proposed service requirements, Section IV identifies certain key contract terms, Section V describes the required contents of the proposal and Section VI describes the evaluation of the proposals. Failure to complete and submit all of the forms and the other information required in Section V may be grounds to disqualify a proposal. The proposal should be organized according to the outline shown in Attachment 1. Term of New Agreement The initial term of this agreement is seven years. The City may extend the agreement for up to 36- months, on a month -to -month basis, at its sole option. Services under the new agreement will begin . See Sections 2.2.2 and 2.2.3 of the draft agreement. Summary of Requested Services The two paths for which the City is seeking proposals for residential refuse collection are summarized in Table 1; proposers may propose to provide service under either or both of the paths. The core services required under both Path 1 and Path 2 are summarized in Table 2, and are briefly described in Section III of this RFP. A more comprehensive description of the services is provided in the draft franchise agreement in Attachment 5. Proposal Clarifications and Updates After reviewing the RFP package, proposers may find that they require clarification of some requirements. Proposers may submit oral or written questions. Written responses to such questions, addenda and clarifications, if any, will be provided via e-mail to all potential proposers that leave their contact information when they request the RFP from the City or attend the pre - proposal meeting. Proposers should leave the primary contact name, company name, address, e-mail address, and phone number. Only written responses will govern. Written questions may not be accepted after the date shown in the schedule in Table 4 at the end of this section, as this would leave insufficient time for the City to provide an adequate response to all potential proposers. However, if proposers have simple questions regarding how to complete submittal forms or otherwise complete the proposal requirements, proposers may continue to request assistance via telephone until the proposal due date. See "Communications During RFP Process" below for instruction on where to submit timely questions. Process Integrity Guidelines and Communications during RFP Process All communications regarding this RFP shall be made exclusively through Mark Harmon, General Services Director, of the City of Newport Beach, who can be reached at (949) 644 -3055 and by e-mail at m harm on @city.newport- beach.ca.us, or Laith Ezzet of HF &H Consultants, the City's consultant, by mail at HF &H Consultants, 19200 Von Karman Avenue, Irvine California, 92612, by telephone at (949) 251 -8902, by fax at (949) 251 -9741 and by e- mail at IezzetPhfh- consultants.com Proposal Administration The City of Newport Beach shall have the right to perform, and each proposer must agree to cooperate with, an investigation and review of each proposer's ability to perform the work required. Such cooperation shall apply not only to the verification of the proposer's capability and experience in the provision of services, but also to the provision of any other component of work that may be required under this procurement. City of Newport Beach 3 DRAFT, April 16, 2013 City of Newport Beach Section I - Introduction RFP for Residential Solid Waste Services Agreement In order to objectively evaluate all proposals, the City has attempted to describe the desired services and the terms and conditions in the draft franchise agreement in a manner that will allow a reasonable level of comparability among the proposals. Therefore, the City discourages, and may disqualify, proposals that substantially deviate from the RFP. Proposals that do not include the completed forms required herein and information required in Section V may be disqualified. Provided that the proposer has submitted a proposal that meets all of the minimum requirements of this RFP, the proposer may also offer additional enhancements that exceed the RFP requirements. The City reserves the right to reject all proposals, disqualify nonconforming or incomplete proposals at its sole discretion, waive deviations from the RFP, and determine whether proposers are qualified. The City reserves the right to issue addenda to the RFP, to modify the RFP, to modify the franchise agreement, or to withdraw the RFP. The City may request clarification or additional information from any of the proposers at any point in the RFP process. Proposals must comply fully with the requirements detailed in this RFP. Required supporting documentation must be included as attachments and be appropriately identified. The existing service information presented in Section II and Attachment 2 of this RFP is for information only and the City makes no representations as to its accuracy. All proposers should take whatever steps they believe are necessary to reasonably establish the actual existing service information when preparing their proposals. Submission of Proposals The draft franchise agreement containing the terms and conditions under which service is anticipated to be provided (see Attachment 5) is an integral part of this RFP. This draft franchise agreement includes information related to service standards, compensation, reporting, and other activities related to the performance of these services. Submission of a proposal shall constitute acknowledgment and acceptance of all the terms and conditions contained in this RFP, and in the draft franchise agreement, unless exception to particular terms and conditions are expressed in writing in the proposal. The successful proposer will be expected to enter into a franchise agreement with the City; only those exceptions noted in its proposal will be considered for modification. The City is not obligated to agree to these exceptions but reserves the right to negotiate modification of such noted exceptions to the draft franchise agreement. Each and every term and condition of the proposal shall be irrevocable by the proposer until the City enters into a franchise agreement to perform the scope of services for the proposed rates according to those terms and conditions. Within fifteen (15) business days of the selection of a proposal by the City Council, the selected proposer is expected to execute the franchise agreement, and furnish the required labor and performance bond. The form of the financial instruments is described in Section 6.3 of the draft franchise agreement. The terms of this RFP and the proposals are firm for a period of two hundred and seventy (270) days. Once submitted, responses to this RFP cannot be altered without the City's express written consent. The City reserves the right to reject any or all proposals, and may elect to make a decision without further discussion or negotiation. This RFP is not to be construed as a contract of any kind; the City may withdraw or modify this RFP at any time. The City is not liable for any costs incurred by any potential proposer in the preparation of a response to this RFP. City of Newport Beach 4 DRAFT, April 16, 2013 City of Newport Beach Section I - Introduction RFP for Residential Solid Waste Services Agreement Proposers must submit two (2) bound copies, one (1) unbound photocopy -ready copy, and an electronic copy on a CD or flash (thumb) drive of the complete proposal in a sealed package. The package should be clearly labeled: ATTENTION: CITY CLERK PROPOSAL FOR RESIDENTIAL SOLID WASTE SERVICES AGREEMENT NAME OF PROPOSER PROPOSER'S ADDRESS PROPOSER'S CONTACT PERSON PROPOSER'S TELEPHONE NUMBER PROPOSER'S FAX NUMBER PROPOSER'S EMAIL ADDRESS The proposal may be mailed, couriered, or hand delivered to the City Clerk, City of Newport Beach, 100 Civic Center Drive, Newport Beach, California 92660. All proposals must be received by the City Clerk of Newport Beach by the date and time shown in the schedule in Table 4 at the end of this section, City of Newport Beach time. Proposals received after this time and date may be returned unopened. Postmarks will not be accepted as proof of receipt. Proposal Reproduction Black- and -white copies of the proposals may be made by the City for review by City Council or other parties, either from the unbound copy or from the electronic file submitted. Proposals should be prepared in a manner that reproduces clearly and legibly in black and white. Use of color and dark shading should therefore be minimal. All proposal pages should be 8.5" by 11" to facilitate reproduction. Schedule The procurement schedule is shown in Table 4. These dates are subject to change by the City. City crews provide residential solid waste collection in the City, except for the Newport Coast community and the Santa Ana Heights areas are serviced by private haulers. The City provides unlimited manual refuse collection in containers provided by the customers to approximately 26,500 residential units. Challenging Collection Areas — Certain areas of the City (principally Balboa Peninsula, Balboa Island, Corona del Mar and other islands) require collection from narrow streets and alleys. In these areas full -size collection vehicles may not fit, and even smaller vehicles may have difficulty making turns. Some streets may be too space constrained to accommodate the use of standard automated collection arms. Currently, the City uses rear -load vehicles with two -man crews to provide service in these areas. See Attachment 2D for a map of the two -man collection areas. Summer Refuse Collection — Certain customers receive summer Saturday refuse collection, in addition to the regular weekly service, between the two Saturdays before the 4`" of July and the Saturday prior to Labor Day. The customers receiving the summer refuse collection are on the Balboa Peninsula (Attachment 2E) and those customers on Balboa Island with short -term rentals that pay the Transient Occupancy Tax (Attachment 2F). Current Staffing The City's refuse collection program consists of 23 employees for calendar year 2012, including one refuse superintendent and one refuse supervisor. The City has provided a schedule of the refuse staff salary and benefits for calendar year 2012 in Attachment 3. Processing and Transfer Solid waste collected by City personnel is brought to the City's transfer station to be transferred and transported for processing and disposal. The City currently has an agreement with CR &R for the transportation of solid waste from the City's transfer station to CR Transfer, a material recovery facility (MRF) for processing and disposal of the residential solid waste. The residential solid waste is processed to separate recyclable materials for diversion from disposal at an Orange County landfill. The processing agreement requires that the MRF divert more than 40% of the material delivered to the facility from disposal. Vehicles The City operates 18 refuse collection vehicles (see Attachment 2B) and a small volume transfer station in the Corporation Yard. Four of the collection vehicles (two front -load trucks and two rear - load trucks) use compressed natural gas (CNG) and were acquired in 2010. All of the refuse collection vehicles in use are in compliance with the California EPA's solid waste collection vehicle regulation. A listing of the refuse collection vehicles and pertinent data is provided in Attachment 4. The City operates three additional pieces of equipment at the Corporation Yard; a yard mule, a tractor and a backhoe. City of Newport Beach 6 DRAFT, April 16, 2013 City of Newport Beach Section II — Current Service Data RFP for Residential Solid Waste Services Agreement Routes The City operates fourteen collection routes per day, five days per week. During the summer months, the City runs eight additional half -day collection routes on Saturday in the West Newport and Balboa Peninsula areas and for certain Balboa Island customers. On Monday, the City operates seven one - man front -load routes and seven two -man rear -load routes. Tuesday through Friday, the City operates nine one -man front -load routes and five rear -load routes. One of the front -load routes is roughly'' /: day and the route operator assists with transfer station operation for the remainder of the day. Front -load route operators that finish their assigned routes early will often move to assist on one of the rear -load routes. Service Area Maps The City has provided maps of the service areas in Attachment 2C through 2G as follows: • Attachment 2C — map of the refuse collection schedule; • Attachment 2D — map of the two -man alley collection areas; • Attachment 2E — map of the summer refuse collection area; • Attachment 2F — map of the summer refuse collection area — Balboa Island; and • Attachment 2G — map of the one -way streets collection areas. As stated in Section I, the City neither warrants nor accepts responsibility for the accuracy of the information. These maps will be available for review on the City's website (link to website). It is the responsibility of each proposer to undertake, at its sole cost, any verification of this information necessary for it to submit a response to this RFP. Household Hazardous Waste and Sharps The City does not collect HHW or Sharps (syringes, needles, lancets, etc.). Residents are directed to Orange County Household Hazardous Waste Collection Centers and the City provides a Sharps and Medication Disposal Directory to residents. A more comprehensive description of these services is found in the draft agreement, included as Attachment 5 of this RFP. References to sections and appendices refer to the draft agreement; references to attachments refer to attachments to this RFP. Path 1: Existing System (Manual Collection) Under Path 1, manual unlimited collection of all solid waste from customer - provided containers would continue. Containers — Customers will continue to provide the containers. The containers provided by customers are required to be no more than 35 gallons and weigh no more than 50 pounds. Collection — Solid waste will be collected in one collection vehicle in one pass and sent for processing, except for those customers receiving twice per week service during the summer refuse collection period. Collection Location - Under Path 1, the collection location remains unchanged from the parkway or alley. Some collection locations are set back from the alley and the hauler may need to move the containers up to 10 feet to service. Path 2: Two -Cart Automated Refuse Cart Collection — Hauler will distribute 32, 64, and 96- gallon refuse and recycling carts, as requested by customer. Customers will be requested to separate recyclables into recycling carts. However, recycling is voluntary. Collection will continue to be unlimited. Extra waste that will not fit into carts will be collected in customer containers, bags or boxes. The width of the proposed 32- gallon cart should be similar to, or less than, the diameter of a typical 32- gallon barrel. Can Service — Some customers will be unable to accommodate carts. These customers will be permitted to retain refuse collection service from customer - provided containers. Collection — Solid waste and recyclables will be collected in two collection vehicles in two passes. The mixed recyclables collected from the recycling cart will be sent for to a MRF processing. Contractor may also propose to process the refuse to maximize recycling if contractor believes such additional processing is needed to achieve the diversion guaranty. Collection Location - Under Path 2, most of the City would be collected from the street gutter. About 20% of the City would require alternative container placement. The route operator may be required to leave the cab to position carts for collection. Certain areas in the City currently receive two -man alley collection service. The hauler shall provide the appropriate collection service required in the alleys. Some collection locations are set back from the alley and the hauler may need to move the containers up to 10 feet to service. Core Services - Both Paths Solid Waste Processing and Diversion — Proposers will be asked to propose a guaranteed diversion rate of at least 40% for all waste collected under this agreement. Under Path 1, all material shall be City of Newport Beach 8 DRAFT, April 16, 2013 City of Newport Beach Section III — Proposed Service Requirements RFP for Residential Solid Waste Services Agreement sent for processing. Under Path 2, processing of waste discarded in the refuse cart is not required, but is anticipated to be necessary for some or all of the refuse to meet the diversion goal. Transfer Station - The hauler has the option to use the City's transfer station for solid waste collected under this agreement at no additional cost. The hauler will be responsible for the ultimate disposal of all tonnage the City currently delivers to the transfer station, including residential waste, abandoned item waste and street /park litter container waste delivered to the yard by a third -party vendor under contract with the City. All tonnage sources required to be collected, processed and /or disposed of by the hauler are included in the tonnage reports in Attachment 2. Alternatively, the hauler may use another transfer facility, but will remain responsible for removal and processing and /or disposal of the waste from these other City sources. If the hauler uses the transfer facility exclusively for solid waste collected under this agreement, the City will continue to operate the facility. If the hauler leases the facility from the City, the hauler will operate the facility and be responsible for all maintenance and repair of the transfer station and its equipment, including all costs related to its operation and maintenance and equipment replacement if required. The term of the lease may not exceed the term of the collection agreement. The hauler may not park vehicles at the City's transfer station, although the hauler may stage one or two transfer station vehicles overnight. City's Processing Contract - If the hauler uses the City's transfer station, it has the option of using the City's existing transfer and processing contract with CR &R at proposer's expense. The term of this agreement is through June 2018, with 5 one -year extension options, but may be terminated by either party with a 180 -day notice at any time. The current per ton fee of $_ includes a processing component that adjusts by the change in CPI and a disposal component that adjusts based on Orange County Landfill costs, and a per truck load credit set at $97.63. The per ton rate adjusts each July 1. A copy of this agreement may be obtained by . This processing agreement requires that more than 40% of the material collected be diverted from landfilling. Proposers may meet this minimum diversion rate through continued use of this arrangement, or propose alternative processing arrangements to meet or exceed the diversion minimum. Basic Bulky Item Collection — Bulky item collection as currently provided will continue under the new agreement. Currently, the City collects bulky items that can be collected using the City's rear - loader route vehicle, including mattresses, small furniture, and couches without metal frame work (no sleeper couches). Residents are requested to call in for this collection, but items clearly placed for collection will be collected with or without a call in. Residents shall continue to receive unlimited call -in collection of the same items at no charge, though the hauler may want or need to use a second, alternative collection vehicle such as a flatbed to perform this service. See Exhibit B.1.2.2. Large appliances, sleeper couches and electronic waste are not collected under this basic bulky item collection program, but will be collected as "Enhanced Bulky Item Collection" under Optional Services as described later in this RFP.. Holiday Tree Collection - Contractor will collect and divert holiday trees placed curbside from all residential customers from December 26 through January 15 (three full collection weeks). The hauler shall divert the holiday trees collected, unless the tree is flocked, contains decoration, or otherwise City of Newport Beach 9 DRAFT, April 16, 2013 City of Newport Beach Section III — Proposed Service Requirements RFP for Residential Solid Waste Services Agreement cannot be diverted, in which case the tree shall be collected and disposed. See Exhibit B.1.5. Trees left after three weeks will be collected as a basic bulky item under Exhibit 8.1.2.2. Summer Saturday Collection — Additional collection services are provided in select, high - rental areas on Saturdays from two Saturdays prior to the 4`h of July to the Saturday preceding Labor day each Summer. This reflects ten (10) Saturdays in calendar year 2013 and eleven (11) Saturdays in calendar year 2014. See Exhibit B.1.3 of the Agreement. City Sponsored Event Collection — Contractor will be required to provide and collect bins and /or roll - off boxes, on an as needed basis, at City— sponsored events at no additional cost. The City is responsible for providing and placing the litter boxes. City crews transport solid waste from event litter boxes to hauler - provided bins /roll -off boxes for disposal or processing by hauler. Current City - sponsored events include, but are not limited to: • Fourth of July event; and • Annual Corona del Mar 5K Scenic Run. Abandoned Items — The hauler will be responsible for the transportation and recycling /disposal of abandoned item tonnage collected by City crews, either from the City transfer station, or another collection location, as determined by the City. Natural Gas Collection Vehicles — Natural gas (CNG or LNG) vehicles will be required within 12 months of service initiation, or earlier if required by law. Vehicles should be no more than 10 years old at any time during the term of the agreement. Proposers shall indicate whether they intend to use the City's CNG fueling station and, if so, how many gallons per year of fuel proposer will guarantee to purchase at City's posted rate. The existing rate as of is $_ per gallon and is adjusted by Hire Qualified City Employees — The hauler shall interview City employees displaced by privatization that submit an application and make employment offers to applicants qualified for positions with the hauler. Contractor to Collect Spilled or Overflowing Waste — The hauler shall promptly clean up all spilled materials whether on private or public property. The hauler shall clean up existing litter in the immediate vicinity of a collection container regardless of whether the hauler caused the spill. See Section 5.1.3.E of the Agreement. Optional Services — Both Paths Lease of City Transfer Station to Utilize Excess Capacity — The City owns and operates a small volume transfer station in the City's Corporation Yard. The City is requesting offers to lease the extra capacity of the transfer station. If the hauler leases the transfer station, the hauler will be responsible for all operations. The on -site scale is currently not operational; the hauler would have the option to repair and use the scale at its own expense. The transfer station is permitted for 340 tons per day. The City has excess capacity of approximately 200 tons per day at the transfer station and offers use of the excess capacity to a hauler for a fixed annual lease payment. Tonnage that may be accepted at the transfer station to use the extra capacity includes in -City commercial tonnage or out -of -city tonnage. Enhanced Bulky Item Collection (large appliances and electronic waste) — Propose a separate cost for collection of enhanced bulky items under both manual and automated collection paths options. The additional items to be collected under this enhanced bulky item program are large appliances, sleeper City of Newport Beach 10 DRAFT, April 16, 2013 City of Newport Beach Section III — Proposed Service Requirements RFP for Residential Solid Waste Services Agreement couches, electronic waste, select universal wastes such as fluorescent bulbs and household batteries, and other large items capable of being collected by two people. See Exhibit B.1.7 Container Pull -Out Service for Disabled — Propose a total annual cost to the City to provide collection service from a back or side yard for qualified disabled customers who request it. See Exhibit B.1.6. Sharns Collection Program — Propose an annual cost to provide Sharps collection containers, with pre- paid mail -back disposal. HHW Door -to -Door Collection — Propose an annual cost to provide call -in, door -to -door collection of items such as paint, batteries, and household and garden chemicals that are not to be placed in refuse or recycling containers for weekly collection. See 8.1.11. Annual Community Shred -It Day — Propose an annual cost to conduct a one -day annual event for collection and shredding of resident's papers. See Exhibit 8.1.12. Emergency Services - Provide collection vehicles for use in emergency clean -up situations. Propose an hourly rate for the use of one crew and one vehicle for on -call emergencies. See Exhibit B.3.3. City of Newport Beach 11 DRAFT, April 16, 2013 of Newport Beach Section IV — Kev Contract Terms RFP for Residential Solid Waste Services Agreement SECTION IV - KEY CONTRACT TERMS A comprehensive description of contract terms is found in the draft franchise agreement. Below are some key terms to bring to your attention. Section references to the draft franchise agreement are included in the following summary. Term and Extension Per Section 2.2.2, the term of the agreement during which the hauler will provide collection services shall be seven (7) years, with an extension of up to 36- months at the City's sole option. See Section 2.2.3. Compensation Adjustment Method The hauler may request an adjustment to the Hauler Compensation (Exhibit C) annually based on the adjustment method described in Section 3.4 of the agreement. As described in Section 3.4 of the draft agreement, the compensation may be adjusted annually by the change in the tipping fee at the Orange County landfills, the Producer Price Index for natural gas (WPU 0531) and the Consumer Price Index for All Urban Consumers (CUUROOOOSAOLIE), all items less food and energy, U.S. city average, subject to a 2.5% annual cap, and 5% of the total rate increase in any given year. Education and Public Awareness The hauler will be required to provide outreach material in the form of online resources, annual notice /newsletters, corrective action notices and other methods acceptable to the City. The hauler will be required to prepare and distribute a mailing to customers explaining the transition from City collection to hauler collection. The mailing will describe program changes, route changes, dates of program implementation, and other necessary information. See Exhibit B.7. Insurance The hauler shall obtain, provide and maintain, at its own expense during the term of the agreement, insurance policies, as described in Section 6.1 of the draft agreement, including: • Workers' Compensation Coverage - $1,000,000 Employers Liability Insurance; • General Liability Insurance - $5,000,000 per occurrence for bodily injury, personal injury and property damage; • Automobile Liability Coverage - $5,000,000 combined single limit for each occurrence; and • Pollution Liability Coverage - $1,000,000 per occurrence and annual aggregate. Performance Standards Performance standards, events of default and excuse from performance are described in Section 7. City of Newport Beach 12 DRAFT, April 16, 2013 City of Newport Beach Section IV — Key Contract Terms RFP for Residential Solid Waste Services Agreement Performance Surety The hauler will be required to provide performance surety in the amount of $ . Proposers may propose to provide this in the form of a labor and performance bond, a letter of credit, or a combination of the two. Section 6.3 of the draft agreement is drafted assuming a bond is proposed and will be revised based on the selected proposal. Routing Proposers may propose to rebalance routes for greater efficiency, which the City acknowledges may change route days. However, any proposed changes in route days will be subject to review and approval by City. Exhibit B.6 of the draft agreement provides that solid waste collected in the City under this agreement may not be commingled with commercial or other non - agreement waste collected in the City, unless approved in writing by the City. Collection Hours Collection shall be between 7:00 a.m. and 7:00 p.m., Monday through Friday. Saturday collection is permitted during the summer for Summer Saturday Collection and for holiday collection make up. Maps of the Summer Saturday Collection areas are provided in Attachments 2C and 2D. (See Exhibit B.4.1.1) Holiday Collection If the regularly scheduled collection day falls on New Year's Day, Memorial Day, Fourth of July, Labor Day, Thanksgiving Day, or Christmas Day, collection days for the remainder of that week shall all be postponed one collection day. (See Exhibit 8.4.1.1) Customer Satisfaction Survey The hauler shall conduct customer service surveys to help the City evaluate the hauler's performance under the agreement. The customer service surveys shall be performed after six months from the start of the agreement and thereafter upon City request up to once every three years. The City will provide the questions for the survey and have final approval before the survey is distributed to customers. Collection Vehicle Requirements All of hauler's route collection vehicles shall use liquefied natural gas ( "LNG ") or compressed natural gas ( "CNG ") within twelve months of the start of service or sooner if required by law, and shall be no older than ten years at any time during the agreement term. Certain areas of the City may not accommodate automated side -load collection vehicles, and may require other collection vehicles types and collection methods. Proposers will need to identify the size and type of vehicles in the City areas reflected on the map for two man alley collection (Attachment 2D). City of Newport Beach 13 DRAFT, April 16, 2013 City of Newport Beach Section IV — Key Contract Terms RFP for Residential Solid Waste Services Agreement Purchase of City Refuse Collection Vehicles Proposers shall propose a price for the purchase of the City's refuse collection vehicles, whether or not such vehicles will be used under the new agreement. See Attachment 2B for a list of the City's collection vehicles. Orange County Landfill System Disposal The City has a disposal agreement with the County of Orange. All waste collected and disposed under this agreement, including residue from waste processing, shall be directed to the Orange County Landfill System. City of Newport Beach 14 DRAFT, April 16, 2013 City of Newport Beach Section V - Proposal Submission Requirements RFP for Residential Solid Waste Services Agreement SECTION V - PROPOSAL SUBMISSION REQUIREMENTS The following information must be organized according to the outline in Attachment 1. Requested information should be identified by letter or number in the outline. All items must be addressed. All pages must be sequentially numbered. 1. General Requirements At the beginning of the proposal, include all of the following: 1.a Transmittal letter identifying the name, mailing address, e-mail address, telephone number and facsimile number of the proposal contact person 1.b Table of contents 1.c Signature pages of all RFP addenda issued by City 2. Compensation Proposal Forms (Attachment 3) The proposed compensations should be included in Attachment 3. In addition to the rates, proposers should calculate the estimated total annual rate revenue from each type of service. A proposal may be deemed nonconforming or incomplete unless Attachment 3 is complete and submitted in its entirety. Supporting Costs and Operating Data (Attachment 4) The supporting cost and operating data worksheet in Attachment 4 -A provides a format for proposers to estimate their annual revenue requirement for providing all of the proposed services. Proposers must provide the operational statistics on which their estimated costs are based in Attachments 4 -B. The operating statistics will be used to evaluate the reasonableness of the proposer's estimated revenue requirement. The proposer's estimated revenue requirement will be used to evaluate the reasonableness of the proposed compensation. Attachment 4 -C must be completed and may be used to determine weightings of cost components for compensation adjustments. Attachment 4 -D demonstrates how the proposer plans to reach required diversion levels. Note that diversion programs put forth in Attachment 4 -D, and elsewhere in proposer's proposal, will be incorporated into the franchise agreement. A proposal may be deemed nonconforming or incomplete unless Attachment 4 is complete and submitted in its entirety. Proposer Overview S.a Business Structure Provide the following information regarding the proposing entity and entity that would provide a corporate guarantee, if applicable. i Legal name of proposing entity that would sign franchise agreement and whether it is an individual, a partnership, a corporation, or a joint venture. ii Entity that would submit financial statements and whether it is an individual, a partnership, a corporation, or a joint venture. If other than proposing entity, indicate relationship and willingness to sign corporate guarantee (Attachment 9). iii Number of years in which proposing entity has been organized and doing business under this legal structure (if other than an individual). iv Names of owners /stockholders with more than 10% of the company's equity. v Names of all officers. vi Corporate headquarters. vii Local headquarters (if different). S.b Description of Proposer's Experience Identify the names of all the public agencies in Orange County, where the proposer currently provides service, including what type of service. Additionally, the proposer should submit a brief description of the proposer's experience in California providing solid waste services under exclusive agreements to city or county customers that qualifies it to perform the services being procured through this RFP; provide a table, including each jurisdiction's services (residential (manual barrel and automated cart), bin, roll -off, etc.). Include preferably three or more detailed references for current municipal customers with services most similar to the residential services requested in this RFP. References shall include: i The name of the jurisdiction. ii Time period during which proposer provided service to the jurisdiction. iii The type of customers served (e.g. residential or commercial). iv The services performed (e.g. refuse collection, recyclable materials collection or mixed waste processing). v Residential collection methods (e.g. manual or automated). vi Whether the services were exclusively or non - exclusively provided in the jurisdiction by the proposer. vii The name, address and telephone number of the jurisdiction representative responsible for administering the contract. City of Newport Beach 16 DRAFT, April 16, 2013 City of Newport Beach Section V - Proposal Submission Requirements RFP for Residential Solid Waste Services Agreement Additionally, please provide at least one municipal reference for service transitions from another hauling company or from a municipal transition, including a brief description of the old and new services, and service transition dates, as well as the information listed in i to vii above. 5.c Information Regarding Past and Pending Litigation Describe all civil legal actions with government agencies, and all criminal legal actions now pending or that have occurred in the past ten years against: i The key personnel described in Section 5.d. ii The owners and officers of the company. ii The entity submitting the proposal. iii Any parent or affiliated company for actions filed in the State of California. Additionally, proposers should include any additional current or recent litigation or other regulatory issues that may impact the proposer's ability to provide the services described in its proposal and may otherwise be presented to, or questioned by, the City. Proposers may include a response to any negative allegations at this time. 5.d Key Personnel Identify and describe the qualifications and experience the City can expect of the key personnel your company would assign to the City. Provide a brief biographical description of the proposed management team members that will fill these described jobs, specifically including the field supervisor required per Exhibit B.10.1 (Contract Liaison) and B.10.2 (Service Liaison) of agreement. Indicate the office locations for each key person assigned to the franchise. 5.e Financial Information Initially, proposers must provide the following financial information in the proposal for the proposing entity or, if a financial guarantee is offered, for the guarantor: i The type of financial statements produced (e.g. audited, reviewed or compiled) and the corporate entity that they represent (proposer or corporate guarantor). ii The most recently completed fiscal year for which financial statements are available. iii Annual revenue from the most recently completed financial statements for the proposer or, if applicable, the corporate guarantor. iv Current Assets to Current Liabilities ratio (current assets /current liabilities) from the most recently completed financial statements for the entity that provides the financial statements. v Total Liabilities to Total Assets ratio (total liabilities /total assets) from the most recently completed financial statements for the entity that provides the financial statement. If selected for further consideration, proposers must be prepared to submit financial statements within five (5) business days of the request for the most recently completed fiscal year for the entity that will guarantee the performance of the franchise agreement. All such statements would need to be prepared and presented in accordance with Generally Accepted Accounting Principles applied on a consistent basis, and must include a statement by the chief financial officer of the proposer's company that there has been no material adverse change in conditions or operations, as reflected in City of Newport Beach 17 DRAFT, April 16, 2013 City of Newport Beach Section V - Proposal Submission Requirements RFP for Residential Solid Waste Services Agreement the submitted balance sheets, income statements and cash flow statements, since the date on which they were prepared. If requested to submit financial statements, the proposer may submit a single copy of its financial statements stamped "confidential" with a written request that it be returned to the proposer after the proposal process is complete. The City will attempt to maintain the confidentiality of such a request, although confidentiality cannot be guaranteed. Prior to award, the selected proposer will be required to submit "reviewed" or "audited" financial statements that demonstrate reasonable financial resources and stability to the satisfaction of the City. If awarded the contract, the financial statements shall remain with either the City or its consultant. S.f Insurance Proposer must submit evidence that the proposer either has, or is able to obtain, the insurance coverage required in Section 6.1 of the draft agreement in Attachment 5. 6. Facility Descriptions Required in Proposal 6.a Transfer Facilities Indicate whether the hauler intends to use the City's transfer station or identify the facility as requested below. The hauler may use the City's transfer station at no cost for material collected under this agreement. The hauler may also lease the City's transfer station (see Item 10). 6.b Processing Facilities Proposers must identify in their proposals the facilities to be used for: • processing of mixed waste (required under Path 1 and potentially Path 2); and • processing of the commingled recyclables (required under Path 2). For each facility, please identify the following: i The name and location of the facility. ii A statement regarding any relationship between the proposer and the facility owner /operator (if any). iii The material to be processed under each path proposed (commingled recyclables and /or mixed waste). iv The prices per ton for: 1) mixed waste processing; and, 2) the processing of mixed recyclables. v Minimum diversion rate to be achieved for each waste stream. These four items must be included for each facility to be used. Please indicate if proposer intends to use the City's agreement with CR &R for transport and processing at the CRT. 6.c Operating Facilities Proposers must provide information about the operating facilities that they plan to use, including: i Yard address for equipment and personnel staging and arrangements for maintenance of equipment. Iv Whether proposer intends to park collection vehicles at the City's transfer station. 7. Implementation Plan Proposers should provide an implementation schedule. The proposal must clearly demonstrate that your company has the ability to implement the services in accordance with the City's transition date, including meeting equipment, personnel, administration, maintenance and public education and outreach requirements. 8. Collection Vehicles 8.a. New Collection Vehicles Please provide a table that includes the following information for each vehicle to be used under this franchise agreement. Proposers shall clearly identify, and include the size of, the smaller vehicles that will be used for collection from narrow streets and alleys. • Make • Model • Model Year • Type of fuel • Vehicle type (front - loader, rear - loader, etc.) • Number of vehicles with this description to be used 8.b. City Collection Vehicles Proposers are required to propose a cost to purchase the City's collection vehicles, as described in Attachment 2B, whether or not the vehicles are used in the performance under the agreement. Provide proposed purchase price for the City collection vehicles. 9. Diversion Goal and Additional Diversion Programs Proposers shall propose a minimum diversion rate of at least forty percent (40 %) for all solid waste to be collected by hauler under the agreement. Supporting programs and tonnage estimates must be included in Attachment 2. See Exhibit B.2.3. Describe specific diversion plans that may be proposed, in addition to those required by the RFP, in order to reach this proposed diversion goal. Proposers must demonstrate how the diversion rate shall be achieved. 10. Optional Lease of City Transfer Station The City has excess capacity at its transfer station and offers use of the excess capacity to a hauler for a fixed annual lease payment. Excess capacity may be used for in -City commercial tonnage or out -of -city tonnage. The City's transfer station is permitted by the State for 340 tons per day and uses between City of Newport Beach 19 DRAFT, April 16, 2013 City of Newport Beach Section V - Proposal Submission Requirements RFP for Residential Solid Waste Services Agreement 130 and 140 tons per day for City residential solid waste, which would continue to receive capacity priority at the transfer station. The proposer shall propose an annual payment to the City to lease the transfer station and allow the proposer to deliver or receive waste from outside of the agreement in order to utilize the existing excess capacity. Under the lease of the City transfer station, the proposer would operate the facility including the scale (Hauler must repair the existing inoperable scale at its own cost) and direct the receipt, transfer and transportation of the solid waste received at the transfer station. 11. Optional Sharps Collection Program The City is considering the economic feasibility of a Sharps program and has requested a proposed annual cost. The proposer will provide Sharps collection containers to residents serviced under this agreement upon request, providing prepaid mail -back disposal at no additional cost to the resident. Describe proposed Sharps program. See Exhibit B.1.10. 12. Optional HHW Program The City is considering the economic feasibility of a residential door -to -door household hazardous waste (HHW) program for paint, battery, household cleaner and garden pesticide collection and has requested a proposed annual cost. This program would be offered to all customers serviced under this agreement. Propose and describe a program including which materials will be collected. Indicate whether the proposing company shall provide the service, or what subcontractor would be used. See Exhibit B.1.11. In addition to proposing a door -to -door program costs, proposers may propose an alternative HHW disposal option, such as drop -off events. Please provide program descriptions and additional costs, if any, associated with the alternative options. 13. Carts Under Path 2 Proposer shall describe carts which it intends to use in the City, pending City approval. Include manufacturer and specific sizes. Color cart photos shall be provided if requested by the City. 14. Fueling Station Indicate whether the proposer intends to use the City's fueling station. 15. Proposed Route Changes If proposer is proposing a change to collection days, provide a route map by day, noting the changes, for consideration by City. 16. Performance Surety Proposer shall indicate whether it proposes to offer a labor and performance bond, a letter of credit, or a combination of the two. If a combination is offered, proposer shall indicate how the total required surety level of $ shall be divided between the two forms of surety. Proposal Enhancements Provided that the proposer has submitted a proposal that meets all of the minimum requirements of this RFP, the proposer may also offer additional enhancements that exceed the requirements of this RFP and the franchise agreement, such as recyclable revenue sharing or residential recycling incentives. Any such enhancements shall be listed by number under this section in the RFP. Proposer's Qualifications ♦ General Experience — Demonstrated experience providing similar services to other jurisdictions, and experience of key personnel. ♦ Jurisdiction Satisfaction — Satisfaction of proposer references with services received, including but not limited to, implementation, customer services, reporting, and working cooperatively with City staff. Customer service is of utmost importance to the City. Technical Qualifications ♦ Waste Diversion — Ability to maximize waste diversion. ♦ Implementation Plan — Reasonableness of implementation plan and schedule; ability to meet deadlines (i.e., equipment procurement schedules and personnel available); ability and resources to manage a service transition. ♦ Operations— Reasonableness of assumptions (e.g., number of routes). Exceptions to the Terms and Conditions ♦ Exceptions to the RFP and draft franchise agreement— Number and nature of the exceptions. Financial Resources ♦ Financial Stability — Comparison of additional revenue from this franchise to company's current revenue stream, financial stability of proposer based on its financial ratios. ♦ Insurance - Demonstrated ability of proposer to obtain adequate insurance. Costs ♦ Cost of service, as measured by rate revenues - Cost competitiveness relative to other proposals. ♦ Reasonableness of costs - Logically consistent relationship between costs and operational assumptions. Award To be considered, proposals must be complete and must conform to the requirements of this RFP as to form, content and timely submittal. The franchise will be awarded to the proposer that the City Council determines will best assist the City to reach its goal of receiving the highest quality service at the lowest reasonable cost. The successful proposal may or may not be the lowest cost proposal.
