David - I am working with Judge Wendy Lindley and others to develop a drug
court support foundation. Judge Lindley was advised that a CDBG grant for
drug court support services was offered to, and rejected by CSP - the agency
currently under contract (that expires June 30) to provide drug court
"aftercare.' Could you please let me know if that arant could be given to
participants. I have been told that CDBG funding is contolled by a 5 -year
plan and an annual plan, that grants are allocated for specific purposes
rather than specific groups and that the designation of the grantee can be
changed so long as the services to be provided are the same. Thanks in

Dear Mr. Burnham:
This letter agreemen "Agreement') will serve to confirm, in writing, the engagement of
California Strategies LC (the "Consultant ') to provide your client, the City of Newport
wit er
h professional svices directly related to the issues described in
Resolution No,2003 -76, any related issue and any other issue that may arise during the
informal discussion with representatives of the County (Sphere Issues). The specific work
(Services) to be performed by the Consultant, based on the information currently available, is
generally described as follows-
(a) On an ongoing basis, analyze the Sphere Issues in terms of the scope and
nature of services presently provided, the cost of those services or maintenance
of property and the manner in which resources could be reallocated so that the
City and County could, through cooperation and realignment of resources,
reduce expenditures of tax revenue while maintaining or enhancing services;
(b) Identify and analyze those programs, services and/or properties that are closely
aligned with,.or related to, the Sphere Issues so that the City and County can
determine if there are additional opportunities for City/County cooperation or
resource realignment that would reduce expenditures while maintaining or
enhancing services;

Committee (SIC) with respect to the Sphere Issues and the analyses generally
described in Subsections (a) and (b);
(d) Participate, as requested, in the informal City /County discussions relative to
the Sphere Issues or other subjects that result kern the analysis generally
described in Subsections (a) and (b);
(e) identify any impediments to the implementation of any agreement relative to
Sphere Issues resulting from the informal City /County discussions and propose
means by which any identified impediment earl be eliminated or mitigated.;
(f) Assist staff and/or the SIC in negotiating the terms and conditions of any
agreement or memorandum of understanding relative to Sphere Issues.

This will confirm that, as a condition to this retainer; Consultant shall not, daring the term of
this Agreement, represent any person or entity that is doing business with the City or intends
to submit to the City any application . for development or entitlement. The Consultant is not,
however, prohibited f om providing assistance to the City with respect to matters unrelated to
the Sphere Issues pursuant to a separate agreement. .
We have agroed that, during the first six months of the term of this Agreement (beginning on
February 1, 2004), Consultant will be required to.devote a substantial amount of time to
perform the Services. We have also agreed that -the nature and scope of the Services may
substantially increase or decrease over time depending on the number and nature of the
Sphere Issues that the City and County determine may warrant additional discussion or are
appropriate subjects of a cooperative agreement. 'Finally, we have agreed that the Services do
not include the drafting of legislative or administrative regulations, or the identification or
assistance in obtaining any .funding or financing that the CitylCounty.may believe is necessary
Or appropriate to implement any Sphere Issue or any component of any Sphere Issue.
t o: ti Q oing, Consultant agrees to provide the Services from February 1, 2004
through December 2004 (initial t°rm) and City agrees to pay Consultant the sum of
$25,000.00 (initial mo thty fee) during the initial term. On July 1, 2004 the Parties shall re-
evaluate the initial thly fee in terms of status of the discussions relative to Sphere Issues
an ent any increase or decrease the initial montbly fee by addendum to this
Agreement. The City will pay the monthly fee on or before the first of February and the first
Of the next succeeding ten (10)' months.
Either party may terminate. this Agreement, with or without cause, on seven days written
notice. In `the event of termination by the City without cause and prior to the end of any
month, Consultant shall receive the full amount of the month fee payable for that month. In
the event of termination by the Consultant without cause, the fee for.that month shall be equal
to the monthly fee multiplied by a fraction.with numerator equal to the number of days in the
month and the denominator equal to the days in the month preceding the date of termination.
Any services performed by the Consultant after December 31, 2004 will be performed.

provided supporting documentation is provided to the City in conjunction with the monthly
invoice.
Consultant shall, during and after the expiration of this Agreement, use due care to maintain
the con$dentiality of all information provided by the City-that is (a) .in tangible form and
clearly labeled confidential at time of distribution to us; or (b) in non - tangible form and
disseminated under ewcu instances that indicate the information is confidential-
The parties' acknowledge that Consultant is an independent contractor and neither Consultant
nor its employees are employees of the City. City arlmowledges that Consultant is not a
lobbyist and will not provide such services during the term of this Agreement. Consultant
specifically represents, warrants and agrees that with respect to the performance of services
pursuant to this Agreement, no payment or offer of payment has been made or shall be

approved or made by tlse Consultant with the intention or understanding that any part of the
payment is to be used to influence or attempt to influence, corruptly or unlawfully, any
decision or judgment of any official of any government or of any subdivision, agency, or
instrument thereof or any political party.
Neither City nor Consultant shall be ;iabre to the other for indirect, incidental or consequential
damages. The responsible party shall indemnify, defend and hold the other party harmless in
the event any da-rnage, liability, loss, expense or cost, including attorneys' fees, is proximately
caused by any negligent or wrongful act or omission of a party or that party's agent or
employee brat relates to this Agreement.
You will be the pninaty staff contact and, in your absence, the City Manager will administer
this retainer. Please review this Agreement and indicate your acceptance by signing below
and returning one original copy to my attention. We look forward to a long and successful
relationship between our frm and the City.
