SUBJECT: BACK BAY SCIENCE CENTER — APPROVAL OF AMENDMENTS TO
PROFESSIONAL SERVICES AGREEMENT WITH DOUGLAS E.
BARNHART, RON YEO, AND GAIL P. PICKART
RECOMMENDATIONS:
Approve Amendment No. 1 to the Construction Management at Risk Agreement
with Douglas E. Barnhart, Inc., increasing their compensation by $98,314 and
authorize the Mayor and City Clerk to execute the Amendment.
2. Approve Amendment No. 3 to the Professional Services Agreement with Ron Yeo,
FAIA, Architect, increasing his compensation by $52,422 and authorize the Mayor
and City Clerk to execute the Amendment.
3. Approve Amendment No. 4 to the Professional Services Agreement with Gail P.
Pickart, P.E., increasing his compensation by $35,000 and authorize the Mayor and
City Clerk to execute the Amendment.
4. Approve a Budget Amendment in the amount of $197,736 from the unappropriated
Tide and Submerged Lands Fund to Account No. 7457- C0310600.
BACKGROUND:
On February 28, 2006, the City Council awarded 12 trade contracts for construction of
the Back Bay Science Center (BBSC) on Shellmaker Island in the Upper Newport Bay
Ecological Reserve. The Council also approved a Construction Management at Risk
Agreement with.Douglas E. Barnhart, Inc. On August 22, 2006, the City Council
subsequently awarded three additional trade contracts under the "Multiple Prime"
project delivery system being utilized for the construction of the BBSC project.
In mid -March 2006, construction activity began for the project. The initial work
consisted of moving existing Department of Fish and Game (DF &G) modular units to a
location outside the construction area, rerouting the associated utility services, moving

a construction trailer onsite; providing temporary utility services, and installing perimeter
fencing around the construction site. In April a pair of adult osprey appeared onsite and
began preparing a nest atop a power pole that had been erected several years ago just
for that purpose, but had not previously attracted nesting activity. Construction work
continued and, by late April, dirt was being imported in preparation for the start of site
grading. At that point, DF &G representatives concluded from the birds' behavior that
there were eggs in the nest and that continued construction activity might disturb the
adults causing them to abandon the nest. A formal letter directing the cessation of
construction activity on the site was issued by DF &G on May 9, 2006..
There was considerable media coverage of the osprey nesting because it was
apparently the first time in Orange County that the complete reproduction cycle
(nesting, egg incubation, and fledgling development) was observed. By early July 2006,
two chicks had matured to the point that they were ready to fly away from the nest and
feed on their own. Accordingly, July 17, 2006 was the rescheduled construction start
date. This delay of nearly three months had a significant cost impact to the project
which is described in the following sections.
DISCUSSION:
Douglas E. Barnhart, Inc.. Amendment No. 1
Barnhart's contract for services as the project Construction Manager at Risk (CMAR)
provides for compensation based on (1) reimbursement of costs categorized as
General Conditions, and (2) a fee of 4.5% of the construction costs (the total amount of
the trade contracts awarded). General Conditions included the cost of staffing,
construction trailer, perimeter fencing, temporary telephone and electrical services,
trash dumpster, portable toilets, etc. The CMAR contract established the cost of
General Conditions as $34,775 per month ($382;525 for 11 months).
By mid- March, 2006, Barnhart had the majority of the General Conditions items in place
and costs were being incurred. The nesting osprey interrupted the scheduled progress
of construction for approximately three months (mid -April to mid - July), but the General
Conditions costs continued during that period. When the Department of Fish & Game
directed construction activity.at the project site to cease, there was an uncertainty as to
the duration of the delay, so Barnhart's staff and their support items had to remain
available. The effect was that more than three months of costs for General Conditions
were incurred without any corresponding progress in project construction.
In a letter dated August 10, 2006, Barnhart explained their analyses of the actual
General Conditions costs incurred because of the delay. Their analysis was based on
changing the construction start date from mid -March 2006 to mid -July 2006, a period of
four months, at a slightly lower monthly rate. General Conditions for those four months
totaled $98,314 and they are requesting approval to increase their contract
compensation by that amount. The initial monthly budget amount of $34,775 applies
from mid -July 2006 to mid -June 2007, which is the 11 -month construction schedule
currently being Implemented. Staff recommends approval of Amendment No. 1 to
Barnhart's CMAR contract authorizing $98,314 of additional compensation.

In addition, Amendment No. 1 sets forth the amount of $12,000 as the authorized 4.5%
fee for the three trade contracts totaling $266,676 awarded by the City Council on
August 22, 2006. A 4.5% fee amount of $192,106 for the 12 trade contracts totaling
$4,469,000 was authorized in the initial CMAR contract approved by City Council on
February 22, 20.06. The new total 4.5% fee amount authorized will now be $204,106
($192,106 plus $12,000). The budget amendment being recommended for approval
includes this additional fee of $12,000 because the specific fee amount was unknown
when Barnhart's initial Agreement was approved on February 28, 2006.
Ron Yeo Amendment No. 3
A letter dated November 8, 2006, has been received from Ron Yeo, the project
architect requesting additional compensation under his Professional Services
Agreement in an amount of $52,421.94. These additional costs are related to three
things: (1) delay in starting construction due to the nesting osprey, (2) design additions
and changes in the Water Quality Lab and Teaching Lab as requested by the users,
and (3) experiencing a significant increase in the amount of time spent in support of
construction (now estimated at $6,250 per month compared to the initial budget
estimate of $4,000 per month). His continued involvement in the project with the level
of support services currently being provided is critical to maintaining the construction
schedule. Staff recommends, approval of Amendment No. 3 to the Professional
Services Agreement with Ron Yeo, FAIA, Architect, increasing the authorized
compensation by $52,422 for a new not=to- exceed total of $532,727.
Gail Pickart Amendment No, 4
As the consulting project manager on behalf of the Public Works Department, Gail
Pickart has experienced that significantly more time has been and is being,required
during the project construction phase. The same three reasons described for Ron
Yeo's increased cost are applicable to the project manager. For example, 8 -10 hours
per week was budgeted for Gail Pickart's project management services during the
project construction phase and he is now finding that 12 -14 hours per week is required.
These additional hours combined with the 3 -4 month nesting osprey delay is the basis
for requesting authorization to increase his not -to- exceed compensation by $35,000 to
a new total of $159,550. Staff recommends approval of Amendment No. 4 to the
Professional Services Agreement with Gail Pickart, P.E., for the additional
compensation amount of $35,000.
Environmental Review:
A Mitigated Negative Declaration was prepared and processed to assess the
environmental impact associated with constructing the Back Bay Science Center.
Identified mitigation measures have been included in the project design. The California
Department of Fish and Game was the lead agency for the environmental review and
the documentation was completed in September 2003.

Not applicable for the recommended actions.
Project Status:
Construction of the Back Bay Science Center project is approximately 35% complete,
and is slightly behind schedule because of delays in material delivery. It is hoped that
the time can be recovered in the future and completion can be achieved by mid -June
2007 as planned.

Upon approval of the recommended Budget Amendment, sufficient funds are available
in the following account for the project:

THIS AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT, entered
into this. day of 2006, by and between the CITY OF
NEWPORT BEACH, a municipal corporation ( "City") and DOUGLAS E. BARNHART,
INC., a California corporation, whose local address is 10760 Thornmint Road, San
Diego, California 82127, ("Barnhart"), is made with reference to the following:
RECITALS
A. On February 28, 2006, City and Barnhart entered into a Construction
Management at Risk Services Agreement, hereinafter referred to as the
"Agreement", for construction management services for the Back Bay Science
Center on Shellmaker Island in the UpperNewport Bay Ecological Reserve,
hereinafter referred to as "Project".
B. City desires to enter into this Amendment No. 1 to reflect additional services not
Included in the Agreement.

Amendment No. 1 according to "Exhibit A" dated August 10, 2006, attached
hereto.
2. Total additional compensation to Barnhart for services performed pursuant to
this Amendment No. 1 for all work performed in accordance with this
Amendment, including all reimbursable items and subconsultant fees, shall not
exceed Ninety Eight Thousand Three Hundred Sixteen Dollars ($98,316).
3. Except as expressly modified herein, all other provisions, terms, and covenants
set forth in Agreement shall remain unchanged and shall be in full force and
effect.

-- We-are pleased to have seen the successful fledging of the Osprey chicks, and excited to get
started again on the BBSC construction. As we mobilized on the site prior to the birds' arrival,
we have expended general conditions costs that will need to be addressed. Our contract allows
for a total of $34,775 per month in general conditions costs. We have been able to reduce
those costs during the delay period to a total of $24,579 per month per the attached breakdown.
Therefore,. this letter shaii.serve as our formal request for an extension of our general conditions
forfour (4) months at $24,679 per month, for a total lump sum extension of $98,316. We have
taken the liberty of preparing a draft Contract Amendment that includes this extension, as well
as defines. the final Guaranteed Maximum Price and deletes of the retention clause.
Please review the attached draft amendment and advise of any requested edits or changes. If
you would prefer to receive the document in electronic format for ease of editing, let me know
and I'll send it right over.
Again, we are pleased to move into the construction phase of this project, and look forward to its

A. On September 9, 2003, CITY and CONSULTANT entered into a Professional
Services Agreement, hereinafter referred to as the "Agreement", for final design,
architectural and engineering services, and construction support services for the
Back Bay Science Center on Shellmaker Island., hereinafter referred to as
"Project ". This Agreement is scheduled to expire on June 30, 2007.
B. City and Consultant have entered into two separate Amendments of the
Agreement,, the latest dated September 13, 2005.
C. City desires to enter into this Amendment No. 3 to reflect additional services not
included in the Agreement or prior Amendments and to extend the term of the
Agreement to September 30, 2007.
D. City desires to compensate Consultant for additional professional services
needed for Project.
E. City and Consultant mutually desire to amend Agreement, hereinafter referred to
as "Amendment No. 3 ", as provided here below.
NOW, THEREFORE, the parties hereto agree as follows:
Consultant shall be compensated for services performed pursuant to this
Amendment No. 3 according to "Exhibit A" dated. November 8, ,2006, attached
hereto.
2. Total . additional compensation for services performed pursuant to this
Amendment No. 3 for all work performed in accordance with this Amendment,
including all reimbursable items and subconsultant fees, shall not exceed Fifty
Two Thousand Four Hundred Twenty -Two Dollars ($52,422.00).
3. The term of the Agreement shall be extended to September 30, 2007.
4. Except as expressly modified herein, all other provisions, terms, and covenants
set forth in Agreement shall remain unchanged and shall be in full force and
effect.

Dear Gail,
We are requesting an amendment for additional funds for "Exclusions" in our
agreement dated 9/9/03 that have been requested as "Extra Services" as well as
unanticipated delays that require additional time to be spent. We are also
requesting to update some of our hourly rate schedules.
Owner /Agency revisions include:

Various electrical & communication revisions
Additional plumbing requirements for the fume hood
Vacuum line system

Furniture & equipment coordination

The original fee for the architectural construction support was based upon 9
months construction. Site visits were estimated @ one per month or $4,000Imonth.
The project has been extended to 15 months, due to the Osprey nesting and
additional scope items. The decision to utilize multiple prime contractors has also
resulted in requiring the architect to attend one to two site visits per week resulting
in $6,250 per month for construction support.
Additional unanticipated time has also been spent revising drawings and re- bidding
the project. Please refer to the attached "request for extra services"

Agreement, hereinafter referred to as the "Agreement ", for project management
services for the Back Bay Science Center on Shellmaker Island, hereinafter
referred to as "Project ". This Agreement is scheduled to expire on December 31,
2007.
B. City and Consultant have entered into three separate Amendments of the
Agreement, the latest date February 28, 2006.

Dear Lloyd:
Since February 2002. I have been providing project management services relative to the Back
Bay Science Center in accordance with a Professional Services Agreement with the City of
Newport Beach. The Agreement established an initial compcncadon limit of $29,900 and
covered a term extending to Julie 30, 2004. Three subsequent amendments have been
approved. increasing the compensation limit to $124,550 and extending the term of the
Agreement to December 31, 2007.
Amendment No. 3 to the Agreement is dated February 28. 2006, and authorized a not-to-
exceed budget amount of $45,000 for project management services during the anticipated
twelve month construction period. The $45,000 budget amount was based on eight to rune
hours per week for 50 weeks at $105 per hour. Now that project construction is approximately
35% complete. I have found that an average of twelve to fourteen hours per week of my time
is required; roughly a 50% increase of $25.000 over the $45.000 budgeted. In addition,
project construction was delayed more than three months (early April 2006 to mid -July 2006)
while a pair of osprey nested on the site and raised two chicks. During this period, only about
six to cight hours per week of time was spent on project matters: however, it had the net effect
of extending the project duration another duce to four months at a cost of approximately
$10,000.
The increase in time spent on my project management services is the consequence of several
factors including, (1) design additions and revisions to the Water Quality Lab and Teaching
Lab, (2) corresponding plan processing and coordination of professional consultant support
services, (3) site design changes to accommodate the proposed UCI Crew Facility as more
definitive information became available, (4) research and analysis concerning the on -site
sewage pump station and its discharge force main, and (5) coordination with.project donors.
Based on the reasons described, I hereby request an amendment (No. 4) to my Professional
Services Agreement authorizing an additional not -to- exceed amount of $35,000 for my project
management services. This increase will establish a new total not -to- exceed amount of
$159,550 ($124,550 + $35,000). At this time, the term of the Agreement extending to
December 31, 2007, appears appropriate and no change is requested.
