SUBJECT: Central Library Bookstore Renovation — Approval of Amendment No. 1
to Professional Services Agreement with Landworks, LLC
Recommendations:
1. Approve Amendment No. 1 to the Professional Services Agreement with
Landworks, LLC, of Costa Mesa, California, for additional design engineering
services for the Central Library Bookstore Renovation project for a not to exceed
price of $12,750 and authorize the City Manager and City Clerk to execute the
Amendment.
2. Approve a Budget Amendment transferring $12,750 from Account No. 7271-
C4050781 (Central Library HVAC Repairs) to 7271- C1002008 (Central Library
Bookstore Renovation).
Discussion:
On December 11, 2007, the City Council received a check from the Friends of the Newport
Beach Library to retain professional services to investigate the feasibility of making
renovations to the Central Library circulation area and Friends Bookstore. Staff authorized
Landworks Development Services to coordinate and implement the design and estimating
of conceptual plans for a remodel to the Friends of the Library Bookstore to increase the
size of the bookstore and also make improvements to current access for employees and
customers. Landworks provided a proposal for project management services dated
October 29, 2007, and was authorized only to complete the conceptual design and cost
estimating portion of the work.
The conceptual design and subsequent construction costs are now completed and has
been approved by the Friends of the Library (Friends). The Friends deem this as a viable
project and funding for the construction costs will be provided by its fundraising efforts. An
amendment to the agreement with Landworks Development Services is needed to provide
for final design, permitting and processing services for this project.

Environmental Review:
The Central Library Remodel project will not cause a direct or indirect change in the
environment and therefore is not considered a "project' as defined by the California
Environmental Quality Act (CEQA) Implementing Guidelines. An environmental review
is not required.
Funding Availabili :
Savings are available in Central Library HVAC Repairs project account that can be used
for this purpose. Upon approval of the Budget Amendment, sufficient funds are available
as follows:

AMENDMENT NO. 1
TO
PROFESSIONAL SERVICES AGREEMENT
WITH LANDWORKS, LLC.
FOR FRIENDS OF THE LIBRARY
BOOKSTORE REMODEL AT THE CENTRAL LIBRARY
THIS AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT, entered
into this day of 1 2008, by and between the CITY OF
NEWPORT BEACH, a municipal corporation, (hereinafter referred to as "City ") and
LANDWORKS, LLC., a Limited Liability Company whose address is 1072 SE Bristol
Street, Suite 209, Costa Mesa, California 92626 ( "Consultant "), and is made with
reference to the following:
RECITALS
A. On February 21, 2008, CITY and CONSULTANT entered into a
Professional Services Agreement, hereinafter referred to as "Agreement',
for providing conceptual design services and act as lead consultant for the
Friends of the Library Bookstore Remodel, hereinafter referred to as
"Project". This Agreement is scheduled to expire on June 30, 2009.
B. City desires to enter into this Amendment No. 1 to reflect additional
services not included in the Agreement.
C. City desires to compensate Consultant for additional professional services
needed for Project.
D. City and Consultant mutually desire to amend Agreement, hereinafter
referred to as "Amendment No. 1 as provided here below.
NOW, THEREFORE, the parties hereto agree as foiiows:
1. Consultant shall be compensated for services performed pursuant to this
Amendment No. 1 according to "Exhibit A" dated March 21, 2008,
attached hereto.
2. Total additional compensation to Consultant for services performed
pursuant to this Amendment No. 1 for all work performed in accordance
with this Amendment, including all reimburseable items and subconsultant
fees, shall not exceed Twelve Thousand Seven Hundred Fifty Dollars
($12,750.00).

3. Except as expressly modified herein, all other provisions, terms, and
covenants set forth in Agreement shall remain unchanged and shall be in
full force and effect.
IN WITNESS WHEREOF, the parties hereto, have executed this Amendment No. 1 on
the date first above written.

City of Newport Beach Main Library remodel work at Self Check Out,
Customer Service Counter and Friends of the Library Bookstore.
Provide design, permitting, and processing services for the remodel of the
entrance and friends bookstore at the Newport Beach Main Library.
Budget of Services
Scope of Service
1.1 Document Development and Processing
Landworks will. provide development, processing and permitting activities of all necessary plans through the
City of Newport Beach; as well as coordinating of all other consultants, if necessary, and required for
approval and permitting.
Landworks Development Services will assure that all tenant needs are met, including selection of fum ture,
fixtures and equipment, scheduling of move in activities, project opening and facilities coordination.
OWNER'S RESPONSIBILITIES
2.1 The Owner shall provide full information regarding requirements for the Project, including the
Owner's objectives, schedule, constraints and criteria.
2.2 The Owner shall be responsible for the cost of plan check and/or permit fees.
REIMBURSABLE EXPENSES
3.1 Expenses of printing and.reproduction.
3.2 Delivery. charges
3.3 Fees expended by Landworks on behalf of the Project with the authorization of the Owner.

ADDITIONAL SERVICES
4.1 Additional Services shall be provided if authorized by the City of Newport Beach Public Works and
shall be paid for by the Owner as provided in this agreement. Such Additional Services may include
but shall not necessarily be limited to the following:
4.1.1 Construction Administration and Management
4.1.2 Services required beyond those noted above in item 1,0.
4.1.3 Services or construction required beyond those noted in attached bid document.
CO RENSTION
5.1 LandWorks services shall be preformed at the fixed fee of:
• Documentation, processing and approvals $10,250.00
• Reimbursable expenses $2500.00
Total Fee $12,750.00
5.2 Should the Owner request Reimbursable items that exceed this estimate, LandWorks Will notify the
Owner for authorization prior to proceeding.
5.3 For Additional Services as authorized by City of Newport Beach Public Works and provided above,
compensation Will be calculated at Landwortts hourly rate. Consultant fees for Additional Services, if
authorized, will be billed at Designers cost.
