Committee for both applications.
2. Confirm the Mayor's appointment of up to three Council Members.
DISCUSSION
Within the Airport Area, the General Plan Land Use Element policies allow residential and
mixed -use development, provided that such development contributes to the creation of viable
neighborhood clusters with appropriate infrastructure, pedestrian- oriented features and open
spaces, with a pattern of development that offers a strong sense of community and livability.
Specifically, the General Plan policies allow for a maximum of 2,200 units of housing within
the Airport Area. All but 550 of these units must replace existing development so that there is
no net increase in vehicular trips; these 550 "additive" units may be constructed on existing
surface parking lots or other areas not used as occupiable buildings on properties within the
Conceptual Development Plan Area bounded by MacArthur Boulevard, Jamboree Road and
Birch Street.
Consequently, both Conexant and The Koll Company, the two principal property owners in
the Conceptual Development Plan Area, submitted applications for mixed -use development
on their properties.

Policy LU 6.15.12 requires the execution of development agreements for all projects that
include infill (additive) residential units. The development agreement is required to define the
improvements and public benefits to be provided by the developer in exchange for the City's
commitment for the number, density, and allocation of the housing units.
Staff is seeking guidance from the City Council on the terms and conditions of these
agreements. Staff, therefore, recommends a formation of a short-term ad hoc committee to
ensure that adequate public benefits from each project will be provided. Concurrent with
adoption of the resolution forming the Ad Hoc Development Agreement Committee, the
Mayor is to appoint and City Council confirm up to three Council Members to serve on the
Committee.
Environmental Review
The formation of an ad hoc committee is not a project as defined by the California
Environmental Quality Act; therefore, no environmental review is required.
Public Notice
No public notice is required for this consideration; however, this item is on the City Council
Agenda, which is posted at City Hall, and is also available on the City's web site.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NEWPORT
BEACH ESTABLISHING AN AD HOC COMMITTEE TO NEGOTIATE
THE CONEXANT AND KOLL COMPANY DEVELOPMENT
AGREEMENTS
WHEREAS, Conexant and The Koll Company, each submitted an application for
a mixed -use development on their respective property; and
WHEREAS, Policy LU 6.15.12 requires the execution of development
agreements for all projects that include infill (additive) residential units. The
Development Agreement shall define the improvements and public benefits to be
provided by the developer in exchange for the City's commitment for the number,
density, and allocation of the housing units.
NOW, THEREFORE, the City Council of the City of Newport Beach hereby
resolves as follows:
Section 1. Establishment
An Ad Hoc Committee is hereby established for the purpose of negotiating the
Conexant and Koll Company Development Agreements.
Section 2. Duties of the Committee
The Committee shall have the following duties:
A. Work with City staff and designated representatives of Conexant and The Koll
Company on possible terms and conditions of the Development Agreements.
B. Recommend to the City Council action on potential terms and conditions of the
Development Agreements.
Section 3. Composition of the Committee
The Committee shall consist of up to three City Council Members appointed by, and
serving at the pleasure of, the Mayor.
Section 4. Duration of the Committee
The Committee shall expire at such time as the Committee completes its negotiations
with Conexant and Koll Company and its recommendations of potential course of action
are transmitted to the City Council for consideration.

The Kennedy Commission is a non - profit collaborative of community members dedicated to
developing solutions to Orange County's housing needs. We advocate for balanced housing
opportunities.
We support the formation of an Ad Hoc Development Agreement Committee and encourage
the committee to require that 20% of the new homes in the Airport Area be affordable to low,
very low and extremely low- income families and that these affordable homes be built on -site
in consideration of development densities that are substantially higher than allowed in other
areas of the City.
We request the opportunity to meet with the Ad Hoc Committee prior to further negotiations
for the development agreement.
